RE: APPROVE CONSENT TO ACQUISITION OF G4S GOVERNMENT SOLUTIONS, INC.
(G4S GS), BY CENTERRA GROUP, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, has been presented
with a letter,dated November 24, 2014, announcing the Acquisition of G4S Government Solutions,
Inc. (G4S GS), by Centerra Group, LLC, and
WHEREAS,after review,the Board deems it advisable to consent to said acquisition,a copy
of said letter is attached hereto and incorporated herein by reference.
NOW,THEREFORE, BE IT RESOLVED by the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of Public
Works, that it hereby Consents to the Acquisition of G4S Government Solutions, Inc. (G4S GS), by
Centerra Group, LLC.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 10th day of December, A.D., 2014.

GENERAL NOTICE OF ACQUISITION & NAME CHANGE
G4S Government Solutions, Inc. (G4S GS) was established in 1960 as Wackenhut Services, Inc.
(WSI). In 2008, G4S GS acquired All-Star Corporation as a wholly-owned subsidiary, and in 2011
rebranded All-Star and its subsidiary companies to the G4S name. Throughout the past 54 years,
G4S GS/WSI/All Star have grown in both size and complexity to become a stable and consistent
service provider to the US government and other critical infrastructure customers. These services
include security, fire, facilities maintenance, construction and fleet services.
Effective today, G4S GS has been acquired by an American owned company, who purchased
G4S GS in a 100% stock purchase from G4S, plc, a United Kingdom company. G4S GS' diversity
of services and its stellar past performance made G4S GS and its subsidiaries highly attractive for
acquisition. This coupled with the desire of G4S, plc to divest itself of certain US operations, has
presented an exciting opportunity for G4S GS to be acquired by a US private equity firm.
The acquisition of G4S GS is a 100% stock purchase, keeping the entity intact. The acquisition will
not affect management, operations, key personnel or the entity itself. The Federal Employer
Identification Number (FEIN), Commercial and Government Entity (CAGE) code and the Dun &
Bradstreet (DUNS) numbers of the company will remain the same.
The name of G4S GS will change to Centerra Group, LLC and we will begin our transition to the
Centerra brand in December 2014 with plans to fully rebrand any companies with the G4S name
to the Centerra name within 30 days.
During the 30-day transition period, we will use both our current G4S GS brand along with the
Centerra brand, until fully rebranded. As we move through the transition, we will remain committed
to providing professional, integrity-driven services that have enabled our successes and earned your
trust since 1960.
