Re: Consent to Lease Assignments
Dear Commissioners:
Reference is made to the attached exhibit which reflects the leases Sundance Energy, Inc.
("Sundance") acquired from Weld County, Colorado, a political subdivision of the State of
Colorado acting by and through the Board of County Commissioners of the County of Weld
("Weld") on or about March 5, 2012 (the "Subject Leases"). Pursuant to Paragraph 10 of the
Subject Leases, Sundance hereby provides Weld with written notice that Sundance intends to sell
and assign all of its right, title and interest in and to those leases to Extraction Oil & Gas LLC.
Hence, we respectfully request that you execute a copy of this letter in the space below to
expressly confirm and evidence Weld consent to the sale and assignment of the Subject Leases in
satisfaction of paragraph 10 thereof.
