Grantee's heirs and assigns that Grantor is lawfully seized of said real estate; that it is free from

KNOW ALL MEN BY THESE PRESENTS, that CONAGRA POULTRY COMPANY, a Delaware
corporation, ("Grantor"), whose address is One ConAgra Drive, Omaha, Nebraska 68102, in consideration of
the sum Ten Dollars($10.00) and other good and valuable consideration,received from CONAGRA FOODS
REFRIGERATED FOODS CO., INC., a Delaware corporation ("Grantee"), whose address is One ConAgra
Drive, CC-237, Omaha,Nebraska 68102, does hereby grant, bargain, sell, convey and confirm unto Grantee
that certain real estate located in Weld County, Colorado, more particularly described in Exhibit A attached
hereto and incorporated by reference herein. Grantor is the successor by merger and name change to The South
Bowen Company, a Colorado corporation, and also to Framer Company Inc., a Colorado corporation, per
records attached hereto as Exhibit 13 and incorporated herein by reference.
TO HAVE AND TO HOLD the above described premises together with all tenements, hereditaments
and appurtenances thereto belonging unto Grantee and to Grantee's heirs and assigns forever.
AND Grantor for itself and its successors does hereby covenant with Grantee and with Grantee's heirs
and assigns that Grantor it lawfully seized of said premises;that they are free from all encumbrances,subject to
all easements,covenants,restrictions and encumbrances of record and all matters which would be revealed by
an accurate survey; that Grantor has good right and lawful authority to convey the same; and that Grantor
warrants and will defend the title to said premises against the lawful claims of all persons claiming by,through,
or under Grantor,and against no other claims or demands.
Grantor also hereby quitclaims and assigns to Grantee all of Grantor's right,title and interest in and to
all water, water rights, water wells, ditches, reservoirs, and related rights, interests and fixtures located on,
appurtenant to or used in connection with such real estate described in Exhibit"A",including but not limited to
the water rights, water wells, shares of mutual ditch company stock, water lease and contract rights, if any,
described on Exhibit"C"attached hereto.

"3. The Certificate of incorporation of ConAgra Poultry Company are not
amended in any respect by this Plan of Merger.
"4. The issued shares of Framor Company Inc. shall not be converted or

amended in any respect by this Plan of Merger.
"4. The issued shares of The South Bowen Company shall not be converted
or exchanged in any manner, but each said share which is issued as of the
effective date of the merger shall be surrendered and extinguished.
