Dear Esther Gesick,
Noble Energy WYCO, LLC has obtained a Weld County Oil and Gas Lease from Exterra Resources, LLC in an
Assignment of Oil and Gas Lease recorded June 27, 2013 at Reception No. 3943503, attached hereto. Pursuant to
Paragraph 9 of lease dated February 25, 2013, Exterra Resources, LLC requests the consent of the Board of County
of Commissioners of the County of Weld to assign said leases and all of the lands covered thereby to Noble Energy
WYCO, LLC. Please find enclosed a check in the amount of $25.00 as fee for your written consent.
Please have the appropriate party execute the enclosed copy of this letter in the space provided to indicate the
written approval and consent of the Board of County Commissioners of the County of Weld to the assignment and
transfer of the Oil and Gas Leases as provided above. Following execution, please return this letter to us in the
enclosed envelope.

Whereas,Assignor has record title to the Oil and Gas Leases described below:
SEE EXHIBIT A ATTACHED HERETO AND MADE A PART HEREOF;
Now, therefore, for and in consideration of Ten and No/100 Dollars and other consideration
($10.00 and More), the receipt and sufficiency of which are hereby acknowledged, Assignor, named
above, hereby bargains,sells,assigns, conveys,and delivers to Assignee, named above,all of Assignor's
right, title, and interests, in the Leases described on the attached Exhibit A. Reference is made to the
Leases for a complete description of the lands it covers, which description Is incorporated into this
Assignment for all purposes.
This Assignment is made by Assignor with warranty of title by, through and under Assignor, but
not otherwise. It is executed by Assignor as of the date of acknowledgment of Assignor's signature below,
but is effective for all purposes as of the Effective Date stated above.
The terms and provisions hereof shall extend to and be binding upon Assignor and Assignee and
their respective heirs, successors and assigns.
