RE: APPROVE CONSENT TO SETTLEMENT OF ROYALTIES AND AUTHORIZE CHAIR
TO SIGN - NOBLE ENERGY, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, on June 21, 1993, by Resolution #930553, the Board approved a Small Tract
Oil and Gas Lease with SOCO Wattenberg Corporation, to lease 0.089 mineral acres, and
WHEREAS, Weld County, Colorado, has received a Settlement for unpaid, prior royalties
with Noble Energy, Inc., 1625 Broadway, Suite 2200, Denver, CO 80202, and
WHEREAS, said Settlement of Royalties covers the Oil and Gas Well,
Jones Walter 01-26 CD, on the land more particularly described as follows:
W1/2 NE1/4 of Section 26, Township 6 North,
Range 66 West of the 6th P.M., Weld County, Colorado
WHEREAS, Weld County is entitled to prior royalties on production from June 16, 1993
through November 30, 2013, and
WHEREAS, in order to receive said royalty payment, Weld County must execute said
Settlement of Royalties, a copy of which is attached hereto and incorporated herein by reference,
and
WHEREAS, said Settlement of Royalties has been reviewed by a member of the Weld
County Attorney's staff and found to be in order, and
WHEREAS, the Board deems it advisable to accept said Settlement of Royalties on the
well located on the parcel of land described herein.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Settlement of Royalties with Noble Energy, Inc., on the hereinabove
described parcel of land be, and hereby is, approved and accepted.

BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said Settlement of Royalties.
The above and foregoing Resolution was, on motion duly made and seconded, adopted

Dear Weld County Board of County Commissioners:
Soco Wattenberg Corporation entered into an Oil and Gas Lease with Weld County CO
("Owner") on June 16, 1993. Due to a clerical oversight, Weld County has not received
revenues from the effective date of the lease. Noble has adjusted its records to put your
royalty interest in an active status effective of December 1, 2013.
Enclosed you will find a one-line summary of the revenue attributable to your royalty
interest in the well. In recognition of the applicable legal constraints, Noble has
determined the total amount attributable to your net interest is $1,741.38, which would
represent final settlement for the period of June 16, 1993 through November 30, 2013
("Adjustment Period").
It is therefore agreed to between Noble and Owner that the aforementioned amount shall
represent full and final settlement and satisfaction of any and all claims that may be
asserted by you during the Adjustment Period. You further agree to fully release,
indemnify and hold harmless Noble, its employees, and agents from any and all claims,
demands, actions, damages, liabilities, costs, fines, penalties, or expenses (including court
costs and attorneys' fees) (all of the foregoing referred to collectively as `Damages') that
may be asserted arising from errors or omissions in Noble accounting methods for the
Adjustment Period.

If the aforementioned meets with your approval, please sign this letter in the space
provided below evidencing your acceptance of the settlement, returning the originals to
the attention of Patricia Picune. A copy of each document has been provided; please
retain them for your records. Within thirty(30) days following receipt, Noble will
forward a check in the amount of$1,741.38.
