HomeMy WebLinkAbout20121983.tiff AGREEMENT FOR CRITICAL INCIDENT STRESS MANAGEMENT SERVICES THIS AGREEMENT is made this 20th day of September 11 2014, by and between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, whose address is 915 10`h Street, Greeley, Colorado, 80631 ("County"), and David L. Christiansen, Psy.D., 3527 West 12`h Street, Suite 201, Greeley, Colorado 80634 ("Contractor"). WITENSSETH: WHEREAS, County desires to retain Contractor as an independent contractor to perform the critical incident stress management services as more particularly set forth herein; and WHEREAS,Contractor has the time available to timely perform the critical incident stress management services, and is willing to perform such services according to the terms of this Agreement. NOW,THEREFORE, in consideration of the mutual promises and covenants contained herein,the parties hereto agree as follows: 1. Engagement of Contractor. County hereby retains Contractor, and Contractor hereby accepts engagement by County upon the terms and conditions set forth in this Agreement. 2. Term. The term of this Agreement shall be from August 1, 2014, through and until July 31, 2015. 3. Services to be Performed. Contractor agrees to perform the critical incident stress management services ("Services") listed or referred to in the Scope of Services and Service Provider Responsibilities sections found on pages 6 through 8 of the bid document REQUEST NO. B1200103, dated June 18, 2012, for" Critical Incident Stress Management (CISM) Services—HUMAN RESOURCES DEPARTMENT," which is attached hereto as Exhibit"A," and incorporated herein. The Services shall be performed in accordance with the terms and conditions set forth in the attached Exhibit A, and in accordance with the answers provided by the Contractor in his bid proposal dated July 23, 2012, which is attached hereto as Exhibit B. 4. Compensation. County agrees to pay Contractor for the Services performed at the following rates: a. For attendance at meetings, planning sessions, and conferences with County directors, etc., the hourly charge will be $90.00. b. For professional services delivered at Contractor's office or on-site,the & ¢ ay2/Ahuc CC: PE ao/.2- 1983 to-I _aoiLi Ion PEooaR hourly rate will be at the standard current office rate of$130.00 per hour. c. For professional training such as in-services and ongoing training, such as the delivery of"Psychological survival in a Violent Career,"the professional rate shall be $200.00 per training hour delivered. No additional amounts shall be paid to Contractor, except as agreed to in accordance with the provisions set forth in paragraph 5, below. 5. Additional Work Beyond That Stated in Exhibit A. In the event the County shall require changes in the scope, character, or complexity of the work to be performed that goes beyond what is described in Exhibit A, or requires a change in the standards or obligations set forth in Exhibit A, and said changes cause an increase or decrease in the time required or the costs to the Contractor for performance, an equitable adjustment in fees and completion time may be negotiated between the parties and this Agreement shall be modified accordingly by a supplemental Agreement. Any claims by the Contractor for adjustment hereunder must be made in writing prior to performance of any work covered in the anticipated supplemental Agreement. Any change in work made without such prior supplemental Agreement shall be deemed covered in the compensation and time provisions of this Agreement. 6. Independent Contractor. Contractor agrees that Contractor is an independent contractor and that neither Contractor nor Contractor's agents or employees are, or shall be deemed to be, agents or employees of the County for any purpose. Contractor shall have no authorization, express or implied, to bind the County to any agreement, liability, or understanding. The parties agree that Contractor will not become an employee of County, nor is Contractor entitled to any employee benefits from County as a result of the execution of this Agreement. 7. Warranty. Contractor warrants that services performed under this Agreement will be performed in a manner consistent with the professional standards governing such services and the provisions of this Agreement and shall conform to the performance standards and requirements set forth in Exhibit A. 8. Reports County Property. All reports, test results and all other tangible materials produced in connection with the performance of this Agreement, whether or not such materials are in completed form, shall at all times be considered the property of the County. Contractor shall not make use of such material for purposes other than in connection with this Agreement without prior written approval of County. 9. Acceptance not Waiver. Upon completion of the work and if applicable, Contractor shall submit to County originals of any test results, reports, etc., generated during completion of this work. Acceptance by County of reports and incidental material furnished under this Agreement shall not in any way relieve Contractor of responsibility for the quality and accuracy of the work. Acceptance by the County of, or payment for, any of the Services 2 performed under this Agreement shall not be construed as a waiver of any of the County's rights under this Agreement or under the law generally. 10. Insurance and Indemnification. Contractor shall defend and indemnify County, its officers and agents, from and against loss or liability arising from Contractor's acts, errors or omissions in seeking to perform its obligations under this Agreement. Contractor shall provide necessary workers' compensation insurance at Contractor's own cost and expense. Contractor shall include the County, its officers and agents, as additional named insureds on a property, casualty, and liability insurance policy, at a minimum of $600,000 coverage limit per occurrence, $150,000 per person. 11. Termination. Either party may terminate this Agreement at any time by providing the other party with a thirty(30) day written notice thereof. Furthermore, this Agreement may be terminated immediately at any time without notice upon a material breach of the terms of the Agreement. In the event of an early termination, Contractor shall be paid for work performed up to the time of notice and County shall be entitled the use of all material generated pursuant to this Agreement. 12. Non-Assignment. Contractor may not assign or transfer this Agreement, any interest therein or claim thereunder, without the prior written approval of County. 13. Access to Records. County shall have access to Contractor's financial records as they relate to this Agreement for purposes of audit. Such records shall be complete and available for audit ninety (90) days after final payment hereunder and shall be retained and available for audit purposes for at least five years after final payment hereunder. 14. Time of Essence. Time is of the essence in each and all of the provisions of this Agreement. 15. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions. 16. Notices. Any notice required to be given under this Agreement shall be in writing and shall be mailed or delivered to the other party at that party's address as stated above. 17. Compliance. This Agreement and the provision of services hereunder shall be subject to the laws of Colorado and be in accordance with the policies, procedures, and practices of County. 18. Non-Exclusive Agreement. This Agreement is nonexclusive and County may engage or use other contractors or persons to perform services of the same or similar nature. 3 19. Certification. Contractor certifies that Contractor is not an illegal immigrant, and further, Contractor represents, warrants, and agrees that it has verified that Contractor does not employ any illegal aliens. If it is discovered that Contractor is an illegal immigrant, employs illegal aliens or subcontracts with illegal aliens, County can terminate this Agreement and Contractor may be held liable for damages. 20. Entire Agreement/Modifications. This Agreement contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiation, representation, and understanding or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 21. Funding Contingency. No portion of this Agreement shall be deemed to create an obligation on the part of County to expend funds not otherwise appropriated or budgeted for. 22. No Conflict. No employee of Contractor nor any member of Contractor's family shall serve on a County Board, committee or hold any such position which either by rule, practice or action nominates, recommends, supervises Contractor's operations, or authorizes funding to Contractor. 23. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 24. Governmental Immunity. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess. 25. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 4 IN WITNESS WHEREOF,the parties have executed this Agreement as of the date and year written above. WCHR CISM RFP }t' 1. III. INSTRUCTIONS TO BIDDERS A. Bids shall be typewritten or written in ink on forms prepared by the Weld County Purchasing Department. Each bid must give the full business address of bidder and be signed by him with his usual signature. Bids by partnerships must furnish the full names of all partners and must be signed with the partnership name by one of the members of the partnership or by an authorized representative, followed by the signature and title of the person signing. Bids by corporations must be signed with the legal name of the corporation, followed by the name of the state of the incorporation and by the signature and title of the president, secretary, or other person authorized to bind it in the matter. The name of each person signing shall also be typed or printed below the signature. A bid by a person who affixes to his signature the word"president,""secretary," "agent,"or other title without disclosing his principal, may be held to be the bid of the individual signing. When requested by the Weld County Director of Finance & Administration, satisfactory evidence of the authority of the officer signing in behalf of a corporation shall be furnished. All corrections or erasures shall be initialed by the person signing the bid. All bidders shall agree to comply with all of the conditions, requirements, specifications, and/or instructions of this bid as stated or implied herein. All designations and prices shall be fully and clearly set forth. All blank spaces in the bid forms shall be suitably filled in. B. Bids may be withdrawn upon written request to the Weld County Director of Finance & Administration received from bidders prior to the time fixed for opening. Negligence on the part of bidder in preparing the bid confers no right for the withdrawal of the bid after it has been opened. C. Bidders are expected to examine the conditions, specifications, and all instructions contained herein. Failure to do so will be at the bidder's risk. D. Bidders shall not stipulate in their proposals any conditions not contained in the instructions and specifications herein unless specifically requested by the special instructions attached hereto. Any proposal which fails to comply with the letter of the instructions and specifications herein may be rejected. E. Late or unsigned bids shall not be accepted or considered. It is the responsibility of the bidder to ensure that the bid arrives in the Weld County Purchasing Department on or prior to the time indicated in Section I., entitled"Notice to Bidders." F. When approximate quantities are stated, Weld County reserves the right to increase or decrease quantity as best fits its needs. G. Any item supplied to Weld County shall be new and of the manufacturer's current model unless otherwise specified. In accordance with Section 14-9(3) of the Weld County Home Rule Charter, the Board of County Commissioners of Weld County will give preference to resident Weld County bidders in all cases where said bids are competitive in price and quality. It is also understood that the Board of County Commissioners of Weld County will give preference to suppliers from the State of Colorado, in accordance with Section 30-11-110, CRS, when it is accepting bids for the purchase of any books, stationery, records, printing, lithographing or other supplies for any officer of Weld County. J. All discounts shall be figured from the date of delivery and acceptance of the articles, or in the case of an incorrect invoice, from the date of receipt of corrected invoice, if this be subsequent to delivery and • acceptance. K. Substitutions or modifications to any of the terms, conditions, or specifications of this bid package which are made by Weld County, Colorado, after the bids have been distributed to prospective bidders, and prior to the date and time of bid opening, will be made in writing and signed by Weld County's Director of Finance & Administration. No employee of Weld County, Colorado, is authorized in any way to modify any of the terms, conditions, or specifications of this bid without written approval of said Director of Administrative Services. This is not to imply that bids will not be accepted or considered with specifications which are different from those herein. Any item which does not meet all the terms, conditions, or specifications of this bid, must be clearly indicated on a separate sheet of paper, attached to the bid specification and proposal sheets and returned with the bid. The successful bidder shall indemnify and hold harmless Weld County, Colorado, against all claims for royalties, for patents or suit for infringement thereon, which may be involved in the manufacture or use of the material to be furnished. M. Contractor certifies that it shall comply with the provisions of Colorado Revised Statutes (C.R.S.) 8-17.5- 101, et seq. Contractor shall not knowingly employ or contract with an illegal alien to perform work under this Contract or enter into a contract with a subcontractor that fails to certify to Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under this Contract. Contractor represents, warrants, and agrees that it(a) has verified that it does not employ any illegal aliens, through participation in the Basic Pilot Employment Verification Program administered by the Social Security Administration and Department of Homeland Security, and (b)otherwise will comply with the requirements of C.R.S. 8-17.5-102(2)(b). Contractor shall comply with all reasonable requests made in the course of an investigation under C.R.S. 8-17.5-102 by the Colorado Department of Labor and Employment. If Contractor fails to comply with any requirement of this provision or C.R.S. 8-17.5-101, et seq., Weld County may terminate this Contract for breach and Contractor shall be liable for actual and consequential damages to Contractor. Except where exempted by federal law and except as provided in C.R.S. 24-76.5-103(3), if Contractor receives federal or state funds under this Contract, Contractor must confirm that any individual natural person eighteen (18)years of age or older is lawfully present in the United States pursuant to C.R.S. 24- 76.5-103(4) if such individual applies for public benefits provided under this Contract. WITENSSETH: WHEREAS, County desires to retain Contractor as an independent contractor to perform the critical incident stress management services as more particularly set forth herein; and WHEREAS, Contractor has the time available to timely perform the critical incident stress management services, and is willing to perform such services according to the terms of this Agreement. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: 1. Engagement of Contractor. County hereby retains Contractor, and Contractor hereby accepts engagement by County upon the terms and conditions set forth in this Agreement. 2. Term. The term of this Agreement shall be from August 1, 2012, through and until July 31, 2013. 3. Services to be Performed. Contractor agrees to perform the critical incident stress management services ("Services") listed or referred to in the Scope of Services and Service Provider Responsibilities sections found on pages 6 through 8 of the bid document REQUEST NO. B1200103, dated June 18, 2012, for " Critical Incident Stress Management (CISM) Services—HUMAN RESOURCES DEPARTMENT," which is attached hereto as Exhibit "A," and incorporated herein. The Services shall be performed in accordance with the terms and conditions set forth in the attached Exhibit A, and in accordance with the answers provided by the Contractor in his bid proposal dated July 23, 2012, which is attached hereto as Exhibit B. 4. Compensation. County agrees to pay Contractor for the Services performed at the following rates: a. For attendance at meetings, planning sessions, and conferences with County directors, etc., the hourly charge will be $90.00. b. For professional services delivered at Contractor's office or on-site, the 1 (!c I anti a ti hourly rate will be at the standard current office rate of$130.00 per hour. c. For professional training such as in-services and ongoing training, such as the delivery of"Psychological survival in a Violent Career," the professional rate shall be $200.00 per training hour delivered. No additional amounts shall be paid to Contractor, except as agreed to in accordance with the provisions set forth in paragraph 5, below. 5. Additional Work Beyond That Stated in Exhibit A. In the event the County shall require changes in the scope, character, or complexity of the work to be performed that goes beyond what is described in Exhibit A, or requires a change in the standards or obligations set forth in Exhibit A, and said changes cause an increase or decrease in the time required or the costs to the Contractor for performance, an equitable adjustment in fees and completion time may be negotiated between the parties and this Agreement shall be modified accordingly by a supplemental Agreement. Any claims by the Contractor for adjustment hereunder must be made in writing prior to performance of any work covered in the anticipated supplemental Agreement. Any change in work made without such prior supplemental Agreement shall be deemed covered in the compensation and time provisions of this Agreement. 6. Independent Contractor. Contractor agrees that Contractor is an independent contractor and that neither Contractor nor Contractor's agents or employees are, or shall be deemed to be, agents or employees of the County for any purpose. Contractor shall have no authorization, express or implied, to bind the County to any agreement, liability, or understanding. The parties agree that Contractor will not become an employee of County, nor is Contractor entitled to any employee benefits from County as a result of the execution of this Agreement. 7. Warrant-v. Contractor warrants that services performed under this Agreement will be performed in a manner consistent with the professional standards governing such services and the provisions of this Agreement and shall conform to the performance standards and requirements set forth in Exhibit A. 8. Reports County Property. All reports, test results and all other tangible materials produced in connection with the performance of this Agreement, whether or not such materials are in completed form, shall at all times be considered the property of the County. Contractor shall not make use of such material for purposes other than in connection with this Agreement without prior written approval of County. 9. Acceptance not Waiver. Upon completion of the work and if applicable, Contractor shall submit to County originals of any test results, reports, etc., generated during completion of this work. Acceptance by County of reports and incidental material furnished under this Agreement shall not in any way relieve Contractor of responsibility for the quality and accuracy of the work. Acceptance by the County of, or payment for, any of the Services 2 performed under this Agreement shall not be construed as a waiver of any of the County's rights under this Agreement or under the law generally. 10. Insurance and Indemnification. Contractor shall defend and indemnify County, its officers and agents, from and against loss or liability arising from Contractor's acts, errors or omissions in seeking to perform its obligations under this Agreement. Contractor shall provide necessary workers' compensation insurance at Contractor's own cost and expense. Contractor shall include the County, its officers and agents, as additional named insureds on a property, casualty, and liability insurance policy, at a minimum of $600,000 coverage limit per occurrence, $150,000 per person. 11. Termination. Either party may terminate this Agreement at any time by providing the other party with a thirty (30) day written notice thereof. Furthermore, this Agreement may be terminated immediately at any time without notice upon a material breach of the terms of the Agreement. In the event of an early termination, Contractor shall be paid for work performed up to the time of notice and County shall be entitled the use of all material generated pursuant to this Agreement. 12. Non-Assignment. Contractor may not assign or transfer this Agreement, any interest therein or claim thereunder, without the prior written approval of County. 13. Access to Records. County shall have access to Contractor's financial records as they relate to this Agreement for purposes of audit. Such records shall be complete and available for audit ninety (90) days after final payment hereunder and shall be retained and available for audit purposes for at least five years after final payment hereunder. 14. Time of Essence. Time is of the essence in each and all of the provisions of this Agreement. 15. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions. 16. Notices. Any notice required to be given under this Agreement shall be in writing and shall be mailed or delivered to the other party at that party's address as stated above. 17. Compliance. This Agreement and the provision of services hereunder shall be subject to the laws of Colorado and be in accordance with the policies, procedures, and practices of County. 18. Non-Exclusive Agreement. This Agreement is nonexclusive and County may engage or use other contractors or persons to perform services of the same or similar nature. 3 19. Certification. Contractor certifies that Contractor is not an illegal immigrant, and further, Contractor represents, warrants, and agrees that it has verified that Contractor does not employ any illegal aliens. If it is discovered that Contractor is an illegal immigrant, employs illegal aliens or subcontracts with illegal aliens, County can terminate this Agreement and Contractor may be held liable for damages. 20. Entire Agreement/Modifications. This Agreement contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiation, representation, and understanding or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 21. Funding Contingency. No portion of this Agreement shall be deemed to create an obligation on the part of County to expend funds not otherwise appropriated or budgeted for. 22. No Conflict. No employee of Contractor nor any member of Contractor's family shall serve on a County Board, committee or hold any such position which either by rule, practice or action nominates, recommends, supervises Contractor's operations, or authorizes funding to Contractor. 23. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 24. Governmental Immunity. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess. 25. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. I have handled many emergency situations,either by going to the scene,meeting at a safe location, or my office. S)I have handled critical incidents with large groups,recognizing that the bulk of support will come from others in the room,not from any professional. Manufacturers having been engaged in the business of manufacturing said equipment for a period of one (1) year prior to the date affixed for opening bids shall, prima facie, be deemed to have been engaged in such business a reasonable length of time. "Or Equal": The specific equipment mentioned shall be understood as indicating the type, function, minimum standard of design, efficiency, and quality desired and shall not be construed in such a manner as to exclude manufacturer's equipment of comparable quality, design, and efficiency. Issues can include, but are not limited to the following: assisting first responders with lessening the impact and accelerating the recovery process after a critical incident defined as any situation faced by first responders that cause them to experience unusually strong emotional reactions which have the potential to interfere with their ability to function either at the scene or later. First responders include but are not limited to Sheriffs Office employees(law enforcement), Coroner Office employees, and the Department of Human Services employees (social services). The selected bidder must show service and product deliverables to include The selected vendor must provide the following services, proof of product deliverables, along with a pricing schedule of all services provided, to include: 1) Pre-incident education on critical incidents and debriefing services 2) Emergency on scene support services at critical incidents 3) One on one peer support for secondary trauma 4) One on one support for traumatic events as well as unplanned events 5) Crisis management briefings for large groups 6) Adequate disaster intervention services including but not limited to de-escalation, defusing, debriefing 7) Follow-up services after critical incident intervention 8) Fit for duty evaluations 9) Command staff support programs Debriefing is recommended for the following situations: 1) Death of an first responder in the line of duty 2) Serious injury to a first responder in the line of duty 3) Mass casualty incidents resulting in serious injury or death 4) Suicide of a first responder 5) Death of a civilian as a result of emergency service or law enforcement operations 6) Any other significant event which causes responding personnel to experience unusually strong emotional reactions Qualifications: To be considered, a bidder must meet the following minimum qualifications: 1) The bidder must be a licensed psychologist/psychotherapist in the State of Colorado, in good standing,who has at least five (5)years demonstrated experience in the area of Critical Incident Management. 2) The bidder must have specialized training and/or experience in Law Enforcement or critical incident management for first responders. 3) A bidder must provide a current curriculum vitae or resume, as well as proof of licensure, for self and staff members, WCHR CISM RFP 4) The bidder must provide Certificates of Insurance demonstrating adequate and current malpractice insurance equivalent to$500,000.00 per claim/$1,000,000.00 aggregate and that such malpractice insurance includes coverage of Critical Incident Management services. Said Certificates of Insurance shall include a provision wherein the coverage shall not be canceled, terminated or otherwise modified without 60 days prior written notification to Weld County. 5) A bidder must be willing to accept calls directly from the Weld County Department's for the purpose of scheduling services from an incident. 6) A bidder must demonstrate prior and current capacity to be organized, responsive and to quickly and successfully schedule services as requested. In cases of emergency on scene support at critical incidents and support for traumatic events, bidder must be able to be on scene within 15—30 minutes once requested. Bidders must provide demonstrated service deliverables. 7) A bidder must agree to provide a letter to Weld County Department of Human Resources at the completion of requested services that documents the date and time of the services, the participating parties, and whether or not services will need to continue with general time frame. 8) A bidder must agree to enter into a contract with Weld County Department of Finance and Administration and comply with all requirements of the contract. 9) A bidder must confirm for each Critical Incident Stress Management project that he/she does not have any conflict of interests with any party to the services, and must demonstrate a method by which such screening shall take place. Contract Period and Pricing: 1) The initial contract period shall commence on August 1, 2012, through July 31, 2013, so long as both parties are satisfied. The selected vendor will have the opportunity to resubmit annually. 2) The proposed rate must be submitted as hourly. Only face-to-face actual mediation time is billable under the funding source, therefore the rate must be inclusive of scheduling, preparation and post-mediation requirements. 3) The selected vendor will bill the Weld County Department of Human Resources monthly according to billing requirements set forth by the Weld County Department of Finance and Administration. Each bill must include the billable incident, employees involved, Department name, the time frame of all meetings and work, as well as a detailed break out of costs associated with the incident being billed. Submittal Requirements and Evaluation for All Proposals: A bidder must submit their complete proposal via e-mail and submit two (2) hard copies by the identified deadline. All proposals must contain the following specific information: 1) One page or less cover letter that introduces the bidder, the bidder's location of practice, his or her experience and qualifications, and staff. 2) Current resume and proof of licensure for bidder(s) and all staff. 3) Sufficient information concerning the proposed services for Weld County to evaluate whether or not the bidder meets"minimum qualifications" for all bidders.
