• • RESOLUTION RE: APPROVE POSSESSION AND USE AGREEMENT CONCERNING CERTAIN IMPROVEMENTS TO BR34/17A AND AUTHORIZE CHAIR TO SIGN - PUBLIC SERVICE COMPANY OF COLORADO WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Possession and Use Agreement Concerning Certain Improvements to BR34/17A between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Public Service Company of Colorado, 1800 Larimer Street, Suite 400, Denver, Colorado 80202, with terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Possession and Use Agreement Concerning Certain Improvements to BR34/17A between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Public Service Company of Colorado, be, and hereby is, approved. Please return a copy of the agreement to me for my records. The attached possession and use agreement is for the flood recovery project located at BR34-17A. The bridge is constructed on the north right of way line. In order to complete the flood repairs needed on this bridge additional right of way is needed. The possession and use agreement is Public Service Company's way of moving this project forward while continuing to work through the right of way acquisition process. The associated cost of the right of way is $2,960.00 ($5,920/ac). This is a willing seller/willing buyer situation. Page I of I M-AWeld County Flood 2013 Version 2\Site Specific P jeersA Bridge ProjecO34-17APhase I WorkV Phase I Temp EasementsAEM-BR34-17A ROW Memo to BOCC dt cx 2014-3268 • • POSSESSION AND USE AGREEMENT This Possession and Use Agreement("Agreement") is made this2day of October,2014 between Weld County, a body corporate and politic of the State of Colorado, by and through its Board of County Commissioners, whose address is 1150 '0' Street, Greeley, Colorado 80632, (herein referred to as the "County"), and Public Service Company of Colorado, a Colorado corporation, whose address is 1800 Larimer Street, Suite 400, Denver, Colorado 80202 (herein referred to as the"Landowner"). 1) Purpose of Agreement. The purpose of this Agreement is to allow the County to proceed with its Project (defined below) without delay and to allow the Landowner to avoid litigation at this time. 2) Right to Limited Possession and Use. By this Agreement, the Landowner is granting the irrevocable right of limited possession and use to the County, its contractors, agents, and all others deemed necessary by the County, of the property depicted in Exhibit A attached hereto and made part hereof by reference, for construction on and improvements to Weld County Road 34. The County's construction and improvements include repair of flood damage to Weld County 34 as a result of the September 2013 flood as specifically depicted on the construction plans attached as Exhibit B and made a part hereof by reference and the future replacement of the existing bridge depicted on Exhibit B (the"Project"). 3) No Agreement on Just Compensation or Taking. The Landowner and the County have not yet reached agreement on the compensation to be paid for the conveyance or taking of the Subject Property or the extent of the rights the County will retain in the property depicted in Exhibit A after its limited possession and use for the Project. 4) Payment. Upon execution, the County will tender the sum of $2,690 (two thousand, six hundred and ninety dollars) (the "Payment") to Landowner's legal counsel, Brandee Caswell Esq.,Faegre Baker Daniels, 1700 Lincoln Street, Suite 3200,Denver, Colorado 80203, by check. 5) Limited Possession Date. The County may take possession of the Subject Property upon execution and delivery of this Agreement by both parties and the County's tender of the Payment (the"Limited Possession Date"). 6) Final Settlement or Verdict. If the final award, verdict or settlement of just compensation is greater than the Payment, then the Payment shall be and constitute a partial payment of the just compensation to be paid to the Landowner and shall be deducted by the court from any award or verdict or deducted by the County from the settlement amount agreed upon by the parties. If the final award, verdict or settlement of just compensation is less than the Payment, the Landowner is not responsible for refunding the difference to the County. 7) Negotiations. This Agreement is made with the understanding that the County will continue to negotiate in good faith with the Landowner to acquire the Subject Property by direct purchase and without the need to resort to an eminent domain proceeding. The County shall not unreasonably delay the commencement of proceedings under eminent domain law once the time provided for in this paragraph has expired. 8) Appraisal Reimbursement. The County agrees to pay Landowner for the reasonable costs of an appraisal of just compensation for the Subject Property if the Landowner provides the County with an appraisal within 90 days of the Limited Possession Date. This Agreement does not alter or waive any other rights Landowner may otherwise have to recover appraisal or other costs from the County. 9) Agreement's Term. This Agreement shall continue in effect until either a settlement is reached or a Rule and Order as provided for in C.R.S. § 38-1-105(3) is entered by the Court. The County will have the continued right of possession and use of the Subject Property pursuant to this Agreement during the pendency of any eminent domain proceedings instituted to determine just compensation for the Subject Property. 10) Date of Possession/Valuation Date. The valuation date for determining the amount of just compensation in any eminent domain proceeding shall be the Limited Possession Date. 11) No Waiver. By entering into this Agreement, neither the County nor the Landowner waive any right to raise any issue pertaining to the just compensation owed for the taking of the Subject Property (including not only the value of the part taken but any damages to Landowner's remaining property arising as a result of the Project). 12) Last Written Offer. The County agrees that the Payment amount shall constitute the County's "last written offer made to the property owner prior to the filing of the condemnation action" for purposes of C.R.S. §38-1-122(1.5). 13) Binding Nature of Agreement. This Agreement shall be binding on the parties only when executed by an authorized person on behalf of the County and the Landowner. This Agreement shall also bind the heirs, devisees, executors, administrators, legal representatives, successors and assigns of the parties. The County and Landowner hereby warrant that the persons signing on their behalf have the power and authority to enter into and bind them to this Agreement. 14) Choice of Law. This Agreement shall be governed by the laws of the State of Colorado, without regard to its principles of conflicts of laws. 15) Execution. This Agreement may be executed in any number of original counterparts. Any such counterpart, when executed, shall constitute an original of this Agreement, and all such counterparts together shall constitute one and the same Agreement. 16) Taxes.
