HomeMy WebLinkAbout20141178.tiff RESOLUTION RE: AMENDMENT OF OIL AND GAS LEASE COVERING CERTAIN PROPERTY OWNED BY WELD COUNTY, COLORADO, AND AUTHORIZE CHAIR TO SIGN - KERR-MCGEE OIL AND GAS ONSHORE, LP WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, Weld County, Colorado, is the owner of vast acres of mineral lands located in Weld County, Colorado, and WHEREAS, the Board has been presented with an Amendment of an Oil and Gas Lease, said lease being recorded at Reception No. 1551545, dated April 29, 1970, and partially released at Reception No. 2714954, dated July 16, 1999, commencing upon full execution, with further terms and conditions being as stated in said amendment concerning 1.82 net mineral acres, more or less, described to-wit: A strip of land 30' wide on the north side of the NW1/4 of Section 19, Township 3 North, Range 67 West of the 6th P.M., Weld County, Colorado WHEREAS, after review, the Board deems it advisable to approve said amendment, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Amendment of Oil and Gas Lease between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Kerr-McGee Oil and Gas Onshore, LP, be, and hereby is, approved. WITNESSETH: WHEREAS, the Parties, as successors in interests to that certain oil and gas lease dated April 29, 1970, which was entered into by and between Weld County, a political subdivision of the State of Colorado, by the Board of County Commissioners, Lessor, and Leland S. Vance, Lessee, covering the following described lands in Weld County, State of Colorado, to-wit: Township 3 North, Range 67 West, 6th P.M. Section 19: A strip of land 30' wide on North side of the NW/4 (1.82 acres) such lease having been recorded in Book 630 Reception No. 1551545, and partially released at Reception No. 2714954 of the records of said County, (the "Lease"); and WHEREAS, the Parties now desire to amend the Lease by deleting Section 13 thereof in its entirety and substituting in its place Section 13A and inserting 13B set forth below. NOW, THEREFORE, in consideration of the premises and of the mutual benefits to be derived herefrom and for other good and valuable consideration, the receipt and sufficiency of which are hereby confessed and acknowledged, the Parties hereby amend the Lease by deleting Section 13 thereof in its entirety and replacing it with the following Section 13A and inserting Section 13B: 13A. Pooling. Lessee may pool the Leased Premises in accordance with voluntary agreements, drilling and spacing orders, pooling orders, or other applicable laws, rules, and regulations. In the event Lessor permits the Leased Premises to be included within a pooling agreement the terms of this Lease may be deemed to be modified to conform to such agreement. When only a portion of the Leased Premises is included in a pooling agreement, Lessor may segregate the land and issue a separate lease to the existing Lessee for each portion not committed; the term of such separate lease shall conform to the original term of this Lease. Non producing leases shall terminate on the first anniversary date of the lease following the termination date of the unit or part thereof modifying the lease, but in no event prior to the end of the primary term of the lease or the extension term of the lease. 13B. Communitization and/or Unitization. In the event Lessor permits the land herein leased to be included within a communitization or unitization agreement, the terms of this lease may be deemed to be modified to conform to such agreement. When only a portion of the land under this lease is committed by an agreement, Lessor may segregate the land and issue a separate lease for each portion not committed thereunder; the term of such separate lease shall be limited as to the original term of this lease. The terms of the lease on that portion remaining in the unit shall be deemed to be modified to conform to such agreement. The latest request is to update a 1970 lease to allow pooling. The old lease permitted limited pooling of gas interests only —not oil.The proposed amendment permits the operator to pool all interests.Also, in the past,Division Orders were made which purported to subtract costs not listed in the lease from the royalty paid to the County.—The is the first time I have seen that when I have reviewed these old files.... I understand that the pooling is probably in our bests interests, but my question is whether this lease amendment could justify the County's request to increase its royalty interest?—or to eliminate the costs which may be calculated against the County's royalty payments.
