Request for assignment of Non-Exclusive License Agreement:
The Department of Public Works received a request from the applicant's representative, Jodi
Keeler/Antelope Energy Company, LLC for the assignment of the existing Non-Exclusive License
Agreement (Doc. #2010-2530) to DJ Resources, LLC. As part of a Purchase and Sale Agreement
with Bonanza Creek Energy Operating Company, DJ Resources is requesting further assignment
of the above-mentioned Non-Exclusive License Agreement to Bonanza Creek. The original Non-
Exclusive License Agreement utilized CR 85 Section Line Access on CR 76 Section Line Public
Right-of-Way for a distance of 1.0 miles to access Oil and Gas Operations Facility.
Recommendation:
All required documentation has been provided by the applicant. The Department of Public Works
recommends approval of the request, which will result in a final assignment of Non-Exclusive
License Agreement (Doc. #2010-2530) from DJ Resources, LLC to Bonanza Creek Energy
Operating Company, LLC.

Dear Ms. Gesisck:
In May, 2014, DJ Resources, LLC ("DJR") sent a letter requesting the Board's consent to assign the
referenced Agreement to Bonanza Creek Energy Operating Company, LLC ("BCE"). Mr. Richard
Hastings sent an email to DJR in June, 2014 advising that the consent could not be granted until the"Letter
of Assignment Consent to Assignment" form was completed and signed by Antelope Energy, DJR and
BCE.
We have at last received the executed form from Antelope Energy to DJR and have enclosed the original
for the Board's consent(execution). Once we have a fully executed copy from you,we will send a similar
form to BCEI for their execution and will then forward it to you for your handling as well.
Copies of previous correspondence, the Agreement are enclosed for your convenience and reference.

Dear Jodi,
As follow up to our phone conversation this afternoon, enclosed please find a copy of the referenced License
Agreement between Weld County, Colorado, through the Board of County Commissioners and Antelope
Energy Company,LLC. It is for a right-of-way for access to the State 7-62-36 well.
Antelope Energy assigned the well (including the License Agreement) and associated lease to Chesapeake
Exploration, LLC in June, 2011 and Chesapeake subsequently assigned their interest to DJ Resources, LLC
in December, 2012.
DJ Resources, LLC ("DJR")has executed a Purchase and Sale Agreement whereby it has agreed to sell and
assign one-hundred percent (100%) of its right, title and interest in this same well and lands, including the
referenced License Agreement,to Bonanza Creek Energy Operating Company,LLC,a subsidiary of Bonanza
Creek Energy,Inc. ("BCEI").
The License Agreement contains a consent to assign,which we requested from Weld County Board of County
Commissioners on May 29,2014. They have advised us that they must have Antelope's signature as"Owner"
(their records still reflect Antelope as the owner of this License Agreement). DJ Resources will sign as Buyer
since we are the current operator of the well.
Please review the Agreement(I have flagged the consent to assign language) and the"Letter of Assignment/
Consent to Assignment" form that Weld County has provided, and if acceptable, please sign as Owner and
return the form to me for further handling. I will be sure to send you a copy of the Weld County approved
form, once it is available.
It was very nice talking to you on the phone today, Jodi, and I wish you all the best on your daughter's
wedding this weekend. I believe I mentioned on the phone to just give me a call next week when you've had
a chance to review these documents(if you want to discuss any of it),however,I realized this afternoon that
I will be out of the office all next week. Therefore, if you wish to discuss this, please give Lisa Lehman in

The conditions by which Second Party may upgrade and maintain ROW ar i a n fi lows:
I. First Party retains the right In revoke this Nonexclusive License Agreemeo at any time for any
reason,but such revocation shall not prohibit Second Party's continued use cf the ROW for
access to Second Party's property,to the extent that such continued use is c sa!stem with the
right of the public to use the ROW.Mat Party shall give Second Party writ c a notice of its Intent

maintenance of the ROW.

6. Other than assignments in connection with the mortgage or sale°fall or et h i enttally all of the

sews Pally shall not assign any or all of its rights under this Nonexclu I.t a License Agreement without
first obtaining written consent to such assignment from First Party,which I or sat shall
not be unreasonably withheld.
7. The parties hereby agree that neither has made or authorized any ogreeema t t rith respect to the
subject nWkrorthis lnsmaon other then expressly ea nett herein,and e•sral representation,
promise,or consideration differ nt from the terms herein contained shall b:a fueling on either
patty hereto,or its agents or employees.This Nonexclusive license Agee r.t nt embodies all
agreements between the padiea hereto and there are no prmnisca,terms,et ad lions,or obligations
referring to the subject natter whereof other than as contained herein.
8. If any tent ofpmvisionn of this Nonexclusive License Agreement,or the a q l radon thereof to

Esther Gesick/Weld County Clerk to the Board. She will then finalize that document with a signature by the "Weld

wondering if you could check your records to see if anything ever came of this. We did do an Assignment of the
corresponding oil and gas leases (#2014-1778) but I don't show anything concerning assignment of the Nonexclusive
License Agreement.
