RE: APPROVE AMENDMENT TO AGREEMENT FOR SERVICES FOR HIB PROJECT
AND AUTHORIZE CHAIR TO SIGN - UPSTATE COLORADO ECONOMIC
DEVELOPMENT
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Amendment to the Agreement for
Services for the H1B Project between the County of Weld, State of Colorado, by and through
the Board of County Commissioners of Weld County, on behalf of the Department of Human
Services, Employment Services of Weld County, and Upstate Colorado Economic
Development, commencing July 1, 2014, and ending December 31, 2014, with further terms
and conditions being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Amendment to the Agreement for Services for the H1 B Project
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Human Services, Employment
Services of Weld County, and Upstate Colorado Economic Development, be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 27th day of October, A.D., 2014, nunc pro tunc July 1, 2014.

Services and Upstate Colorado
Enclosed for Board approval an Amendment to the Original H 1 B Agreement with between the
Department's Employment Services and Upstate Colorado. This Amendment was reviewed
under the Board's Pass-Around Memorandum dated September 3, 2014, and was approved for
placement on the Board's Agenda.
Upstate Colorado agrees to continue to partner with Employment Services through the
remainder of 2014. An amount of up to $5,000.00 of H I B funds will be available under
Catalogue of Federal Domestic Assistance 17.268 covering the period of July I, 2014, and
ending December 31, 2014, as reimbursement for costs incurred for the provision of services
identified in the Scope of Services of this agreement. Upstate will facilitate employers
accessing this training and funds will need to be obligated no later than November 15, 2014,
and expended by December 31, 2014.
Payment reimbursement will be made by Employment Services of Weld County within 30
days of receipt of invoices for costs incurred for services as outlined in Exhibit B of the
original Agreement. Unless otherwise noted all original terms and conditions of the original
agreement remain in effect.
This Agreement shall be retroactive to July 1, 2014, upon proper execution of this Agreement,
and will expire December 31, 2014.

AMENDMENT TO THE ORIGINAL HI B AGREEMENT FOR SERVICES BETWEEN UPSTATE
COLORADO ECONOMIC DEVELOPMENT AND THE BOARD OF WELD COUNTY COMMISSIONERS,
WELD COUNTY, COLORADO FOR WELD AND ON BEHALF OF THE WELD COUNTY DEPARTMENT
OF HUMAN SERVICES
The Original Agreement was approved July 1, 2013. This Amendment to the Original Agreement is made and
entered into this )' day of September 2014, by and between the County of Weld, a political subdivision of the
State of Colorado, by and through the Board of County Commissioners of the County of Weld, on behalf of the
Weld County Department of Human Services, Division of Employment Services of Weld County, hereinafter
referred to as"Employment Services"and Upstate Colorado Economic Development, hereinafter referred to as
"Upstate Colorado".
The Original Agreement, as well as the Assurances outlined in Exhibit A, the Budget and Performance Information
in Exhibit B, and the Grant Scope of Work form an integral part to this Amendment, and are incorporated herein by
reference. This Amendment to the Original Agreement, as well as the Original Agreement, Exhibits A and B, and
the Scope of Work outline the terms of the Agreement and constitute the complete contract.
Employment Services and the Weld County Workforce Development Board determined it appropriate and
advisable to continue to collaborate in an initiative designed to provide services to employers under the H 1 B grant;
and to those employers who agree to participate in that initiative to meet the higher level skill needs of their current
workforce; and Employment Services and Upstate Colorado desire to enter into this agreement modification to
continue to implement and support the efforts of the HI B grant, and other sector initiative efforts.
NOW THEREFORE, in consideration of the premises, the parties hereto covenant and agree the modification of
the original agreement dated July 1, 2013 as follows:
I. Amendment to the Agreement for Services:
A. Upstate Colorado agrees to continue to partner with Employment Services through the remainder of 2014
to outreach to employers primarily in the manufacturing industry sector to implement the Scope of
Services outlined in Exhibit B of the original document.
B. An amount of up to $5,000.00 of HIB funds will be available under Catalogue of Federal Domestic
Assistance 17.268 covering the period of July 1,2014 and ending December 31, 2014 as reimbursement
for costs incurred for the provision of services identified in the Scope of Services of this agreement. The
additional funds available are for use to meet the identified higher skill training needs of manufacturing
employers to further the goals and objectives of the HIB grant. Upstate Colorado will assist employers in
identifying and obtaining high level skill training for incumbent workers. Upstate will facilitate employers
accessing this training and funds will need to be obligated no later than November 15, 2014 and expended
by December 31, 2014. Payment reimbursement will be made by Employment Services of Weld County
within 30 days of receipt of invoices for costs incurred for services as outlined in Exhibit B of the original.
11. Terms and Conditions: Unless otherwise noted all original terms and conditions of the original agreement
remain in effect.
A. Term.
This Agreement shall be retroactive to July 1st, 2014, upon proper execution of this Agreement, and will
expire December 31,2014.
B. Funding.
The sum of$5,000.00 of H 1B funds under Catalogue of Federal Domestic Assistance number 17.268 for
the associated staff costs related to the services outlined in Exhibit B.
C. Cost Reimbursement.
Employment Services agrees to pay Upstate Colorado, on a cost reimbursement basis, up to$5,000.00 for
expenses incurred concerning the Scope of Services referenced in this Agreement pertaining to the HIB
initiative and for helping connect employers with needed training for the high level skill needs of their
incumbent workforce.
111. Additions to General Terms
A. Interruptions.Neither party to this Agreement shall be liable to the other for delays in delivery or failure
to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any
cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood,
earthquakes or Governmental actions.
B. Board of County Commissioners of Weld County Approval. This Agreement shall not be valid until
it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee.
C. Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant thereto, shall
be applied in the interpretation, execution, and enforcement of this Agreement. Any provision included or
incorporated herein by reference which conflicts with said laws, rules and/or regulations shall be null and
void. In the event of a legal dispute between the parties, Contract Professional agrees that the Weld County
District Court shall have exclusive jurisdiction to resolve said dispute.
Acknowledgment. County and Upstate acknowledge that each has read this Agreement, understands it and agrees
to be bound by its terms. Both parties further agree that this Amendment to the Original Agreement, with the
Original Agreement, the attached Exhibits A and B, as well as the Scope of Work and is the complete and
exclusive statement of agreement between the parties and supersedes all proposals or prior agreements, oral or
written, and any other communications between the parties relating to the subject matter of this Agreement.
IN WITNESS WHEREOF, the parties hereto have duly executed this Amendment to the Agreement
with the Original Agreement, Attachments A and B and the Scope of Work constitutes the entire understanding
between the parties with respect to the subject matter hereof, and may not be changed or modified except as stated
in Paragraph 1.K. of the original agreement.
