RE: ELEVATOR MAINTENANCE SERVICE CONTRACT FOR THE WELD
COUNTY CENTENNIAL CENTER.
WHEREAS, pursuant to law, the Board of County Commis-
sioners, Weld County, Colorado, is vested with the
responsibility of administering the affairs of Weld County,
Colorado, and
WHEREAS , it has come to the attention of the Board that
there is a need for maintenance service covering the two
elevators located in the Weld County Centennial Center, and
WHEREAS, an agreement has been submitted by the
Montgomery Elevator Company of Moline, Illinois, to provide
such maintenance services for the sum of One Hundred Fifty-
Eight Dollars and Two Cents ($158 . 02) monthly from
September 1, 1976 until June 1, 1977, and as set forth
specifically in said agreement, and
WHEREAS, the Board has determined that the execution of
said agreement would be in the best interests of the County,
and to accept said agreement, a copy of which is attached
hereto for ready reference and made a part hereof as is
fully set forth at this point.
NOW, THEREFORE, BE IT RESOLVED, by the Board of County
Commissioners, Weld County, Colorado, that said agreement as
submitted by the Montgomery Elevator Company of Moline,
Illinois, providing for elevator maintenance services to
the elevators located at the Weld County Centennial Center,
a copy of which is attached hereto and made a part hereof
by reference, be, and hereby is , approved.
BE IT FURTHER RESOLVED, that the Board be, and hereby
is, authorized to execute the agreement as submitted and to
make the same effective forthwith.

AGREEMENT
FOR HYDRAULIC ELEVATORS
We will maintain the elevator equipment herein described, using skilled elevator
maintenance men under our supervision. They will employ all reasonable care to
see that the elevator equipment is maintained in proper operating condition.
We will regularly and systematically examine, adjust, lubricate, as required, and if
conditions warrant, unless specifically excluded elsewhere in this agreement,
repair or replace the following:
Elevator pump, motor, plunger, plunger packing, V-belts, strainers, valves,
regulators, controllers including relays, contacts, timers, coils, magnet frames
and control wiring. Relamp all signals during regular service time only.
We agree to repair and/or replace traveling cable when necessary; to replace car
guide shoes, gibs, and/or rollers when necessary to insure proper operation, and
we will keep the guide rails properly lubricated, when applicable.
We agree to furnish special Montgomery lubricants compounded under our
supervision and specifications.
The following accessory equipment will be examined, lubricated, adjusted,
repaired and/or replaced by us:
Door operator, car and hoistway door hangers and tracks, car door contacts, and
door protective devices, all door gibs, car and corridor operating stations, car
fan, alarm bell and buffers.
We assume no responsibility for the following items of elevator equipment which
are not included in this contract:
Refinishing, repairing or replacement of car enclosure, its gates and/or doors,
hoistway enclosure, hoistway doors, door frames and sills, hoistway gates,
finished flooring, car lighting, power feeders, switches, their wiring and fusing,
hydraulic cylinder, and underground piping.
This contract covers all work performed during the regular working hours of
regular working days of the elevator trade, unless otherwise specified.
Regular time call backs in ARE,X&O XXJ1XXOEXI included in this agreement.
Overtime call backs ARE NOT included in this agreement.
If you should require, at any time, examinations, minor adjustments, call back
services or repairs to be made on overtime, we will absorb the regular time
portion of each overtime hour worked. You will be charged only for the
difference between our regular hourly billing rate and our regular overtime billing
rate applicable, for each overtime hour worked.

Montgomery Elevator Company shall not be obligated to make other safety tests, or to
install new attachments whether or not recommended or directed by insurance com-
panies,or by federal,state,municipal,or other governmental or non-governmental author-
ities. Montgomery Elevator Company shall not be required to snake renewals or repairs
necessitated by the negligence, misuse or obsolescence of the equipment or any other
cause beyond its control except ordinary wear and tear.
Nothing in this Agreement shall be construed to mean that Montgomery Elevator Com-
pany, or its subsidiaries, officers, directors, agents or employees, (herein collectively
referred to as "affiliates") assume any liability for damages or otherwise on account of
accidents to persons or property (including but not limited to accidents arising or result-
ing from the overloading and/or misloading of any elevator or other device covered by
this contract, beyond its rated capacity) except those directly due to the negligence of
Montgomery Elevator Company. You shall be solely responsible for supervising the use
of the equipment and you shall provide whatever attendent personnel,warning signs and
other controls and cautions that may be required or desirable to insure safe operation.
You shall at all times be solely liable for the operation of the equipment and you shall
indemnify, protect and save harmless Montgomery Elevator Company and its affiliates
from and against liabilities, losses and claims of any kind or nature imposed on,incurred
by, or asserted against Montgomery Elevator Company or its affiliates arising out of the
operation of the equipment. You hereby waive any and all rights of subrogation, arising
as a matter of law or otherwise which you might hereafter have against Montgomery
Elevator Company or its affiliates.
Neither Montgomery Elevator Company nor its affiliates shall be liable for any loss,
damage, detention or delay caused by accidents, strikes, lockouts, material shortages
or by any other cause which is beyond its reasonable control, or in any event, for inci-
dental or consequential damages. Montgomery Elevator Company shall not be liable for
any work, service or material other than that specifically mentioned herein.

MONTGOMERY ELEVATOR COMPANY, in consideration of $ 158.02. _ payable by you monthly
in advance, hereby agrees to furnish services as herein described on the above equipment located at
Weld Centennial Center/Complex, 915 - 10th Street, Greeley, Colorado
At the termination of each one-year period from the date of submission of this Agreement, the price will be
increased or decreased by the percentage of increase or decrease in the then current straight-time houdg irate for
Elevator Constructor Mechanics where the equipment is maintained. Present mechanic rate is-_ 90
You shall pay, in addition to the price, any tax imposed upon you by any existing or future law and the amount of
any tax imposed upon us, our suppliers or you under any statute, court decision. rule or regulation becoming
r effective after the date of this proposal which is based upon or incident to the transfer, use. ownership or
possession of the materials or equipment involved in the performance hereof or the services rendered, hereunder.
You shall at all times and at your own cost, maintain comprehensive bodily injury and property damage insurance
(naming Montgomery Elevator Company as an additional insured), including bodily injury and property damage
caused by the ownership, use or operation of the equipment described herein.
The service specified herein will be furnished from the effective date above stated, and shall continue for a
period of five years. Either party may terminate this agreement either at the end of the first five years or at
the end of any subsequent five years by giving the other party ninety (90) days written notice prior to the
anniversary date of the contract.
This proposal, and the acceptance thereof, shall constitute, exclusively and entirely,the Agreement for the service
described, and all prior representations of agreements relating thereto, whether written or verbal,shall be deemed
to be merged herein and no changes in or additions to this Agreement shall be binding upon Montgomery Elevator
Company until approved by one of its executive officers at Moline. Illinois. In the event that Purchaser's
acceptance is in the form of a purchase order or other kind of document,the Provisions,Terms and Conditions of
this proposal shall govern in the event of conflict.

Subject: Elevator Maintenance Service
Gentlemen:
With reference to the two Montgomery Passenger Elevators #CP-35275-6,
located at your new Weld Centennial Center/Complex in Greeley, we
wish to advise that we are approaching the end of our three month free
service period, as an obligation under the original purchase contract.
These elevators have been completed by us and final accepted and turned
over for use on June 1 , 1976 and we have been providing our free main-
tenance service since then and will continue to do so until September
1 , 1976, at which time a regular service agreement should go into effect.
We are sending you enclosed herewith for your consideration and accept-
ance our proposed Complete Maintenance Agreement, dated July 26, 1976,
covering our services for these two elevators. We are offering you a
special reduced price for the next nine months, as a matter of good
will and to round out the first year of operation.

Our contract gives you complete protection, including major and minor re-
pairs, parts and labor, regular scheduled examinations and regular time
emergency call-back service whenever needed.
A careful preventive maintenance program, performed by thoroughly trained
and experienced personnel , will maintain your elevator equipment in a first
class state of repair, in accordance with factory specifications, and
will assure you of dependable and correct operation. It also gives you our
unconditional guarantee that this equipment will be kept in a like-new con-
dition for an infinite period of time.
Our contract also includes all necessary annual work, such as cleaning of
hoistways and periodic load and safety tests, as required by the American
Standard Safety Code for Elevators.
Montgomery Elevator Company has over eighty years of engineering skill and
experience in vertical transportation equipment. Our sales and service
organization, second largest in the inudstry, has more than 170 offices
throughout North America and is the largest independent exclusive elevator
and escalator manufacturer in the Western Hemisphere. Our Denver office,
together with offices in Greeley and Colorado Springs, is considered the
largest elevator service company in the entire Rocky Mountain Area, in-
cluding Wyoming, Montana and Western Nebraska. Our Denver Service Depart-
^ ment presently employs 25 mechanics and our local Greeley Service office
can give you emergency service within a minimum of time.
We trust that our proposal meets with your approval and request that you
return three signed copies to this office and we will then obtain one
fully executed copy for your file.
We will very much appreciate the opportunity of providing our services for
this fine equipment and your outstanding organization and assure you that
it will receive our very best efforts.
