RE: APPROVE AMENDMENT TO PROFESSIONAL SERVICE AGREEMENT AND
AUTHORIZE CHAIR TO SIGN - MOUNTAIN SHADOWS CARRIAGES/ DARRIN
HENRY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Amendment to a Professional
Service Agreement between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Weld County Fair Board, and
Mountain Shadows Carriages/ Darrin Henry, commencing July 23, 2014, with further terms and
conditions being as stated in said amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Amendment to the Professional Service Agreement between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Weld County Fair Board, and Mountain Shadows Carriages/
Darrin Henry, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 23rd day of July, A.D., 2014.

AMENDMENT TO JUNE 25.2014,2014 WELD COUNTY FAIR WAGON/CARRIAGE
RIDES PROFESSIONAL SERVICES AGREEMENT
THIS AMENDMENT to the June 25,2014,2014 WELD COUNTY FAIR
WAGON/CARRIAGE RIDES PROFESSIONAL SERVICES AGREEMENT(hereinafter
"Agreement"), is made and entered into this 23rd day of July,2014,by and between the
COUNTY OF WELD, COLORADO, by and through the Weld County Board of Commissioners
(hereinafter"County"),and Mountain Shadows Carriages,Darrin Henry (hereinafter
"Contractor").
RECITALS
•
WHEREAS, on June 25,2014, County and Contractor executed the Agreement for the
provision by Contractor of horse drawn wagon/carriage rides at the 2014 Weld County Fair; and
WHEREAS, pursuant to Section IV of the Agreement,County paid to Contractor
$750.00 (seven hundred and fifty dollars and no cents)upon execution of the Agreement; and
WHEREAS, due to unforeseen circumstances,Contractor's horses to be utilized to fulfill
the obligations of the Agreement have been quarantined by order of the Colorado State
Veterinarian and such horses will be unavailable for the 2014 Weld County Fair; end
WHEREAS, in lieu of horse drawn wagon/carriage rides, Contractor is able to provide
tractor and hay rides.
NOW,THEREFORE,in consideration of the following mutual agreements and
covenants,County and Contractor hereby agree to amend the Agreement as follows:
1. The above set forth Recitals are incorporated into the Agreement as if fully set forth.
2. Subsections 1a, lb and 1 c of Section I of the Agreement are hereby replaced in their entirety
by the following:
1. Contractor agrees to provide a wagon capable of carrying at least 20 people to conduct
hay rides and a tractor to pull such wagon.
a. Contractor agrees to provide continuous hay rides during the following days and
hours, Thursday, July 24th 9:00 am — 5:00 pm; Friday, July 25th 9:00 am—8:00 pm;
Saturday, July 26t"9:00 am—8:00 pm and Sunday, July 27' 8:00 am—4:00 pm.
b. Contractor agrees to safely operate all rides continuously through the duration of the
hours specified in above Subsection 1(a) and maintain all equipment associated with
such rides in a safe and proper working condition.
c. Contractor will provide 42 bales of straw; 21 bales of grass hay; old hitch wagon;

grain wagon and miscellaneous antique western items used for decoration at the
Fiddle Fest.
d. Contractor will bring a carriage and conduct a"Princess Experience"booth to provide
a place for families to take pictures of children in the carriage.
3. Section II of the Agreement is hereby replaced in its entirety by the following:
SECTION Il-RESFONSIBILITES OF COUNTY:
1. County agrees to provide and make available at no charge to Contractor, adequate space
at Island Grove Park to enable Contractor to provide the services specified in this
Agreement,
2. County agrees to provide a camping space with water and electrical hook ups Tuesday,
July 22,2014,through Monday July 28th, 2014,
4, Section IV of the Agreement is hereby replaced in its entirety by the following:
Section IV-- PAYMENT AND FEE SCHEDULE:
County has already paid Contractor $750,00 (seven-hundred and fifty dollars and no
cents) as a down payment for Contractor's performance pursuant to this Agreement, Upon
satisfactory performance of the Contractor's duties and at the end of the Fair on July 27,
2014, County shall pay Contractor an additional $1750,00 (one-thousand seven hundred and
fifty dollars and no cents). County shall not be obligated to pay any further costs or expenses
associated with Contractor not specified in this Section IV.
5. Except as provided herein, all other terms and conditions of the Agreement shall remain in
effect.
IN WITNESS WHEREOF,the parties hereto execute this Amendment on July 23,2014,
