RE: APPROVE AMENDMENT#3 TO MEDICAL SERVICES AGREEMENT AND AUTHORIZE
CHAIR TO SIGN -CERNER HEALTH CONNECTIONS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment #3 to the Medical Services
Agreement between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, and Cerner Health Connections, Inc.,commencing June 15,2014,
and ending June 14, 2016, with further terms and conditions being as stated in said amendment,
and
WHEREAS, after review,the Board deems it advisable to approve said amendment,a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that Amendment#3 to the Medical Services Agreement between the County of
Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and
Cerner Health Connections, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 7th day of April, A.D., 2014.

AMENDMENT NO. 3
TO THE
MEDICAL SERVICES AGREEMENT
WITH
WELD COUNTY, COLORADO
THIS AMENDMENT NO. 3 to the Medical Services Agreement (the "Agreement") dated March 08, 2010 between
Cemer Health Connections, Inc., formerly known as IMC HealthCare, Inc., (hereinafter "CERNER"), a Delaware corporation
having its principal place of business at 2800 Rockcreek Parkway, Kansas City, Missouri, 64117 and Weld County, Colorado
("Client"), a political subdivision of Colorado having its principal place of business at 1150 "O" Street, Greeley, CO, 80631 , is
effective as of March 25, 2014 ("Amendment No. 3 Effective Date"),
WITNESSETH:
WHEREAS, the parties hereto wish to amend the Agreement, in certain respects,
NOW, THEREFORE, in consideration of the premises, the parties hereto do hereby covenant and agree as follows:
1 . The term of the Agreement shall be extended for a period of twenty-four (24) months beginning on June 15,
2014 in the amount of forty-five thousand four hundred fifty-one dollars ($45,451) per month, ending on June
14, 2016. This monthly fee shall not be subject to increase until after June 14, 2016.
2. The following is hereby added to Scope of Services 3(b):
Chronic condition management determined by the level of experience, education and qualifications of
the provider(s)
3. The following is hereby amended and restated in Appendix B, Personnel Staffing:
a. One (1 ) Supervising Physician (Two hours per week)
b. One (1 ) Part-Time Medical Assistant (Saturday coverage plus additional six hours per week)
4. The following is hereby added to Appendix B, Personnel Staffing:
a. One (1 ) Part-Time Nurse Practitioner or Physician's Assistant (Six hours per week)
5. In all other respects, the Agreement of remains unchanged.
IN WITNESS WHEREOF, the parties hereto do hereby execute this Amendment No. 3 as of the Amendment No. 3
Effective Date.
