RE: APPROVE SETTLEMENT AGREEMENT, ACCEPT DEED OF DEDICATION, AND
AUTHORIZE CHAIR TO SIGN - PAULA LEE HOP EXEMPTION TRUST AND
ANDREW JAY HOP (HOP DAIRY)
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Settlement Agreement between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, and the Paula Lee Hop Exemption Trust, and Andrew Jay Hop, with further terms and
conditions being as stated in said Settlement Agreement and
WHEREAS, pursuant to the terms of the Settlement Agreement, the Board has be
presented with a Deed of Dedication, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Settlement Agreement between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, and the Paula
Lee Hop Exemption Trust, and Andrew Jay Hop, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Deed of Dedication is hereby
accepted.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said Settlement Agreement and Deed of Dedication.
BE IT FURTHER RESOLVED by the Board that the Controller be, and hereby is,
authorized to cause payment to be made in accordance with the Settlement Agreement.

SETTLEMENT AGREEMENT
This Settlement Agreement is made effective as of December/0, 2014, by the County
of Weld, a political subdivision of the State of Colorado ("Weld County") on one hand, and the
Paula Lee Hop Exemption Trust and Jay Hop (collectively, "HOP") on the other.
WHEREAS The Board of County Commissioners of Weld County has determined that
improvements to portions of Weld County Road 49 are necessary and in the public interest, and
that it is therefore necessary that Weld County acquire certain real property for construction of

said highway improvements;
WHEREAS Weld County is authorized by the provisions of Title 43, Article 2, Colorado
Revised Statutes, and Title 38, Article 1, Colorado Revised Statutes, to take property for the
purpose of constructing said highway improvements;
WHEREAS HOP owns real property identified by Weld County as property needed for
said highway improvements, more particularly described in Exhibit A—for a permanent right-of-
way consisting of approximately 7.18 acres, more or less; and Exhibit B—for a temporary
construction easement consisting of approximately 2.78 acres more or less (the "Property");
WHEREAS all statutory requirements for condemnation of the Property were met; the
parties negotiated in good faith; but the parties were unable initially to agree upon compensation
to be paid for the Property and any damages thereto;
WHEREAS Weld County filed a Petition in Condemnation in the Weld County District
Court, Case Number 2014CV 30371 (the "Action"), which is pending;
WHEREAS the Parties to the Action stipulated that Weld County shall have possession
of the Property effective as of September 15, 2014, and Weld County paid to HOP the sum of
$91,190.00 as partial compensation for the Property and damages thereto;
WHEREAS no persons or entities who are not parties to the Action, and to this
Settlement Agreement, have any right, title, and/or interest in and to the Property; and
WHEREAS the parties to this Settlement Agreement now wish to settle all claims for
compensation and damages, and any other potential causes of action now existing between them
amicably, without making any admissions against interest, and without the cost, uncertainty,
burden and inconvenience of further litigation regarding the parties respective rights and

interests;
NOW, IN CONSIDERATION of the mutual releases and promises contained herein, the
parties agree as follows:
Settlement
1. Hop shall convey the Property to Weld County within ten days after this
Agreement is executed.
2. Weld County shall pay to Hop as full compensation and damages for taking the
Property, the sum of$331,168.00. Weld County shall have a credit of$91,190.00, based on the
payment made pursuant to the stipulation for possession. The remaining sum, $239,978.00, shall
be paid by Weld County to Hop on or after January 1, 2015, but not later than January 15, 2015.
Dismissal of the Action
3. Within ten days after this Settlement Agreement is executed, Weld County shall
file all papers necessary to obtain dismissal of the Action with prejudice. Hop shall cooperate in
preparing and filing the papers. Dismissal may be obtained through an "unopposed" motion.
Mutual Releases
4. In exchange for the promises contained herein, Weld County and Hop hereby
mutually release and forever discharge one another, and their attorneys, heirs, successors and
assigns,jointly and severally, fully and finally, from any and all claims, causes of action,
compensation, damages, statutory damages, costs, expenses, attorney fees, suits in equity,
injunctive actions, and liability of every kind, known or unknown, based on or related to or
arising from Weld County's condemnation of the Property, as asserted in the Action, arising
prior to the date of this Agreement.
No Admissions

5. Each party denies that they have engaged in any wrongdoing, or committed any
act or omission in violation of any law. This Agreement is a compromise of disputed claims to
avoid the cost, burdens and inconvenience of litigation. This Agreement shall not be construed
as an admission by either party of any wrongdoing against each other or any other third party.
Ownership of Claims
6. The parties represent and guarantee that they have not assigned, transferred, or
purported to have assigned or transferred to any person or entity the Property or any claim or
cause of action released herein.
Complete Agreement
7. This Agreement contains all of the agreements and understandings between the
parties and supersedes any prior negotiations or proposed agreements, written or oral.
Severability
8. Should any provision of this Agreement be declared or be determined by any
Court to be illegal, invalid, or unenforceable under present or future laws, such provisions shall
be fully severable and this Agreement shall be construed and enforced as if any such illegal,
invalid or unenforceable provision had never comprised a part of this Agreement.
Applicable Law, Venue and Enforcement
9. This Agreement shall be deemed to have been made and entered into in the State
of Colorado, and this Agreement shall in all aspects be interpreted, enforced, and governed under
the laws of the State of Colorado. Any action to enforce this Agreement shall be brought in the
district court of Weld County, Colorado. The language of all parts of this Agreement shall in all
cases be construed as a whole according to its fair meaning and not strictly for or against any of

the parties to this Agreement. In the event of any action to enforce this Settlement Agreement,
the prevailing party shall be entitled to recover its costs and reasonable attorney fees.
Binding Effect
10. This Agreement shall be binding upon all parties and their agents, personal and
legal representatives, heirs, successors and assigns.
Modifications
11. This Agreement may not be changed, modified or amended and no waiver of any
provision of this Agreement shall be effective except by written instrument, specifying that it
amends this Agreement, signed by the party against whom the enforcement of any waiver,
change, modification, extension or discharge is sought.
Execution
12. This Agreement may be executed in one or more counterparts, each such
counterpart to be considered an original portion of this Agreement, and all of which together
shall constitute a single instrument. A facsimile or photocopy of any signature shall be as valid
as the original signature. A photocopy of this Agreement may be used in lieu of an original in
any action or proceeding brought to enforce or construe this Agreement.

THIS DEED, made this 9$ day of December, 2014, between Andrew Jay Hop and the Paula
Lee Hop Exemption Trust, (collectively referred to herein as "Grantor"), and the County of Weld,
a body corporate and politic of the State of Colorado,through its Board of County Commissioners,
(referred to herein as "Grantee"), whose legal address is 1150 "O" Street, Greeley, Colorado
80631:
WITNESSETH: That Grantor,for and in consideration of the sum of Three Hundred Thirty
One Thousand One Hundred Sixty Eight Dollars and no/100 ($331,168.00) the receipt and
sufficiency of which is hereby acknowledged, does, pursuant to Colorado Revised Statute §43-2-
201(1)(a), hereby dedicate and convey forever unto Grantee for use as a Public Road Right-of-
Way, that real property lying and being in the County of Weld, State of Colorado, to wit:
The real property described and shown on the attached Exhibit "A"
EXCEPTING oil, gas, hydrocarbons, and mineral leases, liens, encumbrances, rights-of-
way, easements and utilities thereto existing or of record, and
