RE: APPROVE CONFLICT WAIVER RELATED TO SALE AND PURCHASE OF GEISERT
STORAGE PIT AND AUTHORIZE CHAIR TO SIGN - LAWRENCE JONES CUSTER
GRASMICK, LLP
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Conflict Waiver Related to the Sale and
Purchase of the Geisert Storage Pit between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, and Lawrence Jones Custer
Grasmick, LLP, acknowledging a potential conflict of interest regarding dual representation with
the Central Colorado Water Conservancy District, and
WHEREAS, after review, the Board deems it advisable to approve said conflict waiver, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Conflict Waiver Related to the Sale and Purchase of the Geisert
Storage Pit between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, and Lawrence Jones Custer Grasmick, LLP, be, and hereby is,
approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said conflict waiver.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 10th day of February, A.D., 2014.

Re: Conflict Waiver Related to the Sale and Purchase of Geisert Storage Pit
Dear Bruce and Randy:
As you know this firm currently represents the Board of County Commissioners of the
County of Weld("Weld County")and Central Colorado Water Conservancy District("Central")on
certain water matters. Weld County and Central have recently discussed entering into an agreement
whereby Central would purchase from Weld County its Geisert storage pit.You have agreed upon
the primary terms of a Purchase and Sale Agreement and wish for our firm to draft the agreement for
you.
We have discussed with you the potential conflict of interest that exists with our firm
representing both of you in connection with an agreement. Due to the fact that we are familiar with
your water matters and that you have agreed on the primary material terms for the agreement,we
reasonably believe that we will be able to provide competent and diligent representation to each of
you in regards to this agreement. Pursuant to the Rules of Professional Conduct,Rule 1.7,we are
required to disclose this potential conflict to you and we must obtain your informed consent in
writing in order to represent you in connection with this agreement.
Your signature below will indicate that you understand that a potential conflict exists and
you are waiving any objection to our firm representing you both regarding the aforementioned
Purchase and Sale Agreement. We appreciate your consideration and understanding regarding this
issue.
