It is my understanding from your letter that in addition to Dianne E. Hahlweg, Linda S. Clary and Ina K. Devers claiming ownership of the subject minerals, a claim is being made by Henry Schaeffer Farms LLC. The Quit Claim Deed you offer for the Board of County Commissioners of Weld County to execute conveys only to Hahlweg, Clary and Devers. Your letter provides only a short explanation that, "Henry Schaeffer Farms LLC has no interest in this tract of this Road Deed as it was clearly excepted out of the vesting deed to Henry Schaeffer. . . ,"but gives no explanation as to the nature of the claim made by Henry Schaeffer Farms LLC. Although the Quit Claim Deed from David Severance to Weld County,dated September 28, 1903,and recorded at Book 163, Page 450, Document Number 92451, states, "Said strip of land is given for road purposes only . . . ," thus implying no minerals were conveyed, that language does not create a responsibility on the part of the Board of County Commissioners to interject itself into the dispute between Hahlweg, Clary and Devers, and Henry Schaeffer Farms LLC, by signing the offered Quit Claim Deed. Weld County Attorney 1150 0 Street Greeley, CO 80631 Re: Minerals underlying County Road 25 Dear Mr. Barker: I am the attorney for Dianne Hahlweg, Linda Swanson Clary and Ina Devers, (collectively "Swanson's Heirs") whom I believe are the owners of the 6.85 acre mineral tract underlying County Road 25, in Weld County, Colorado, located in the Northwest Quarter of Section 7,Township 6 North,Range 66 West of the 6th P.M("Quarter Section'). In summary, this title issue arises from a deed recorded at Book 163, Page 450, Document No. 92451 dated September 23, 1903 in which David Severance conveyed to Weld County, a strip of land to be used as a road without a mineral reservation ("Road Deed"). The Road Deed contained conditional durational language that when the road was no longer used, it would automatically revert to the grantor, Severance or his heirs or assigns. The Road Deed, as we have so labelled, created a true text-book fee simple determinable. County Road 25 is currently in use and is being maintained by Weld County according to the Department of Public Works and the reversion is not at issue. I learned that historically Weld County treats these type of deeds as conveyances of an easement. Regardless of how the interest conveyed to Weld County for the road is categorized, ownership of the minerals belongs to Swanson's Heirs. If the Road Deed is defined as an easement, then of course the minerals were not conveyed to Weld County and were retained by initial grantor David Severance and were conveyed with surface in the Quarter Section until March 11, 1988 when Swanson's predecessors-in-title and heirs (Ruby Lorene Swanson and Trustee for Robert A. Swanson, deceased)by deed began clearly excepting out the tract of land known as the Road Deed.' Dianne Hahlweg,Thomas Robert Swanson and Ina Devers are children of Robert A.Swanson and stepchildren of Ruby Lorene Swanson. Thomas Robert Swanson is deceased and his interest was inherited by his spouse Linda Swanson Clary,who is now one of my clients in this matter. 2 Each Deed in the chain of title subsequent to the vesting deed to Swanson's parents and predecessors-in-title contained the following exception language:"excepted therefrom a tract of land conveyed to Weld County by deed recorded September 28,2901 in Book 163 at page 450 beginning more particularly described as a strip of land 60 feet width(and running around a seep hole)through the NW 9..of the NW 9.of Section 7, Township 6 North...." a. Warranty Deed recorded March 14, 1988 at Rec No.02133895 from Ruby Lorene Swanson and United Bank of Greeley as Trustee of Will of Robert A.Swanson to Robert A.Hamm. b. Warranty Deed recorded December 8, 1988 at Reception No.02164499 from Robert A.Hamm to Lawrence Wayne and Linda Lee Allred(portion of Section). c. Warranty Deed recorded May 1, 1992 at Reception No.02286512 from Robert A.Hamm to Henry Schaefer and Nancy Hammers. The Road Deed from that date forward was consistently excepted from all subsequent conveyances in the Quarter Section, and therefore title remained with Ruby Lorene Swanson and the Trustee of the Robert A. Swanson Trusts, subject to the easement created by the Road Deed. In 1999, Norwest Bank as trustee of Robert A. Swanson's trust and Thomas Swanson, as Personal Representative of the Estate of Ruby Lorene Swanson conveyed the remainder of their interests in the Quarter Section to Swanson's Heirs, which interests consisted of the surface and oil, gas and other minerals underlying the Road Deed, subject to Weld County's road easement.3 Alternatively, if the Road Deed is defined as Fee Simple Determinable with no mineral reservation, then the oil, gas and other minerals under the tract belong to Weld County. Since Weld County is only interested in retaining the surface for road use,title to the minerals should be conveyed to Swanson's Heirs whose parents excepted out the Road Deed over the years only to give any remaining interests in the end to Swanson's Heirs as described above. Furthermore, the oil and gas leasing history for the Quarter Section indicate that Swanson's Heirs are the mineral owners since they are the lessors of the minerals under the Road Deed. It makes sense since all the exception language preserving the Road Tract by their parents was a consistent pattern showing an intent to give their children,Swanson's Heirs all of the surface and/or mineral rights under the Road Tract, subject of course to Weld County road easement. My opinion is consistent with the opinion expressed in the Drilling and Division Order Title Opinion prepared by Akers & Associates on behalf of PDC Energy. Unfortunately,mineral ownership under this County Road is also being claimed by another landowner, Henry Schaeffer Farms LLC.4 This matter can be resolved if the County is willing to execute a Quit Claim Deed to my clients in equal shares for the oil,gas and other minerals underlying the Road Deed and surface if the Road Deed is treated as an easement. The conveyance would make title marketable and my Clients would be entitled to a release of funds from the oil and gas operation in the Quarter Section and pursuant to the Oil and Gas leases they executed. I have included copies of some of the relevant documents for your reference and review. I did not want to include copies of the entire chain of documents since I thought it might be both overwhelming and unnecessary. In addition,I have included a proposed Quit Claim Deed for your review and approval. 3 Quit Claim Deed recorded February 22, 1999 at Rec.No.2674571 from Thomas Swanson as Personal Representative of the Estate of Ruby Lorene Swanson, Deceased to Ina Kay Devers, Dianne Elaine Hehlweg and Thomas Robert Swanson.
