RESOLUTION
RE: APPROVE POSSESSION AND USE AGREEMENT CONCERNING CERTAIN
IMPROVEMENTS TO COUNTY ROAD 49 AND AUTHORIZE CHAIR TO SIGN -ALVIN
AND DONNA DECHANT
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Possession and Use Agreement
Concerning Certain Improvements to County Road 49 between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Works, and Alvin and Donna Dechant, with terms and conditions being as
stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Possession and Use Agreement Concerning Certain Improvements to
County Road 49 between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Department of Public Works, and Alvin
and Donna Dechant, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 7th day of December, A.D., 2015.

POSSESSION AND USE AGREEMENT
THIS AGREEMENT is made thisl1 day of December,2015, by and between Alvin &
Donna Dechant, hereinafter referred to as "Owner" and the County of Weld, a body corporate and
politic of the State of Colorado, by and through its Board of County Commissioners, hereinafter
referred to as "County".
WHEREAS, Owner owns real property described in the attached Exhibits A, B and C
(collectively referred to herein as the"Property"), and
WHEREAS, Exhibit A describes and depicts the Right-of-Way (ROW) to be conveyed to
the County,and
WHEREAS, Exhibit B describes and depicts the Temporary Construction Easement (TCE)
to be conveyed to the County, and
WHEREAS, Exhibit C describes and depicts the Permanent Easement (PE) to be conveyed
as set forth herein, and
WHEREAS, Exhibit D provides the form of the TCE to be conveyed to the County,and
WHEREAS, Exhibit E provides the form of the PE to be conveyed as set forth herein,and
WHEREAS,County finds it necessary to rebuild and improve Weld County Road 49, which
will involve said road's realignment and construction, (hereinafter referred to as "Road
Improvement Project"),and
WHEREAS, County requires said Property in order to complete said Road Improvement
Project, and is need of immediate possession of said Property, and the Parties have not yet agreed
upon the compensation to be provided to the Owner.
NOW, THEREFORE,the Parties agree as follows:
1. In consideration of this irrevocable grant of possession, mutual promises and
covenants contained herein, County will tender the Owner the sum of Twenty
Thousand and no/100 ($20,000.00) dollars. The County shall be entitled to take
possession of the Property described in Exhibits A through E upon tender of said
sum for the purposes described in this Agreement. It is agreed this sum shall be
deducted from any final settlement amount, award, or verdict. It is also agreed in the
event the ultimate settlement amount, award, or verdict is less than this amount,even
if County determines that the property is no longer needed, Owner shall have no
obligation to refund any sum to County.

2. Owner, to the best of Owner's knowledge, represents that the title to the property is
free and clear of all monetary liens. The grant of the Property by Owner to County is
subject to all matters of record and does not include oil, gas or other minerals, which
are reserved to Owner.
3. Owner agrees to grant possession of the Property to County.
4. This agreement is made with the understanding the County will negotiate in good
faith with the Owner to acquire the interest in the property. It is further understood in
the event a settlement is not reached within 120 days of the signing of this
agreement, such failure will be a confession that the negotiations to acquire the
propertied described herein have proved futile. At that point, the County may begin
proceedings in eminent domain to acquire title to the property herein described. The
County shall not unreasonably delay the commencement of proceedings under the
eminent domain law once the time provided for in this paragraph has expired. If the
County begins proceedings in eminent domain, it is understood and agreed this
agreement shall continue in effect until either a settlement is reached or a rule and
order is entered by the court, as provided for in C.R.S. 38-1-105(3). If such
proceedings are begun, this Possession and Use Agreement shall operate as a
stipulation to immediate and continued possession of the Property pursuant to C.R.S.
38-1-105(6). Owner reserves all rights regarding its claim for total compensation
due as a result of the County's acquisition of the Property.
6. It is agreed by the undersigned, in the event proceedings in eminent domain are
begun, the valuation day for determining the amount of just compensation shall be
the date on which payment was tendered to the owner, pursuant to paragraph one
above.
7. This Agreement shall be deemed a contract and shall bind the parties and shall
extend to and bind their heirs, executors, administrators, legal representatives,
successors,and assigns.
8. This Agreement embodies all of the agreements between the parties hereto and there
are no promises, terms, conditions, or obligations referring to the subject matter
whereof other than as contained herein.
9. Owner is entitled to obtain an appraisal of the Property and County shall reimburse
Owner for the full cost of the appraisal within thirty (30) days of delivery of the
appraisal to County.
10. Prior to construction commencing on the Project and right of way described herein,

10. Prior to construction commencing on the Project and right of way described herein,
the County shall construct a temporary fence line along the outside boundary of the
temporary construction easement. Such temporary fencing shall be sufficient to
contain livestock. At the conclusion of construction, the County will install a new
permanent right of way fence along the boundary of the new right of way being
acquired hereunder, which will also be sufficient to contain livestock. The Owner
shall be responsible for the subsequent maintenance of said fence.

EXHIBIT D TO POSSESSION AND USE AGREEMENT
THIS TEMPORARY CONSTRUCTION EASEMENT,effective upon execution by all parties, is made between
Alvin Dechant, as "Grantor",and the County of Weld,a body corporate and politic of the State of
Colorado,through its Board of County Commissioners,as"Grantee".
Grantor,for and in consideration of the sum of Ten and no/100($10.00)and other good and valuable
consideration,the receipt and sufficiency of which are hereby acknowledged, hereby GRANTS,
BARGAINS,SELLS,AND CONVEYS to Grantee a temporary construction easement(TCE)as more
particularly described in Exhibit A attached hereto,to use as work space during the construction of and
in relation to the roadway improvements within the right of way.The term of the TCE shall not exceed
January 1, 2018. However, if Grantee has completed its use of the TCE prior to that date, upon written
notice thereof provided by Grantee to Grantor,then the TCE shall immediately terminate.All rights,
duties and/or obligations arising hereunder shall apply to the TCE only during the period that said
easement in in effect.
The right to use the TCE shall belong to the Grantee and its agents, employees,designees,contractors,
guests, invitees,successors and assigns, and all those acting by or on behalf of Grantee for the purpose
of surveying, appraising,establishing, laying,constructing, reconstructing, installing, realigning,
modifying, replacing, improving,adding,altering,substituting, operating, maintaining, accessing,
inspecting, patrolling, protecting,or repairing the roadway improvements, including the storage of
materials related to said roadway improvements.
Grantee shall have the right of ingress,egress,entry and access in,to,through, on,over, under,and
across the TCE from any adjacent property to which Grantee has legal access,for any and all purposes
necessary and/or incident to the exercise by the Grantee of the rights granted to it hereunder.At the
expiration of the term of this TCE, Grantee shall promptly repair any damage to Grantor's property
cause by Grantee, its agents,employees,contractors,guests, invitees,and all those acting by or on
behalf of Grantee so as to maintain the Grantor's property in substantially as good or better condition as
existed prior to use by Grantee.
Grantee agrees that any current access to the property from Weld County Road 49 shall remain open
throughout the term of the TCE. Grantor agrees to construct a temporary fence along the boundary of
the TCE, and further agrees to remove said fence and place a permanent fence along the boundary of
the public road right-of-way(ROW) upon the expiration of the term of the TCE,or the completion of the
road improvement project,whichever occurs first.

Exhibit E to Possession and Use Agreement
PIPELINE RIGHT-OF-WAY GRANT
FOR AND IN CONSIDERATION OF THE SUM OF Ten and More($10.00+) DOLLARS and other
good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged,Alvin Dechant and Donna L.
Dechant,whose address is,
hereinafter referred to as"Grantor"(whether one or more)does hereby grant,sell,convey,and warrant to DCP Midstream,LP,
whose local address is,3026 4'h Avenue,Greeley,CO 80631,its successors and assigns,hereinafter referred to as"Grantee",the
right, privilege and easement, Fifty (50) feet in width for a temporary easement, for a time period of Ninety (90) days
commencing January 1,2016,or at such time as Grantee commences construction,whichever is earlier,for construction for this
line or lines along with additional work space for boring,and a permanent non-exclusive easement of Twenty-Five(25)feet in
width,for the purpose and from time to time,operating,inspecting,maintaining,protecting,repairing,replacing,change the size
and removing two (2) pipelines with fittings, tie-overs, cathodic protection equipment and all other appurtenances, for the
transportation of oil, gas, petroleum products, water, and any products and derivatives of any of the foregoing, and any
combinations and mixtures of any of the foregoing,upon and along a route through the following described land located in WELD
County,State of COLORADO,to wit:
Township 2 North,Range 65 West of the 6`h P.M.
Section 12:Part of the NE1/4
Said temporary construction easement and permanent non-exclusive pipeline easement being more particularly described
on Exhibit"A"attached hereto and made a part hereof.
Together with the right of ingress and egress to and from said pipeline or lines,on,over,and across said land and adjacent land of
Grantor.
It is agreed that the pipeline or lines to be laid under this grant shall be constructed a minimum depth of forty-eight(48)inches
below the surface of the ground to permit normal cultivation at the time of construction,and Grantor shall have the right to fully
use and enjoy the above described premises subject to the rights herein granted.
Grantee agrees to reclaim those lands disturbed during construction as nearly as practicable to its original condition and reseed the
same as soon as possible.
Grantee shall have the right to clear all trees,undergrowth and other obstructions from the herein granted permanent right-of-way,
and Grantor agrees not to build,construct or create any buildings,structures or engineering works on the herein granted right-of-
way that will interfere with the normal operation and maintenance of said line or lines.
Grantee agrees to pay to the owners and to any tenant,as their interests may be,any and all damages to crops,timber,fences,drain
tile,or other improvements on said premises that may arise from the exercise of the rights herein granted;provided,however,that
after the pipeline or lines has been constructed hereunder, Grantee shall not be liable for damages caused on the easement by
keeping said easement clear of trees, undergrowth, and brush in the exercise of the rights herein granted. Any payment due
hereunder may be made direct to the said Grantor or any one of them.
The terms, conditions, and provisions of the contract shall extend to and be binding upon the heirs, executors, administrators,
personal representatives,successors,and assigns of the parties hereto.
TO HAVE AND TO HOLD said easement,rights,estates,and privileges unto Grantee,its successors and assigns,as long as said
easement is used for the purposes granted herein.
