LAND TRUST AGREEMENT
AND
DECLARATION OF TRUST
THIS TRUST AGREEMENT, dated this 6th day of March, 1961
is to certify that James D. Hassed and Charles A. Karowsky, hav-
ing taken title to certain real estate as Trustees under Deed
dated June 14, 1960 and recorded June 16, 1960 in Book 1560,
Page 313, Weld County Records, said real estate being situate
in the County of Weld, State of Colorado, and described as fol-
lows:
The North Half (N') of Section Twenty-seven
(27), Township Five (5) North, Range Sixty-
six (66) West of the 6th P.M., together
with Four (4) shares of the capital stock
of The Seven Lakes Reservoir Company and
Four (4) shares of the capital stock of The
Greeley-Loveland Irrigation Company,
holds title to said real estate for the uses and terms herein
set forth. The following persons shall be entitled to the
earnings, avails and proceeds of said real estate according to
the respective interests herein set forth, to-wit:
Charles A. Karowsky and Ida Karowsky,
as tenants in common one-third
Judith H. Hassed one-third
Roy Lundvall one-fourth
Henry Markus one-twelfth
but it is understood that the interest of the said Roy Lundvall
is expressly conditioned upon the performance of certain duties
and the procurement of certain benefits to said real estate as
follows:
The construction on said real estate of a reservoir for the im-
pounding and storage of water in the approximate amount of 300
acre feet, the improvement and selling of said lands as a poten-
tial subdivision tract or as a subdivision tract.
Upon the satisfaction of all or part of the conditions above
mentioned,- the Trustees may by separate instrument to be at-
tached hereto acknowledge the vesting in the said Roy Lundvall 3:-
all or any part of the one-third interest, which they in their -7
sole and absolute discretion may deem appropriate. Should the
conditions above stated not be performed within a reasonable
time, to be solely determined by the Trustees, and if, after
60 days written demand by the Trustees for the performance of o
said condition or conditions, the same are not performed, then O
such conditional interest or fraction thereof not acknowledged
as vested shall terminate and shall be allocated proportion-
ately iv
among the beneficiaries of such interests as are vested
and shall be duly noted by instrument attached hereto.

It is understood arid agreed between the parties hereto and by
any person or persons who may become entitled to any interest
under this trust, that the interest of any beneficiary here-
under shall consist solely of a power of direction to deal with
the title to said property and to manage and control said prop-
erty as hereinafter provided, and the right to receive the pro-
ceeds from rental and from mortgages, sales or other disposition
of said premises, and that such right in the avails of said
property shall be deemed to be personal property, and may be as-
signed and transferred as such; that in case of the death of
any beneficiary hereunder during the existence of this trust,
his or her right and interest. hereunder shall, except as herein
specifically provided, pass to his or her executor or adminis-
trator, and not to his or her heirs at law; and that no benefic-
iary now has, and that no beneficiary hereunder. at any time shall
have any right, title or interest in or to any portion of said
real estate as such, either legal or equitable, but only an
interest in the earnings, avails and proceeds as aforesaid. The
death of any beneficiary hereunder shall not terminate the trust
nor in any manner affect the powers of the trustees hereunder.
No assignment of any beneficial interest hereunder shall be bind-
ing on the trustee until the original or a duplicate of the as-
signment is lodged with the trustees, and every assignment of
every beneficial interest hereunder, the original or duplicate
of which shall not have been lodged with the trustees shall be
void as to all subsequent assignees or purchasers without notice.
Nothing contained in this Agreement shall be construed as impos-
ing any obligation on the Trustees to file any income, profit or
other tax reports or schedules, it being expressly understood
that the beneficiaries from time to time will individually make
all such reports, and pay any and all taxes, required with re-
spect to the earnings, avails and proceeds of said real estate
or growing out of their interest under this Trust Agreement.
It is understood that the Trustees have advanced certain monies
in the purchase of this property and that before any disburse-
ments are made to the beneficiaries they shall be entitled to a
return of such monies as have been advanced, but without interest
thereon.
It is further understood that any money borrowed by the Trustees
as such or individually for the development of this property
shall be repaid in accordance with the terms of said loan before
any distribution is made to any beneficiary.
It shall not be the duty of the purchaser of the premises or any
part thereof to see to the application of the purchase money
paid therefor; nor shall any one who may deal with said Trustees
be required or privileged to inquire into the necessity or ex-
pediency of any act of said Trustee, or of provisions of this
Agreement.
In the case of resignation, death or incapacity of either
Trustee, the remaining Trustee shall have all the powers of both
until such time as the beneficiaries hereunder shall designate
a successor.
