RE: APPROVE FIRST AMENDMENT TO LEASE AGREEMENT AND AUTHORIZE CHAIR
TO SIGN - NCMC, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with the First Amendment to Lease
Agreement between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, and NCMC, Inc., commencing May 7, 2015, and continuing
until May 6, 2018, with further terms and conditions being as stated in said lease agreement;
said property being located at 1121 M Street, Greeley, Colorado, and
WHEREAS, after review, the Board deems it advisable to approve said lease
amendment, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the First Amendment to Lease Agreement between the County of
Weld, State of Colorado, by and through the Board of County Commissioners of Weld County,
and NCMC, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said lease amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 6th day of April, A.D., 2015.

FIRST AMENDMENT TO LEASE
THIS FIRST AMENDMENT TO LEASE(this"Amendment")is made and entered into as of the signature dates
set forth below,to be effective as of the 7h day of May,2015(the"Effective Date"),by and between COUNTY OF WELD,
a political subdivision of the STATE OF COLORADO,by and through the Board of County Commissioners of the County
of Weld,hereinafter referred to as"Landlord"and NCMC,INC.,hereinafter referred to as"Tenant".
WITNESSETH:
WHEREAS,Landlord and Tenant are parties to that certain Lease dated effective as of May 7,2012(the"Lease"),
pursuant to which Landlord agreed to lease property located at 1121 M Street, Greeley, CO to Tenant for ambulance
services,as more particularly described therein;and
WHEREAS,in accordance with the terms and conditions hereof,the parties desire to amend the Lease to extend
the term of the Lease.
NOW,THEREFORE,for and in consideration of the mutual covenants and promises contained herein,the receipt
and sufficiency of which are hereby acknowledged,it is understood and agreed upon by the parties hereto as follows:
I. Amendment of the Lease. The term of the Lease is hereby amended to extend the term of the Lease for a
period of three (3) years, commencing as of the Effective Date and continuing until May 6, 2018, subject to earlier
termination as provided in the Lease.
2. 1 rice Effective. Except as otherwise expressly provided herein, all terms and conditions of the Lease
shall remain unmodified and in full force and effect.
3. Precedence of Amendment. In the event of a conflict between the terms and conditions of this
Amendment and the terms and conditions of the Lease, the terms and conditions of this Amendment shall govem and
control.
4. Capitalized Terms.All capitalized terms used in this Amendment and not otherwise defined herein shall
have the meaning ascribed to such terms in the Lease.
5. Incorporation.This Amendment shall be attached to,and made a part of,the Lease.
6. Counterparts. This Amendment may be executed in one or more copies or counterparts,each of which
when signed shall be an original,but all of which together shall constitute one instrument.
