RE: APPROVE SETTLEMENT AGREEMENT AND AUTHORIZE CHAIR TO SIGN - CITY
AND COUNTY OF BROOMFIELD
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Settlement Agreement between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, and the City and County of Broomfield, with further terms and conditions being as stated
in said Settlement Agreement, and
WHEREAS, after review, the Board deems it advisable to approve said Settlement
Agreement, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Settlement Agreement between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, and the City and
County of Broomfield be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said Settlement Agreement.
BE IT FURTHER RESOLVED by the Board that the Controller shall cause payment to be
made in accordance said Settlement Agreement after full execution by all parties.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 14th day of January, A.D., 2015.

SETTLEMENT AGREEMENT
THIS- SETTLEMENT AGREEMENT, made and entered into this day of
AIl((,agiv , 201_57 by and between the County of Weld (hereinafter referred to as
"Weld County"), and the City and County of Broomfield (hereinafter referred to as
`Broomfield").
WITNESSETH:
WHEREAS,Weld County filed a condemnation action in the Weld County District Court
(Case 2014-CV-30849) for the purpose of acquiring certain property interests from Broomfield,
as made necessary by Weld County's road construction projects, and
WHEREAS, after determination of the value of the property interests to be acquired, the
parties have agreed upon the terms and conditions for conclusion of the condemnation action,
and
NOW, THEREFORE, IN CONSIDERATION OF the foregoing and of the promises and
covenants contained herein, the parties hereto promise, covenant and agree as follows:
PROPERTY CONVEYANCE
1. The parties consent to the filing of a Motion for Entry of Rule and Order, in a form
substantially similar to that which is attached hereto.
2. The property to be conveyed is described with particularity in Exhibits A through F,
which are attached to the Motion for Entry of Rule and Order, and are fully incorporated
into this Agreement.
3. Weld County shall cause a copy of the court's executed Rule and Order to be recorded in
the indexes of the Weld County Clerk and Recorder, as would be the case with the
recording of a deed.
COMPENSATION
4. Within 30 days of full execution of this Agreement, Weld County shall pay$91,594.30 to
the City and County of Broomfield — Sewer Enterprise Fund, which is accounted for as
follows:
2.765 acres of irrigated land(RW-3)at $6,543 per acre $18,091.40
1.805 acres of dry land (RW-3) at$2,250 per acre $4,061.25
Temp. construction easement (TCE-3) of 1.385 acres at $440 per acre $608.84
Damages to remainder from part taken(RW-3) $83.37
Costs to cure (RW-3) $2,000.00
1.584 acres of irrigated land(RW-4) at$6,543 per acre $10,364.11

3. Term. The term of this Agreement begins upon the date of the execution of this Agreement
by all parties, and shall continue through and until the completion of all responsibilities of all
parties.
4. Termination. Neither party may terminate this Agreement without the written consent of the
other party. Each party recognizes that the purpose of this Agreement is to fully terminate the
civil action 2014-CV-30849, and as such, any unilateral attempt to terminate this Agreement will
significantly and adversely affect the other party. As such, any such unilateral attempt to
terminate this Agreement may be considered a breach of contract and subject the breaching party
to any remedies permitted by section 5, below.
5. Remedies. In the event of a breach of this Agreement by Weld County, Broomfield shall
have the right to seek a monetary judgment up to and including the total payment to be made by
Weld County under section 4, above, excluding any other damages, including consequential or
punitive damages. In the event of a breach of this Agreement by Broomfield, Weld County shall
have the right to seek specific performance of this Agreement, or such other remedy that allows
Weld County to be fully vested in all property rights sought to be acquired in civil action 2014-
CV-30849, as described in this Agreement, the Attachment to this Agreement, and all Exhibits to
the Attachment.
5. Cooperation. The parties agree to cooperate with each other in order to complete the
requirements described herein, as may be necessary. This includes, without limitation, written
agreement as to undisputed clerical errors in any legal description or other legal document,
necessary signatures, or the filing of appropriate court documents.
6. Entire Agreement/Modifications. This Agreement including the Attachment and the Exhibits
attached to the Attachment are incorporated herein, and contain the entire agreement between the
parties with respect to the subject matter contained in this Agreement. This instrument
supersedes all prior negotiations, representations, and understandings or agreements with respect
to the subject matter contained in this Agreement. This Agreement may be changed or
supplemented only by a written instrument signed by both parties.
7. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal,
or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and
enforced without such provision, to the extent that this Agreement is then capable of execution
within the original intent of the parties.
8. Governmental Immunity. No term or condition of this contract shall be construed or
interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections
or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as
applicable now or hereafter amended.
9. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of the
terms and conditions of this Agreement, and all rights of action relating to such enforcement,
shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or
allow any claim or right of action whatsoever by any other person not included in this
Agreement. It is the express intention of the undersigned parties that any entity other than the
undersigned parties receiving services or benefits under this Agreement shall be an incidental
beneficiary only.
10. Board of County Commissioners of Weld County Approval. This Agreement shall not be
valid until it has been approved by the Board of County Commissioners of Weld County,
Colorado or its designee.
11. Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant
thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement. Any
provision included or incorporated herein by reference which conflicts with said laws, rules
and/or regulations shall be null and void. In the event of a legal dispute between the parties, the
parties agree that the Weld County District Court shall have exclusive jurisdiction to resolve said
dispute.
12. Attorneys Fees/Legal Costs. In the event of a dispute between the parties concerning this
Agreement, the parties agree that each party shall be responsible for the payment of attorney fees
and/or legal costs incurred by or on its own behalf.
