RE: APPROVE JOINT MUTUAL ASSISTANCE AGREEMENT AND AUTHORIZE CHAIR
TO SIGN - ADAMS COUNTY COMMUNICATIONS CENTER, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Joint Mutual Assistance Agreement
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Weld County Regional Communications Center,
and Adams County Communications Center, Inc. (ADCOM, Inc.), commencing upon full
execution of signatures, with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Joint Mutual Assistance Agreement between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Weld County Regional Communications Center, and Adams County Communications
Center, Inc. (ADCOM, Inc.) be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 20th day of July, A.D., 2015.

following;

processes for sharing personnel resources in emergency situations.

JOINT MUTUAL ASSISTANCE AGREEMENT
BETWEEN THE LISTED CENTRAL DISPATCH CENTERS
THIS JOINT MUTUAL ASSISTANCE AGREEMENT is by and between Adams
County Communications Center, Inc., whose address is 7321 Birch Street, Commerce City,
Colorado 80022; and the Board of County Commissioners of Weld County, on behalf of the
Weld County Regional Communications Center, whose address is P.O. Box 758, 1150 O Street,
Greeley, Colorado 80632 (hereinafter each referred to individually as "Central Dispatch Center"
or"Party,"or collectively as "Parties").
In consideration of the following,the parties agree to assist each other through their
respective Central Dispatch Centers, in their governmental functions of Telecommunicators,
subject to the following provisions of this Agreement.
1. That any party has a right to request Telecommunicators from any other party to this
Agreement.
2. That any call for assistance must be made by a Director,Assistant Director/Operations
Manager, or authorized person in charge and that any such requesting person shall
identify himself or herself to the party called and shall designate the personnel needed.
Any party called upon to give aid shall indicate to said requesting person whether or not
his or her Center can assist as requested.
3. The furnishing of such aid shall be wholly within the discretion of the Director,Assistant
Director/Operations Manager, or authorized person in charge of the responding party, and
no liability shall arise from a failure or refusal to furnish such aid.
4. If the responding Central Dispatch Center furnishes aid, it may at any time and for any
reason, withdraw any or all of its personnel, and no liability shall arise from such a
withdrawal.
5. The Director, Assistant Director/Operations Manager, or authorized person in charge of
any responding party,upon arrival at the requesting PSAP location, shall report directly
to the Director, Assistant Director/Operations Manager, or authorized person in charge of
the PSAP, for general instructions and briefing and shall carry out the general directives
of the Director, Assistant Director/Operations Manager, or authorized person in charge of
the PSAP.
6. The services to be performed under this Agreement are to be non-compensated by the
requesting center, except as provided for in this section.
a. Recovery of Funds/Reimbursement of Expenses: If costs for an incident or event
involving mutual aid are recovered above and beyond the Governmental Entities'
normal method for revenue generation/cost recovery,the proceeds shall be shared
on a pro-rata basis with requesting and responding parties.

b. The responding center shall maintain detailed records of expenditures incurred by
it on the behalf of the other for submission to the requesting center.
7. Injuries and/or damage(s)to the personnel of a party caused by accident while going to or
returning from a request for assistants shall be the responsibility of that party.
8. Each party shall have and maintain adequate worker's compensation insurance for its
personnel through a state approved insurance carrier or fund or approved self-insurance
program. All personnel of each party shall be at all times considered employees of their
respective PSAP, regardless of time or place of injury. The employees of a responding
party shall not be the employees of the requesting party.
9. It is agreed that each party shall maintain public liability insurance for personal injury
and property damage through an insurance carrier or coverage pool.
10. The requesting party shall indemnify and save the responding party harmless from all
claims, demands, costs, or damages, including attorney fees, for personal injury, death,
and property damage to any person or legal entity arising out of the acts or omissions of
personnel of the responding party's Director, Assistant Director/Operations Manager, or
authorized person in charge of the PSAP.
11. The responding party shall indemnify and save the requesting party harmless from all
claims, demands, costs, or damages, including attorney fees, for personal injury, death,
and property damage to any person or legal entity arising out of the acts or omissions of
personnel of the responding party which are not specifically directed or ordered by the
requesting party's Director, Assistant Director/Operations Manager, or authorized person
in charge of the PSAP.
12. This Agreement may be amended, in whole or in part, by further written Agreement
signed by all of the parties. This Agreement shall continue until termination by the PSAP
who are parties at the time of termination.
13. Any party may terminate further participation under this Agreement by furnishing written
notice of intent to withdraw to all other parties. The notice shall be given at least 30 days
before termination is effective and shall contain a termination date.
14. If any provision of the Agreement is held invalid by a court of competent jurisdiction, it
shall not render invalid the remainder of the Agreement.
15. This Agreement shall supersede any previous agreements between any of the parties
relating to PSAP Telecommunicator assistance.
16. The provision,terms, and conditions of the Agreement are binding upon the parties
jointly and severally and their respective successors in interest.
