Dear Mr. Gathman,
This firm represents Whiting Oil and Gas Corporation. This letter is in response to the
letter dated March 17, 2015 filed by Vectra DFP, LLC on behalf of Vectra Energy Operating I-
A, LLC, Calier DP, LLC, Hymco DP, LLC and Chatfield DP, LLC as working interest owners
and STA, LLC, Bayshore Minerals, LLC, Hymco Ventures, LLC and Rodella Minerals, LLC as
mineral interest owners (collectively,the "Vectra Group"). On October 14, 2014, Timbro Ranch
& Cattle, LLC c/o of Whiting Oil and Gas Corporation (collectively "Whiting"), filed a Site
Specific Development Plan and Use by Special Review (USR) Application (the "Application")
for a water injection facility.
Pursuant to Section 24-65.5-103, C.R.S,, Whiting provided notice of the public hearing to
the requisite mineral estate owners. The purpose behind providing notice to mineral estate
owners is to facilitate the coordination of surface development with subsurface development. If
a mineral estate owner files an objection to the proposed application, the parties shall enter into
an agreement regarding the surface use so as to provide access to the mineral estate or the
application shall provide for development "[a]ccess to mineral operations, surface facilities,
flowlines, and pipelines in support of such operations existing when the final public hearing on
the application for development is held . . .". C.R.S. § 24-65.5-103.3(1)(II) - (III). Timbro
Ranch & Cattle, LLC owns the surface of the lands covered by this Application and a small
percentage of the mineral estate (5%or less) is owned by the Vectra Group.
By letter dated March 17, 2015, the Vectra Group, through its counsel, submitted a letter
to the Weld County Planning Commission with a copy to Whiting, stating that the parties have
engaged in several conversations and communications regarding "clarification on certain
economic aspects of drilling and completion AFE's and costs, lease operating costs, water

disposal costs, and the Razor 26 Injection Well . . . and certain of Vectra's requests remain
unanswered by Whiting." However, pursuant to Section 24-65.5-103.3(1)(II), C.R.S., Vectra
failed to identify any surface issues that would impact development of the mineral estate and that
warrant an objection in this matter. In fact, the contrary exists in this matter. Whiting has a
surface use agreement in place with the surface owner, Timbro Ranch & Cattle, LLC that
provides Whiting with access to develop the minerals at locations desired by Whiting. Whiting
has provided the Vectra Group with an opportunity to participate in the drilling of oil and gas
wells on lands covered by the Application, which adds an additional layer of protection to the
mineral estate. The Vectra Group's concerns raised in the March 17, 2015 letter relate to the
cost allocations associated with and participation in the water disposal well, which are outside
the jurisdiction of the Weld County Board of Commissioners and this Application. Further,
Whiting has engaged in several telephone calls, emails, and physical meetings with Vectra
Group representatives regarding the costs, accounting and other ancillary matters, again, not the
subject of this Application. Whiting intends to continue those conversations as necessary to
reach a resolution.
Whiting has satisfied the requisite notice requirements for this Application to be
considered for Board approval, and the Application has been recommended for approval by the
Weld County Planner. Indeed, the Vectra Group's letter expressed no valid basis to object to the
Application. Therefore, Whiting respectfully requests that the Application in USR14-0087 be
approved at the April 22, 2015 hearing based on the merits of the Application.
