RE: BUY OUT OF PURCHASE OPTION OF LEASE IBM COMPUTER EQUIPMENT.
WHEREAS, the Board of County Commissioners of Weld County,
Colorado, pursuant to Colorado statute and the Weld County Home
Rule Charter, is vested with the authority of administering the
affairs of Weld County, Colorado, and
WHEREAS, Weld County and Boulder County have entered into
a contract to operate a joint data processing center, and
WHEREAS, the equipment used to provide services within the
joint data processing center has been acquired on a State and
local lease arrangement with IBM, and
WHEREAS, the Director of the joint data processing center,
the Director of Finance and Administration of Weld County and
Director of Administrative Services of Boulder County, in con-
junction with IBM, have examined the lease agreement between
IBM and the joint data processing center and have determined
that it would be in the interests of both counties to exercise
the buy out option on specific pieces of equipment, and
WHEREAS, the specific contracts and pieces of equipment
that it is in the best interests of both counties to exercise
the buy out option are attached hereto and made a part hereof
this concurrent resolution, and
WHEREAS, both Board of County Commissioners of Weld County
and Boulder County concur that it would be in the interests of
the joint data processing center to exercise the buy out options
on the attached contracts for the specified equipment.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Com-
missioners of Weld County, Colorado that the Chairman of the
Weld County Board of County Commissioners is hereby authorized
to sign the attached contracts executing the buy out options for
the joint data processing center on the behalf of the Board of
County Commissioners of Weld County, Colorado and the Board of
County Commissioners of Boulder County, Colorado.

The Customer agrees to purchase and International Business Machines Corporation(IBM)by its acceptance of this Agreement agrees to sell, in accordance
with the following terms and conditions,the machines listed below which are now installed under an IBM lease or rental agreement and in the possession of
the Customer. Under these terns and conditions, lost will 1)sell machines to the Customer,2)provide warranty service,as applicable,for machines and 3)
as available, furnish programming and programming services. all as described herein. The Customer agrees to accept the machines, warranty service,
programming and programming services under the terms and conditions of this Agreement. The Customer farther agrees with respect to the machines and
programming to accept the responsibility for l)their selection to achieve the Customer's intended results,2)their use and 3)the results obtained therefrom.
The Customer also has the responsibility for the selection and use of,and results obtained from, any other equipment, programs or services used with the
machines and programming.
The term"machines"as used in this Agreement refers to machines and their features.
The prices stated herein are exclusive of any charges which are due or may become due from the Customer under any i BM lease or rental agreement relating
to the machines.
In addition to the prices shown below.the Custnner agrees to pay amounts alp ml to any taxes resulting from this Agreement.or any activities hetru nder,
exclusive of taxes based on net income. Any personal property taxes assessable on the machines on or after the Effective Date of Purchase shall be!mime by
the Customer.

A RESOLUTION TO BUY OUT OF PURCHASE OPTION OF LEASE IBM COMPUTER
EQUIPMENT
WHEREAS, the Board of County Commissioners of Weld County, Colorado,
pursuant to Colorado statute and the Weld County Home Rule Charter, is
vested with the authority of administering the affairs of Weld County,,
Colorado, and
WHEREAS , Weld County and ,Boulder. County have entered into a contract
to operate a joint data processing center, and
WHEREAS, the equipment used to provide services within the joint
data processing center has been acquired on a State and local lease
arrangement with IBM, and
WHEREAS, the Director of the joint data processing center, the
Director of Finance and Administration of Weld County and Director of
Administrative Services of Boulder County, in conjunction. with IBM, have
examined the lease agreement between IBM and the joint data processing
center and have determined that it would be in the interests of both
counties to exercise the buy out option on specific pieces of equipment,
and
WHEREAS, the specific contracts and pieces of equipment that it is
in the best interests of both counties to exercise the buy out option
are attached hereto and made a part hereof this concurrent resolution,
and
WHEREAS, both Boards of County Commissioners of Weld County and -
Boulder County concur that it would be in the interests of the joint
data processing center to exercise the buy out options on the attached
contracts for the specified equipment.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners
of Boulder County, Colorado, that the Chairman of the Weld County Board
of County Commissioners is hereby authorized to sign the attached
contracts executing the buy out options for the joint data processing
center on the behalf of the Board of County Commissioners of Weld County,
Colorado, and the Board of County fr)lflissioners of Boulder County,
Colorado.
The above and foregoing Resolution was , on motion duly made and
seconded, was adopted by the following vote on the 27th day of
September, A.D. , 1979.
