RESOLUTION
RE: APPROVE POSSESSION AND USE AGREEMENT CONCERNING CERTAIN
IMPROVEMENTS TO THE GEISERT PIT PROPERTY AND AUTHORIZE CHAIR TO
SIGN -CENTRAL COLORADO WATER CONSERVANCY DISTRICT
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Possession and Use Agreement
Concerning Certain Improvements to the Geisert Pit Property between the County of Weld, State
of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Works, and Central Colorado Water Conservancy District, with terms and
conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Possession and Use Agreement Concerning Certain Improvements to
the Geisert Pit Property between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Department of Public Works, and
Central Colorado Water Conservancy District, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 10th day of June, A.D., 2015.

Re: Geisert Pit Possession and Use Agreement
As discussed in the 05/27/15 pass-around memo, the Possession and Use Agreement allows
Central Colorado Water Conservancy District ("Central")to occupy the Geisert Pit property and
install improvements related to water storage pending the closing on the property. If for some
reason the sale of the Geisert Pit property is not completed, Central will be required to pay the
costs of remediation of the property to its original condition and remove any stored water within
a reasonable period of time. It is recommended that the Board approve the Possession and Use
Agreement.

RE: Geisert Pit Sale to Central Colorado Water Conservancy District

Brief description of the issue:
In relation to the contract for sale signed by the Board on March 30, 2015. the two following documents are
submitted with this pass-around for your consideration.
Document 1 is an amendment to the contract for sale which:
(1) Changes the deadline for the County to submit a title commitment to Central for their consideration.
The title commitment requires that the lots be created. However, the Geisert Pit Subdivision and Greeley
Saddle Club Subdivision processes to create the lots have taken longer than originally anticipated. This change
is necessary to keep the County from potentially breaching the contract for not meeting the deadline.
(2) Cleans up language so that the special warranty deed issued to Central would not include mineral
rights. This was previously addressed but the mention of mineral interests associated with the deed was not
spotted at that time.
Document 2 is a possession and use agreement between the County and Central which would allow
Central to enter onto the properties under contract to install their pump station and related
infrastructure
necessary to utilize the Geisert pits. It also allows Central to begin storing water in the pits. If for some reason
the contract for sale falls through, Central would need to restore the property or pay the costs for such
restoration and remove their stored water within a reasonable time. Central is agreeing that their operations on
the property will not interfere with County operations. the term of the agreement is until the sale is completed
or fails for whatever reason.
What options exist for the Board? (Include consequences, impacts, costs, etc. of options)
1. Direct placement of the amendment and possession and use agreement on the Board's agenda for
consideration.
2. Direct changes be made to one or both of the agreements and send it hack to Central for their review and
signature. If this option is chosen. a work session makes sense.
Recommendation:
Direct placement of the amendment and the possession and use agreement onto the Board of Commissioner
agenda for consideration.

POSSESSION AND USE AGREEMENT

THIS AGREEMENT("Agreement")) is entered into this/0 day of
("Effective Date") by and between the Board of County Commissioners of the County of Weld
("County") and the Central Colorado Water Conservancy District and Groundwater Management
Subdistrict of the Central Colorado Water Conservancy District ("Central"). County and Central
may be referred to collectively as the"Parties."
WITNESSETH
WHEREAS, Central is purchasing from County interests in certain property (the
"Transaction" or "Purchase and Sale Agreement"), such property being located in Section 31,
Township 6 North, Range 65 West of the 6th P.M. in Weld County, Colorado (the "Property"),
as more fully described in Article I of the Purchase and Sale Agreement, attached hereto and
incorporated herein, and within the boundaries of the Property is situated a former gravel pit, two
of the cells of such pit have been lined with a slurry wall liner and such lined cells are known as
the Geisert Reservoir("Geisert Reservoir"); and
WHEREAS, in connection with the Transaction, the County agrees to grant possession
and use of portions of the Property prior to the Transaction closing as contemplated in this
Agreement; and
WHEREAS, the Parties wish to enter into this Agreement to define the nature and extent
of such possession and use, including terms and conditions.
NOW, THEREFORE, in consideration of the mutual promises of the Parties and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
the Parties hereto agree as follows:
1. Possession and Use. Central shall be entitled to take possession of the Property, for the
purposes of constructing, operating, maintaining, repairing, and replacing certain structures as
described in Exhibit A ("Scope of Work"). While performing these activities, Central shall
not interfere with County's operations on the Property. The Parties agree to cooperate in good
faith to permit the County to maintain its operations on the Property and also provide Central
and/or its agents and selected contractors reasonable access to the Property to complete the
activities described in the Scope of Work. Central and/or its contractors shall access the
Property to complete the construction described in the Scope of Work in a manner as shown in
Exhibit B ("Property Access"). The exact location of the Property Access may be modified

pending agreement with the City of Greeley and upon consent of such modification by County
which shall not be unreasonably withheld. In addition to the Property Access shown in Exhibit
B, Central and/or its Contractors may access the Property from H Street pursuant to the
easement contemplated in paragraph 3.6.1(iii) of the Purchase and Sale Agreement. The extent

of such easement is shown in the preliminary survey attached hereto as Exhibit C.
2. Lease of Storage Space. During the term of this Agreement, Central may divert and store
water in one or both lined cells of the Geisert Reservoir. County hereby agrees to lease to
Central space in the Geisert Reservoir for such storage. Central's storage of water shall be
subject to the cooperation and access provisions in paragraph 1 above. This lease shall continue
in effect until such time as this Agreement is terminated according to paragraph 3 below. If this
Agreement is terminated without the Transaction closing, then any water stored by Central in
the Geisert Reservoir shall remain the property of Central and Central shall have a reasonable
amount of time to remove the water. Furthermore, if this Agreement terminates without the
Transaction closing, Central shall not thereafter divert and store any additional water in the
Geisert Reservoir.
3. Limitations. Central shall not be required to pay for such possession and use rights granted
pursuant to this Agreement, including the lease of storage space, subject to the following

limitations:
a. Any work, including but not limited to improvements or resulting damages, completed on
the Property pursuant to this Agreement is done at Central's sole risk and cost. Should the
Transaction fail for any reason to be completed, Central shall be financially liable to
County, in County's sole discretion, for the costs, actual costs or projected if the
remediation does not actually occur, of returning the Property to its condition as of the
Effective Date of this Agreement. The County may exercise this discretion regardless of
whether the Property is in fact remediated.
b. The property interests contemplated by this Agreement are designed to be subsumed
entirely by the completion and closing of the Purchase and Sale Agreement. As such, upon
closing of the Transaction Agreement,the provisions of this Possession and Use Agreement
shall become moot.
4. Term. The term of this Agreement begins upon the date of the execution of this Agreement
by County, and shall continue through and until the later of(1) The completion and closing of
the Purchase and Sale Agreement or(2)termination of the Purchase and Sale Agreement. If this
Agreement expires due to termination of the Purchase and Sale Agreement, then Central shall
have limited rights of possession thereafter for purposes of removing its property, conducting
any remediation necessary or required, and overseeing the administration and removal of water
stored in the Geisert Reservoir. Such rights shall continue until such time as the County
determines that all costs for remediation have been paid, and if required by the County,
remediation has in fact been completed and Central removes any water which may be stored on
the Property and all of its personal property from the Property.
5. Compliance with Law. Central shall strictly comply with all applicable federal and State

laws, rules and regulations in effect or hereafter established, including without limitation, laws
applicable to discrimination and unfairemployment practices.

6. Entire Agreement/Modifications. This Agreement including the Exhibits attached hereto
and incorporated herein, contains the entire agreement between the parties with respect to the
subject matter contained in this Agreement. This instrument supersedes all prior negotiations,
representations, and understandings or agreements with respect to the subject matter contained
in this Agreement. This Agreement may be changed or supplemented only by a written
instrument signed by both parties.
7. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal,
or unenforceable by a court of competent jurisdiction, this Agreement shall be construed and
enforced without such provision, to the extent that this Agreement is then capable of execution
within the original intent of the parties.
8. Governmental Immunity. No term or condition of this contract shall be construed or
interpreted as a waiver, express or implied, of any of the immunities, rights, benefits,
protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et
seq., as applicable now or hereafter amended.
9. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of
the terms and conditions of this Agreement, and all rights of action relating to such
enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement
shall give or allow any claim or right of action whatsoever by any other person not included in
this Agreement. It is the express intention of the undersigned parties that any entity other than
the undersigned parties receiving services or benefits under this Agreement shall be an
incidental beneficiary only.
10. Board of County Commissioners of Weld County Approval. This Agreement shall not be
valid until it has been approved by the Board of County Commissioners of Weld County,
Colorado or its designee.
11. Choice of Law/Jurisdiction. Colorado law, and rules and regulations established pursuant
thereto, shall be applied in the interpretation, execution, and enforcement of this Agreement.
Any provision included or incorporated herein by reference which conflicts with said laws,
rules and/or regulations shall be null and void. In the event of a legal dispute between the
Parties, the Parties agree that the Weld County District Court shall have exclusive jurisdiction
to resolve said dispute.
12. Attorneys Fees/Legal Costs. In the event of a dispute between County and Central
concerning this Agreement, the Parties agree that each party shall be responsible for the
payment of attorney fees and/or legal costs incurred by or on its own behalf.

13. Binding Arbitration Prohibited: Weld County does not agree to binding arbitration by any
extra judicial body or person. Any provision to the contrary in this Agreement or incorporated
herein by reference shall be null and void.
14. This Agreement shall be deemed a contract and shall bind the parties and shall extend to
and bind their heirs, executors, administrators, legal representatives, successors, and assigns.

PROPERTY DESCRIPTION
A parcel of land being part of the Northeast Quarter(NE1/4)of Section Thirty-one(31),Township
Six North(T.6N.),Range Sixty-five West(R.65W.)of the Sixth Principal Meridian(6th P.M.),
County of Weld,State of Colorado,and being more particularly described as follows:
COMMENCING at the Center Quarter(Cl/4)corner of said Section 31 and assuming the South
line of the Northeast Quarter(NE 1/4)of said Section 31,being monumentalized by a#6 rebar with
a 3Y"diameter aluminum cap stamped"LS22098,2003"at the West end and by a#6 rebar with a
31"diameter aluminum cap stamped"LS34176,2012"in a monument box at the East end,as
bearing North 89°00'11"East,being a Grid Bearing of the Colorado State Plane Coordinate
System,North Zone,North American Datum 1983,a distance of 2667.10 feet,with all other
bearings contained herein relative thereto:
