RE: APPROVE CORRECTION TO OIL AND GAS LEASE LEGAL DESCRIPTION AND
AUTHORIZE CHAIR TO SIGN - BAYSWATER EXPLORATION AND PRODUCTION,
LLC, AND BAYSWATER BLENHEIM HOLDINGS II, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, on April 15, 2015, the Board approved a Lease with Bayswater Exploration
and Production, LLC, and Bayswater Blenheim Holdings II, LLC, 730 17th Street, Suite 610,
Denver, CO 80202, recorded on April 17, 2015, at Reception No. 4099879, and
WHEREAS, the Board has been presented with a Correction to said Oil and Gas Lease
legal description between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, and Bayswater Exploration and Production, LLC, and
Bayswater Blenheim Holdings II, LLC, with terms and conditions being as stated in said
correction, and on the following described mineral acres:
Section 25, Township 6 North, Range 66
West of the 6th P.M., Weld County,
Colorado, as further described in attached
document.
WHEREAS, after review, the Board deems it advisable to approve said correction of legal
description, a copy of which is attached hereto and incorporated herein by reference.
Board of County THEREFORE, BE IT RESOLVED by the Commissioners of Weld
County, Colorado, that the Correction to said Oil and Gas Lease legal description between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, and Bayswater Exploration and Production, LLC, and Bayswater Blenheim Holdings II,
LLC, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said correction.

CORRECTION OF LEGAL DESCRIPTION

KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF WELD
WHEREAS, an Oil and Gas Lease was made and entered into effective on April 2,2015, by and between
Weld County,Colorado,a political subdivision of the State of Colorado, acting by and through the
Board of County Commissioners of the County of Weld, whose address is 1150 O Street, P.O. Box 758,
Greeley, Colorado 80632, as Lessor, and Bayswater Exploration & Production, LLC—20% and
Bayswater Blenheim Holdings II, LLC—80%, as Lessee, whose address is 730 17'x' Street, Suite 610,
Denver, CO 80202, as Lessee, which Oil and Gas Lease was recorded at Reception No.4099879, in the
records of the Weld County Clerk and Recorder, covering lands situated in Weld County, Colorado, to wit:
Township 6 North, Range 67 West, 6th PM
Section 25: A strip of land 60 feet wide laying northerly of and adjacent to a line drawn fifty feet northerly
of and parallel to the center line of the Denver Laramie and Northwestern Railroad crossing the SW/4SE/4
of Section 25-T6N-R66W 6th PM. Said strip of land beginning on the easterly line of said SW/4SE/4 and
running westerly to the northeasterly line of the County Road. Containing 1.65 acres, more or less in Weld
County, Colorado.
AND WHEREAS, the land description was incomplete or inaccurate, and the lands intended to be covered
can be more completely described and the undersigned desire to correct said land description.
NOW THEREFORE, for and in consideration of the premises and other good and valuable consideration,
the receipt and sufficiency of which are hereby acknowledged, the Parties hereto hereby agree to amend
said Lease to correct the legal description from the way it is currently stated as follows:

to the following correct legal description:

Lessor acknowledges that said Lease, as amended, is valid and in full force and effect and Lessor hereby
grants, leases and lets to Lessee, their successors and assigns all of Lessor's interest in the above described
lands upon the same terms, conditions and provisions as are contained in said lease as amended hereby.
This Correction of Legal Description shall be binding upon and inure to the benefit of the parties, their
successors, personal representatives and assigns.
