RESOLUTION RE: APPROVE GRANT OF NON-EXCLUSIVE ACCESS EASEMENT (LOTS 2 AND 3) AND GRANT OF NON-EXCLUSIVE EASEMENT FOR WATER CONVEYANCE STRUCTURES ACROSS PROPOSED LOT 4 OF GEISERT PIT SUBDIVISION TO THE CENTRAL COLORADO WATER CONSERVANCY DISTRICT AND AUTHORIZE CHAIR TO SIGN WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with a Grant of Non-Exclusive Access Easement(Lots 2 and 3) and Grant of Non-Exclusive Easement for Water Conveyance Structures Across Proposed Lot 4 of Geisert Pit Subdivision, from the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, to the Central Colorado Water Conservancy District, commencing upon full execution of signatures, with further terms and conditions being as stated in said Non-Exclusive Easements, and WHEREAS, after review, the Board deems it advisable to approve said Non-Exclusive Easements, copies of which are attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Grant of Non-Exclusive Across Easement (Lots 2 and 3) and Grant of Non-Exclusive Easement for Water Conveyance Structures Access Proposed Lot 4 of Geisert Pit Subdivision from the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, to the Central Colorado Water Conservancy District be, and hereby is, approved. WITNESSETH WHEREAS, on March 30, 2015, Grantor and Grantee entered into a contract for the sale of certain property commonly known as the Geisert Pit by Grantor to Grantee; and WHEREAS, on May 20, 2015, in Weld County case RES15-0001, Grantor approved the Geisert Pit Subdivision with the purpose of, inter alia, establishing Lots 2 and 3 for sale to Grantee; and WHEREAS, the executed Geisert Pit Subdivision plat has not yet been recorded; and WHEREAS, a condition of the contract for sale is that an access easement be granted to allow Grantee to access Lots 2 and 3; and WHEREAS, a condition of RES 15-0001 prior to recording the Geisert Pit Subdivision plat is to provide evidence of an access easement to Lots 2 and 3 which are landlocked; and WHEREAS, Grantor is the owner of the property (hereinafter "Property") north of and adjacent to the Geisert Pit Subdivision; and WHEREAS, an existing Propertycurrently road located on the Pro ert provides access to the property comprising the Geisert Pit Subdivision; and WHEREAS, Grantor wishes to grant a non-exclusive easement across the existing road to Grantee for access to Lots 2 and 3 contingent upon the recording of the fully executed Geisert Pit Subdivision plat. The road shall be maintained to the degree that it remains reasonably passable by vehicles. 3. Perpetual Easement. The Central Water Conveyance Easement shall include Grantee's right to access, operate, maintain, repair, and replace all or a portion of the existing water conveyance structures crossing the Property for the purposes of conveying water between the Geisert Reservoir and the Cache la Poudre River. The Central Water Conveyance Easement includes Grantee's right to access, cross, and make use of that much of the Poudre River Trail Pathway as necessary to install, remove, and maintain reinforcement structures and or materials necessary or advisable for the purposes of protecting the slurry wall surrounding the Geisert Reservoir and/or Grantee's water conveyance structures. Grantee shall be solely responsible for obtaining, as needed, peu nission from other parties to install such reinforcements on the river channel, including Poudre Trail Corridor Inc., or other successor entity charged with management of the Poudre River Trail Pathway. Grantee's operations in exercising its rights under the Central Water Conveyance Easement may result in the temporary closure of the portion of the Poudre River Trail Pathway located on the Property. Grantor and Grantee agree to cooperate in good faith to minimize disturbance to the Poudre River Trail Pathway in this area; however, Grantee shall have an obligation to repair the Poudre River Trail Pathway for damages caused by Grantee's operations under this Easement Agreement. 3. Perpetual Easement. The Central Water Conveyance Easement is granted in perpetuity and shall run with the Property so as to be forever binding upon the parties hereto and their respective heirs,personal representatives, administrators, successors and assigns. 4. Creation of Trail Easement. As a condition of approval of the Geisert Pit Subdivision pursuant to case RES15-0001, an easement in favor of the Poudre River Trail Corridor Inc. (hereinafter "Trail Easement") for a pedestrian and non-motor vehicle trail is to be created. The Poudre Easement will be created by dedication on the Geisert Pit Subdivision plat and will only come into being upon the recording of the executed plat. 5. Governmental Immunity.
