The undersigned certifies the ownership of their decimal interest in production or proceeds as described above payable by Whiting Oil
and Gas Corporation(Payor).
Payor shall be notified, in writing, of any change in ownership, decimal interest, or payment address. All such changes
shall be effective the first day of the month following receipt of such notice.
Payor is authorized to withhold payment pending resolution of a title dispute or adverse claim asserted regarding the interest in
production claimed herein by the undersigned. The undersigned agrees to indemnify and reimburse Payor any amount attributable to
an interest to which the undersigned is not entitled.
Payor may accrue proceeds until the total amount equals$100.00,or pay annually, whichever occurs first,or as required by applicable
state statute.
This Division Order does not amend any lease or operating agreement between the undersigned and the lessee or operator or any other
contracts for the purchase of oil or gas.
In addition to the terms and conditions of this Division Order, the undersigned and Payor may have certain statutory rights under the
laws of the state in which the property is located.

Dear Interest Owner,
Whiting Oil and Gas Corp. has enclosed a Division Order for your execution.
The attached document should not be altered in any way except to correct spelling errors, unless accompanied by
documentary evidence to support the change.
If your name and interest are correctly shown:
1. Sign your name as shown on the Division Order.
2. Have your signature witnessed by two competent witnesses.
3. If your name has changed due to marriage or divorce, execute the Division Order using your present name and furnish a copy
of the marriage certificate or divorce decree.
4. If signing for a corporation,signature must be attested, corporate seal fixed and title of signatory party reflected.
5. If signed by agent, attorney-in-fact, guardian or any party other than the named interest owner, a certified copy of the power
of attorney or other evidence of such party's right to sign must be furnished.
6. Your correct mailing address should be noted in the space provided to insure prompt receipt of production proceeds.
7. Please fill out the enclosed W-9, or the enclosed W-8 if you are a foreign owner, and return with your executed Division
Order.

Dear Mr. Olsey:
Pursuant to Whiting Petroleum Corporation, and its wholly owned subsidiary, Whiting
Oil and Gas Corporation's ("Whiting") request, we have examined the materials below and,
based thereon, submit this Third Updated Drilling and Division Order Title Opinion("Opinion"),
covering the following described lands in Weld County, Coloradol ("Subject Lands"):

Primary Term: Until the hour of twelve o'clock noon on the 101h day of
December, 2015
Option Term: If Lessee fails to make discovery of oil and gas, or either of
them, in paying quantities during the primary term hereof,
or during drilling operations commenced during the primary
term hereof, Lessee may make written application to Lessor
for an extension of this lease. The granting of such
extension shall be at the sole option of Lessor, according to
the following conditions: (A) No lease term will be
extended more than sic (6) months from the original
expiration date; (B) That the Lessee shall pay to the Lessor
the sum of one-third the original bonus, with a minimum
bonus of Ten Dollars ($10.00) per acre; (C) The Lessee
must pay to the Lessor the sum of One Dollar ($.00) per
acre leased as delayed rental for the term of the extension;
and (D)That the royalty will remain the same.
Royalty: 20%
Delay Rentals: Paid up for the primary term. If this lease is extended for an
additional term as provided for the in Extension paragraph
hereof, Lessee shall pay to Lessor the sum of One Dollar
($1.00) per acre of the land covered hereby as delayed
rental for the term of the extension.
Shut In Royalty: $2.00 per acre of the lease per annum in addition to the
annual rental, if Lessee shall complete a well on the leased
land productive of gas and Lessee is unable to produce such
gas due to a lack of suitable market therefore, limited to a
period of five (5) years beyond the extension term
Lesser Interest Clause: Yes
Pooling and Unitization Clauses: Yes, as to pooling; yes, as to unitization with Lessor's
consent
Pugh Clause: No
Special Clauses: (1) Lessee, upon the payment of a $25.00 fee and prior
written consent of Lessor shall have the right to assign
the entire leasehold interest of this lease;
(2) If an assignment of a portion of the land covered
hereby shall be approved, a new lease shall be issued to
the assignee covering the assigned land;
(3) Lessee shall notify Lessor of all assignments of
undivided percentages or other interests. Said interests
will not be recognized or approved by Lessor, and the
effect of any such assignments will be strictly and only
between the parties thereto, and outside the terms of
this lease;
(4) Any and all reservations or assignments or [sic]
overriding royalties shall be subject to approval by
Lessor. The total of said overriding royalties shall not
exceed five percent (5%), including any overriding
royalty previously provided for unless production
exceeds a monthly average of fifteen (15) barrels per
day or ninety thousand cubic feet of gas per day (90
MCF/D). In the event production drops to this amount
or less, any overriding royalties which exceed five
percent (5%) may be suspended. Lessor's approval or
a reservation of assignment of an overriding royalty
shall not bind Lessor for payment of said overriding
royalty and shall not relieve Lessee of any of its
obligations for payment of royalties to Lessor...;
(5) Lessee agrees to protect the leased land from drainage
by offset wells located on adjoining lands not owned by
Lessor, when such drainage is not compensated for by
counter-drainage; and
(6) Lessee shall notify Lessor and the surface lessee or
surface owner of the location of each drill site at least
two weeks prior to commencing drilling operations
thereon.
