Dear Bob:
Thank you for retaining Wells, Anderson & Race, LLC to advise the Board of County
Commissioners of Weld County ("BOCC"). This letter is intended to follow up on our
discussion and to confirm the terms of our engagement. I would be pleased to discuss any aspect
of this letter and the nature of the case in general, at any point convenient to you. Based upon
billing rates for 2015,the rate of$240 per hour will apply for my services and the services of any
other member of the firm; the rate of$200 per hour will apply for associate time and the rate of
$130 per hour will apply for paralegal time. The firm charges reasonable fees for our services, as
well as the expenses that may be incurred in connection with the work to be performed. We ask
that the BOCC agree to pay these fees and expenses in accordance with the terms of this letter.
The fee quoted is based upon several factors, including the following:
a. The time and labor that will be required, the novelty and complexity of the
questions involved and the skill required to perform the legal services properly;
b. The likelihood that the acceptance of the work will preclude other employment by
the firm;
c. The fees customarily charged by our firm and other lawyers in this community for
similar legal services; The time limitations imposed by the circumstances of the
matters which we have undertaken to advise the BOCC, a factor which will need
to be continuously re-evaluated;
d. The nature and length of our professional relationship with the BOCC; and

e. The experience, reputation and ability of those lawyers in this office who perform
the services to advise the BOCC.
In addition to fees, the BOCC will be responsible for reimbursement of out-of-pocket
costs and expenses such as long distance telephone charges, overnight or express postage only if
necessary, and copying costs of$.20 per page. Wells, Anderson & Race LLC requires prompt
payment of all bills and reserves the right to cease service if payment is not made in a timely
manner.
We are committed to avoiding any duplicative time expenditures. Time devoted to this
matter is described for the BOCC through our billing statements that will be provided on a
monthly basis. Also detailed in such statements are the costs generated with respect to the matter
and a summary of the efforts devoted to the file. The BOCC should feel free to examine such
statements in detail and to contact me if they have any questions about the contents of the
statements.
If the foregoing terms meet with the BOCC's approval, please sign the extra copy of this
letter provided and return the signed copy to me at your earliest convenience. If the BOCC has
any questions about the nature and scope of our representation, the basis on which we will bill
fees and costs, or any other aspect of this matter, at any point in the relationship, please do not
hesitate to call me.
