NCMC BOARD OF TRUSTEES Regular Session Meeting Monday, June 29, 2015 Attachment 1 Minutes of Regular Session of May 18, 2015 * * - Action Required NCMC Board of Trustees Regular Session Minutes Monday, May 18, 2015 12:00 Noon The Board of Trustees of North Colorado Medical Center met in Regular Session on Monday, May 18, 2015, in the Richard Stenner Boardroom located at North Colorado Medical Center. Mr. Houtchens declared a quorum and called the meeting to order at 12:00 p.m. ATTENDANCE REPORT NCMC Board of Trustees: Dr. Susan Carter, Catherine Davis, Brandon Houtchens, and Michael Simone, with Mark Lawley, Jason Yeater, and Sean Conway (Commissioner, non- voting member) all being excused Banner Health: Rick Sutton (NCMC CEO) and Wendy Sparks (NCMC COO) Staff: Ken Schultz (Board Executive) Recording Clerk: Esther Gesick (Weld County Clerk to the Board) PUBLIC COMMENT There was no public comment. APPROVAL OF MINUTES It was MSC (Simone/Davis) to approve the minutes from the April 27, 2015, Regular Session meeting. NEW BUSINESS Mary McCabe presented and reviewed the Annual Financial/Charity Update PowerPoint presentation (a copy of which is attached to these minutes as Exhibit A). • Slide 1 - 2014 Year-to-Date actual costs and budget, which equates to a healthy operating margin of 8.1%. • Slide 2 - 2015 Year-to-Date she indicated it is shaping up to be another successful year. She noted a one-time adjustment was made in the month of April for prior year cost reports for Medicare reimbursement. • Slide 3 - Charity Care and Services audit (includes actual cost, unpaid cost of Medicaid, education, community health services). She explained there has been a significant increase in unpaid costs due to the new health care exchange programs, and went on to explain the remaining line items, for a total of$73 million. In response to questions, she explained how the donated funds are used, as well as the dynamics of people selecting plans with low premiums and high deductibles not being paid. • Slide 4 - Write-Off Trending Amounts for basic and enhanced charity, the Colorado Indigent Care Program (CICP), and bad debt are going down because the program was Page 1 of 3 May 18,2015 NCMC Board of Trustees expanded but the hospital gets very little money from Medicaid and it does not typically cover the cost of doing the service. In response to Dr. Carter, Ms. McCabe stated the physicians are reviewing the outcomes of the residency program and increasing the emphasis on retaining them to practice in Colorado. Ms. Davis commended staff on keeping the expenses relatively balanced and stable. Responding to Mr. Simone, Ms. McCabe estimated between 15 and 20 percent of the patients are on Medicaid, and she noted the hospital does receive a "disproportionate share" reimbursement for higher percentages of Medicaid or indigent care. CEO REPORT or COO REPORT NCMC COO, Wendy Sparks, gave the following report: . Employees - National Hospital Week was celebrated last week with many activities, the annual performance reviews are finished, and staff is now in the process of collecting colleague feedback to be presented in July. • Patient Satisfaction - hitting target/stretch on five of the eight dimensions, and the preliminary survey for May indicates meeting seven of the eight. • Quality - NCMC continues to meet target on the category of Care Reliability on Total Joints as well as Care Reliability on Heart Failure Care and Medication Reconciliation. She also referenced the issue of Patient Safety and stated NCMC and McKee are only hospitals in Northern Colorado to receive an "A" rating. • Physicians - recruiting is ongoing. She stated the Greeley and Loveland campuses currently employ 230 people and she anticipates that to increase to 250 by the end of the year. • Financials - see discussion under New Business. . Master Campus Plan -the pharmacy is coming along and will open in the new space across from the lab on June 8th. VISITATION REPORTS HEART FAILURE CLINIC Brandon Houtchens reviewed his report, dated May 7, 2015. A written copy of the visitation report is attached as a part of these minutes as Exhibit B. He also suggested the "Healing Heart Clinic" as a more appropriate and positive name for the clinic. VISITATIONS FOR JUNE Mike Simone Jason Yeater NCMC, INC. REPORT Ken Schultz distributed and reviewed in detail the Annual Audit Report comparing the 2014 and 2013 balance sheets for NCMC, Inc., as well as the combined entity of Banner/NCMC, a copy of which is attached to these minutes as Exhibit C. In summary, NCMC, Inc. and Banner/NCMC are both meeting their financial obligations and requirements but there is Page 2 of 3 May 18,2015 NCMC Board of Trustees still room for growth. He noted they are rated at an A+, which does impact the percentage rate for borrowing. COMMISSIONER'S REPORT Commissioner Conway was excused from the meeting. OTHER BUSINESS There was no other business. PLANNING SESSION No discussion was held on scheduling a future planning session. F . ,i�'1• ,�i' t 'i 7}.i4 '� i a.� i CD.14: • 1101 l'ICD - ry rn d O E O O Q O O Exhtuf NCMC HEART FAILURE CLINIC Report to the NCMC Trustee Board Visit by Brandon Houtchens, May 7, 2015 I met with Mark Davenport, supervisor of the "NCMC Heart Failure Clinic at the CardioVascular Institute of Northern Colorado." See attached web-page. This is an outpatient department,which is on the 3'd floor at NCMC. The department's director is Dr. Harold Chapel, a cardiologist; however, Dr. Chapel isn't an active day-to-day care provider for patients of the department. The department also includes two nurse practitioners, two nurses, one MA, a PFS (patient financial services) representative, and a health unit coordinator. A new NP has been hired from UCH, and Mark is thrilled to have the new NP coming, and another nurse will soon be hired/start work. Mark has been with Banner since 2000,in the HFC since 2009, prior to which he worked in EMS, ED, and ICU. Overview: This outpatient department is responsible for treating people whose hearts have suffered disease or damage from any number of events or conditions, including heart attacks, congestive heart failure, heart disease, and weakening of the heart as a result of poor diet, poor lifestyle, and alcohol and drug abuse. It has been in its current location since October of 2013, having moved from the physician offices on the NCMC campus. In advance of the move, the department provided significant input in how the department would be laid out, and Mark is very happy with the physical attributes of the department. There are four patient rooms, offices for the NPs, a conference room, etc. The department's focus is to keep people healthy, educate them, and keep them from becoming admitted patients. They are highly sensitive to readmissions. Medication, diet, exercise (for those healthy enough for exercise), end of life care and planning are all within the scope of what the HFC provides. Recent Changes: October 2013 move. Growth 30-35%/year, resulting from initiatives within the hospital to properly treat those with heart failure symptoms. (from 175 patients to 700 over the course of several years). Money: This is not a revenue-producing department. Its goal is to keep people health) and out of the hospital, Successes: The growth of the department is a result of initiatives designed to keep patients healthy and out of the hospital. The location within the hospital is a significant advantage, with access to acute care, direct admission, the lab, etc. Mark views the NCMC Heart Failure Clinic as exceptional. From my perspective, his outlook and enthusiasm are remarkable. Future: Possible merger with pulmonology/hypertension, which has about 75 patients, 25 of whom +/- are overlap patients. Notes: I enjoyed my time with Mark, and his satisfaction and enthusiasm are easily apparent. `vX e discussed the financial and cultural challenges with the patient population, transplant eligibility, the title "heart Failure Clinic" which, to me, is too dire a title. Interestingly, the name has been a subject of discussion within the department. I hope never to visit as a patient, but I was thoroughly impresses.
