WHEREAS , the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, Rural America, Inc . has submitted an agreement whereby Weld County is to receive the sum of THREE THOUSAND DOLLARS ($3, 000 . 00) to be used for administration in connection with the Housing Rehabilitation Program, and WHEREAS, this sum is needed for the Community Development Grant for Evanston, Colorado, to provide for office space and other administrative matters in the Housing Rehabilitation Program, and WHEREAS, the Board of County Commissioners has determined that the approval of said agreement, a copy of which is attached hereto and incorporated herein by reference, would be in the best interest of Weld County, and to approve said agreement. NOW THEREFORE, BE IT RESOLVED by the Board of County Com- missioners, Weld County, Colorado, that said agreement providing for a $3, 000 . 00 grant, furnished by Rural America, Inc. , a copy of said agreement being attached hereto and being made a part hereof by reference, be and hereby is approved, and BE IT FURTHER RESOLVED that the Chairman Pro-Tem of the Board of County Commissioners be, and hereby is authorized to execute said agreement and to make the same effective forthwith. AGREEMENT FOR DELEGATION OF FARMWORKER HOUSING ACTIVITIES (DOL GRANT NO. qq- -4bo-31- 9 ) THIS AGREEMENT entered into by and between THE BOARD OF COUNTY COMMISSIONERS OF WELD COUNTY, COLORADO, a public agency, empowered and authorized to carry out housing activities under the laws of the State of Colorado, and its successors , herein- after referred to as "Subgrantee" , and RURAL AMERICA, INCOR- PORATED a not-for-profit corporation, organized under the laws of the District of Columbia, hereinafter referred to as "Grantee" , shall govern certain activities of the Farmworker Housing Program financed under DOL Grant No. 9q-L- 'iQQ- 3� -s'"jduring the period from June 1, 1977 to November 30 , 1977 . IN CONSIDERATION of receipt from the Grantee by the Sub- grantee of a grant in the amount hereinafter stated and of per- formance by the Subgrantee on behalf of the Grantee of activities hereinafter recited, the parties mutually agree as follows : 1. Work to Be Performed: The Subgrantee shall, in a satisfactory manner as determined by the Grantee, achieve the general objectives and goals as described in the Narrative Proposal and Summary of Work Program and ful- fill the Work Program submitted to and approved (with any indicated amendments) by the Grantee. 2. Manner of Performing: The Subgrantee shall perform all activities authorized by this Agreement in accordance with the approved budget, the special grant conditions attached hereto, "RHA' s Property Regulations Manual" , "RHA' s Accounting Procedures Manual" , RHA' s Administrative Memoranda and pertinent DOL directives that have been or hereafter shall be issued. 3. Reports, Records and Evaluations: The Subgrantee shall submit to the Grantee such reports as may be required by DOL directives or by the Grantee , including monthly progress reports on housing activities and monthly fiscal reports on the expenditure of funds. The Subgrantee shall utilize the structure and format for such reports as the Grantee requires and will provide, and submit said reports in accordance with the time schedule established by the Grantee. The Sub- grantee further shall promptly report to the Grantee all difficulties that occur in implementing the Work Program and all personnel changes. The Subgrantee shall prepare, retain, and permit the Grantee to inspect as it deems necessary for grant purposes or as it is authorized by conditions of the grant from DOL the following records : all correspondence concerning the official business with the Grantee and DOL, all proposals developed for funding to other sources relating to housing services and development, all records concerning personnel evaluations and actions, all information concerning the eligibility of itself and the clients it serves for DOL migrant and seasonal farm- worker assistance, and all information concerning income and expenditure of funds from other sources , as well as all other records that may be required by pertinent DOL directives , with the exception of confidential client information. The Subgrantee further agrees that the Grantee may carry out monitoring and evaluation activities to in- clude, as a minimum, one thorough review of the program and one financial audit, and will effectively insure the co- operation of the Subgrantee ' s employees and board members in such efforts. 4. Training and Technical Assistance: The Grantee shall monitor and evaluate the performance of the Subgrantee under this grant and shall provide guidance, training, and technical assistance to the Subgrantee for conducting the activities under this Agreement, as needed and determined by the Grantee. 5. Transmission of New Directives: The Grantee shall promptly submit to the Subgrantee all pertinent and any additional directives issued by DOL and applicable to farm- worker housing activities. -2- 6. Structure of the Subgrantee: The Subgrantee shall be either a public agency, duly empowered to own and manage housing, or a not-for-profit corporation, duly chartered and organized under and according to the laws of the state of its incorporation, and prohibited from distributing any of its assets, profits , or dividends to its members. If requested, the Subgrantee shall submit to the Grantee written evidence of its legal capacity to perform the terms of this Agreement. The Subgrantee shall make a continuing effort to include on its Board of Directors members or representatives of its target population. 7. Compliance with Local Laws : The Subgrantee shall comply with all applicable laws , ordinances, and codes of the state , political subdivision or agency thereof, of the area in which it acts. 8. Compliance with Federal Laws : The Subgrantee shall comply with all federal laws and executive orders that pro- hibit discrimination because of race, creed, color, sex or natural origin as to employment and as to benefits from the services performed under this Agreement and shall not use any of the funds or services provided under this Agree- ment for any prohibited political or religious purpose. 9 . Limitation on Liabilities : The Subgrantee agrees not to incur any financial obligations which go beyond the time period of this Agreement or exceed the financial assis- tance available under this Agreement without the prior • written authorization of the Grantee. 10. Schedule of Payments : Subject to receipt of funds from DOL, the Grantee shall reimburse the Subgrantee for all auth- orized expenditures which are incurred in the satisfactory performance of this Agreement and which are supported by financial reports and accounting procedures established or approved by the Grantee. The Grantee shall make to the Sub- grantee an advance of $3, 000 for its estimated expenditures . In no event, however, shall the Subgrantee receive reimburse- ment for personnel costs exceeding $ NA or for nonpersonnel -3- costs exceeding $ NA , except as it has received the prior written authorization of the Grantee, which shall be expressly incorporated into and made a part of this Agreement. 11. Changes : The subgrantee agrees that the Grantee may, from time to time, and for cause, by prior written notice, request changes in the terms of this Agreement or request changes in the scope of the services to be performed hereunder, such as those that may be required by the United States Government. The Subgrantee agrees that an unreasonable failure to make these changes shall consti- tute a material breach of this Agreement. The Sub- grantee further agrees that such changes , including any increase or decrease in the amount of the grant to the Subgrantee, if mutually agreed upon by and between the parties , shall be in writing and expressly incorporated into and made a part of this Agreement. 12. Termination: The Grantee may, by prior written notice specifying the effective date and the reasons therefor, in whole or in part, terminate this Agreement for cause, which shall include but not be limited to: failure of the Sub- grantee for any reason to fulfill in a timely and proper manner its obligations under this Agreement, including compliance with the approved program, the special conditions attached, the reporting requirements , and any changes pro- perly requested by the Grantee , or with such statutes, Executive Orders , and DOL directives as may become generally applicable at any time; submission by the Subgrantee to the Grantee or to DOL of reports that are incorrect or incom- plete in any material respect; ineffective or improper use of funds provided under this Agreement; and suspension or termination by DOL of the grant to the Grantee under which this Agreement is made or the portion thereof delegated by this Agreement. The Subgrantee shall, by timely written request, be entitled to an informal review of any termina- tion decision prior to the effective date thereof , in a manner -4- to be determined by the Grantee that safeguards the rights of the Subgrantee. In the event the Subgrantee is unable for any reason to perform under this Agreement, the Sub- grantee shall promptly give written notice to the Grantee of such disability. In such event, the Subgrantee shall ensure, with the prior written concurrence of the Grantee, that adequate arrangements have been made for the transfer of the delegated activities to another Subgrantee or to the Grantee and for the safeguarding and transfer of all unexpended grant funds to the Grantee. In the event of any termination, the Subgrantee shall dispose of all property and finished or unfinished documents , data, studies , and reports purchased or prepared by the Subgrantee under this Agreement according to the directives of DOL and the Gran- tee. The Grantee shall compensate the Subgrantee for any unreimbursed expenditures reasonably and necessarily in- curred in the satisfactory termination of this Agreement. Notwithstanding the above, the Subgrantee shall not be relieved of liability to the Grantee for damages sustained by the Grantee by virtue of any material breach of the Agreement by the Subgrantee, if said breach is the fault of Subgrantee, and the Grantee may withhold any reimburse- ment to the Subgrantee for the purpose of set-off until such time as the exact amount of damages due the Grantee from the Subgrantee is agreed upon or otherwise determined. 13 . Assignability: The Subgrantee agrees that this Agree- ment may be assigned by the Grantee when so required by DOL Directives. 14. Covenant Against Contingent Fees : The Subgrantee war- rants that no persons or selling agency or other organiza- tion has been employed or retained to solicit or secure this Agreement upon an agreement or understanding for a commis- sion, percentage, brokerage, or contingent fee. For breach or violation of this warranty, the Grantee shall have the right to annul this Agreement without liability or, in its discretion, deduct from the grant funds or otherwise recover the full amount of such commission, percentage, -5- brokerage, or contingent fee, or to seek such other remedies as legally may be available. The Subgrantee acknowledges and agrees that funds provided under this Agreement will be utilized for administration in con- nection with the housing rehabilitation program and Subgrantee shall use its best efforts to identify those persons who may desire assistance from such funds directly or indirectly and who are part of the migrant work force, as defined by DOL, or related agricultural employment. 2. The Subgrantee acknowledges and agrees that funds under this Agreement may not be expended for out-of-state travel without prior written approval of the Grantee. 3. The Subgrantee acknowledges and agrees that funds under this Agreement may not be utilized for professional fees with respect to land, except in so far as such expenditures have received the prior written authorization of the Grantee which shall be given only if the proposed expenditure is in accord with the land ac- quisition and development policies of the Grantee and is, in the ordinary course of business, recoverable. 4. The Subgrantee acknowledges and agrees to submit to the Gran- tee a progress report and a financial report for each calendar month or part thereof for the duration of the grant period. The Subgrantee further agrees that these reports shall be submitted so as to be received by the Grantee at its principal place of business, Washington, D. C. , by the fifteenth day of the month following the period reported on. The Subgrantee further agrees that the financial reports will be on the fiscal forms supplied by the Grantee and that the progress reports will be on the statis- tical forms supplied by the Grantee and/or in the narrative form recommended by the Grantee so as to set out concisely for the period reported on the actions performed by the Subgrantee in furtherance of the goals outlined in its proposal, an evaluation of the success of these actions , and the actions planned for the next month. The Subgrantee acknowledges that failure to submit such reports on a timely basis shall constitute a material breach of this Agreement and excuses the Grantee from performing any of its promises under this Agreement, including its promise to advance funds and to reimburse expenditures . 5. The Subgrantee acknowledges and agrees that it will maintain such records as are necessary for audit purposes and will retain such records for three (3) years from the expiration of this Agree- ment or until written authorization to destroy them is obtained from the Grantee. The Subgrantee agrees that at the time of its regular annual audit that the funds under this Agreement will be included in such audit and reported on in the audited financial statements . If the time period covered by this Agreement does not coincide with the fiscal year of the Subgrantee, its chief financial officer will submit a statement of revenue and expen- ditures for the period not included in the audit period and will have this unaudited period included in its next annual audit. The Grantee will select and hire the auditor or auditing firm to perform the audit of the Subgrantee ' s records. 6. The Subgrantee acknowledges and agrees that it will submit all housing plans and specifications to the Grantee for prior approval and will abide by the maximum standards in design and construction approved by the Grantee for all housing activi- ties assisted under this Agreement. 7 . The Subgrantee agrees to abide by all other general conditions which govern programs under Section 303 of the Comprehensive Employment and Training Act of 1974 , and any other regulations and guidelines which may be issued by the Department of Labor at some future date. -2- i. V The procedure will be thus: Rodriguez will talk to o anyone who thinks he may be eligible for such grant money. The talks will be confidential information and if it T ' appears there is eligibility an application will be prepared. " " ^ Rodriguez will also counsel those who are close to the border-line to help them become eligible if it's possible. The house will then be inspected to see what improve- ments would be necessary to bring it to code. This might include wiring, another bedroom, a better foundation or any number of things. After the repairs are determined by the Weld County building department, the needed improvements will be submitted to interested contractors for bids. These bids will be checked against the county estimates and those which meet the standards and prices will he submitted to the home owner who will select the contractor he wishes to do the work. After the work is done the individual and the county will make the final determination as to the acceptability,of the work. The contractor will be paid in stages by the grant as the work goes along. Those who cannot meet the grant requirements will he eligible for low interest loans. Rodriguez said this money is not part of the $100,000 and thus any number of loomis can be granted so long as the loans are for improvement in housing conditions. At present, however, the grant program is foremost in the mind of the county. In addition to persons wishing to apply for the grants, Rodriguez will interview contractors interested in doing the work during his office hours in Frederick. Both subcontractors and contractors are being sought. They must meet certain standards so far as craftsmanship and solvency.
