Re: Consent to Assign Letter Agreement Pursuant to those certain Oil and Gas Leases
listed on Exhibit "A" (the "Oil and Gas Leases")
Weld County, CO
In connection with the sale by Noble Energy, Inc. ("Seller") to Extraction Oil & Gas LLC ("Buyer"), whose
address is 1888 Sherman Street, Suite 200, Denver, CO 80203, of certain oil and gas and related assets in
Colorado, including those affected by and/or subject to the Oil and Gas Leases, Seller desires to assign,
convey and transfer to Buyer all of its rights in the Oil and Gas Leases and the oil and gas properties
burdened thereby or subject thereto.
Pursuant to Section 9 (Assignments) of the Oil and Gas Leases, Seller hereby requests your consent to the
assignment by Seller of its right, title, and interest in the Oil and Gas Leases and the oil and gas properties
burdened thereby or subject thereto to Buyer, subject to the terms of the Oil and Gas Leases.
Please acknowledge your consent to and approval of the foregoing by signing and dating this letter
agreement in the space provided below and returning an executed copy of this letter agreement to:

This Consent to Assign Letter Agreement may be executed in counterparts, and in proving this letter
agreement, a party must produce or account only for the executed counterpart of the party to be charged.
