Box 2235 Tallahassee, FL 32316 info@municode.com • 800.262.2633 fax 850.575.8852 • www.municode.com PROFESSIONAL SERVICES CONTRACT THIS CONTRACT, between the COUNTY OF WELD, COLORADO (County), a body corporate and politic of the State of Colorado and MUNICIPAL CODE CORPORATION (Contractor), a Florida corporation, whose address is PO Box 2235, Tallahassee, FL 32316. 1 . RECITALS: 1 .1 The County desires to use the services of the Contractor for the purpose of providing Codification and Supplementation services to the Weld County Code. 1 .2 The Contractor has agreed to provide the services outlined in the Contractor's Proposal, Exhibit A, upon the terms and conditions set forth in this Contract. Contractor will perform no service under this Contract until direction from an authorized County employee is issued and received by Contractor. 2. TIME OF COMMENCEMENT AND SUBSTANTIVE COMPLETION: The services to be provided under this Contract shall commence on the Contract Execution date, and shall continue for a period of three (3) years, thereafter, the Supplement Service shall be automatically renewed from year to year provided that each party may cancel or change this agreement with sixty (60) days written notice. 3. PRICE: The County will pay the Contractor for the performance of this Contract at the prices specified in the Contractor's proposal. Pricing shall be valid throughout the term of the contract. 4. FINANCIAL OBLIGATIONS OF COUNTY: This Contract does not create a multiple fiscal year direct or indirect debt or other financial obligation. Each request for service shall incur a concurrent debt for that request only. All financial obligations of the County under this Contract are contingent upon appropriation, budgeting, and availability of specific funds to discharge such obligations. 5. CONTRACT DEFINED: This Contract incorporates, herein by reference, the terms and conditions of the following documents. If there is a conflict among the documents, their terms and conditions shall prevail in the following order: 5.1 Contractor's Proposal, Exhibit A 5.2 Certificate of Insurance 5.3 Workers' Compensation Certificate 6. SERVICE OF NOTICES: All required notices shall be deemed to have been validly given if delivered in person or by first class mail to the County at the following addresses: COUNTY OF WELD 1150 0 Street/PO Box 758 Greeley, CO 80632 7. COMPLIANCE WITH THE LAW: This Contract shall be governed and construed in accordance with the laws of the State of Colorado. The Contractor will perform all obligations under this Contract in strict compliance with all federal, state, and municipal laws, rules, statutes, charter provisions, ordinances, and regulations, especially sections of the Occupational Safety and Health Administration (OSHA) regulations, latest revised addition, which provide for job safety and health protection for workers, applicable to the performance of the Contractor under this Contract. The County assumes no duty to insure that the Contractor follows the safety regulations issued by OSHA. IO/,s 0909 G'anoint O _ 3415 543 --2O(5 8. INSURANCE: The Contractor shall not begin any work until the Contractor proves to the County's Purchasing and Contracts Division that it has obtained, at Contractor's own expense, all required insurance as specified below. Liability insurance must be of the occurrence form. Deviations from the requirements listed below must be submitted to and approved by the County. 8.1 COMMERCIAL GENERAL AND AUTOMOBILE LIABILITY insurance must cover bodily injury, property damage and personal injury with limits of no less than $1 ,000,000 per occurrence. 8.2 WORKERS' COMPENSATION coverage must be provided, as statutorily required for persons performing work under this Contract. Contractor must provide County with proof of Employer's Liability coverage with limits of at least $500,000. Contractor shall require any subcontractor hired by the Contractor to carry Workers' Compensation and Employer's Liability coverage. 8.3 CERTIFICATE OF INSURANCE: As evidence of the insurance coverage as required by this Contract, the Contractor and their subcontractors, shall furnish a certificate of insurance to: COUNTY OF WELD 1150 O Street/PO Box 758 Greeley, CO 80632 8.4 CONTINUATION OF COVERAGE: The Contractor shall not cancel, materially change or fail to renew insurance coverage. The Contractor shall notify the Purchasing and Contracts Division of any material reduction or exhaustion of aggregate limits. Any insurance bearing on adequacy of performance (warranty or guarantee) shall continue after completion of the contract for the full guaranteed period. If any policy lapses or is canceled before final payment by the County to the Contractor and if the Contractor fails immediately to procure other insurance as specified, the County may deem such failure to be a breach of this Contract. 8.5 RESPONSIBILITY FOR PAYMENT OF DAMAGES: Nothing contained in these insurance requirements shall limit the Contractor's responsibility for damages resulting from Contractor's operations under this contract. 9. INDEMNITY: The Contractor hereby releases and agrees to indemnify, defend and save harmless the County and its agents from and against all claims, actions, causes of action, demands, judgments, costs, expenses and all damages of every kind and nature, excepting a claim arising from interpretation of language or images contained in the Code, as published in print or electronically, incurred by and on behalf of any person or corporation whatsoever, predicated upon injury to or death of any person or loss of or damage to property of whatever ownership, including the parties to this Contract and their employees, and arising out of or connected with, in any manner, directly or indirectly, the Contractor's operations. 10. STATUS OF CONTRACTOR: The Contractor shall perform all work under this Contract as an independent contractor and not as an agent or employee of the County. The Contractor will not be supervised by any employee or official of the County nor will the Contractor exercise supervision over any employee or official of the County. The Contractor shall not represent that Contractor is an employee or agent of the County in any capacity. The Contractor shall supply all personnel, buildings, equipment and materials at Contractor's sole expense. The Contractor is not entitled to Workers' Compensation benefits and is obligated to pay federal and state income tax on money earned pursuant to this Contract. This Contract is not exclusive; the Contractor may contract with other parties. 11 . TERMINATION: Either party may terminate this Contract by giving the other party sixty (60) days written notice of such termination. The Contractor will then be paid for satisfactory work up to the date of termination. i 12. TRANSFERENCE AND AMENDMENTS: The Contractor may not transfer this Contract to a third party nor in any way amend this Contract without prior written consent of the County. 13. VERIFICATION REGARDING ILLEGAL ALIENS: Contractor has confirmed the employment eligibility of all employees newly hired for employment to perform work under this Contract through participation in the E- verify program administered jointly by the United States Department of Homeland Security and the Social Security Administration. 2 I II 14. DAMAGES FOR BREACH OF CONTRACT: In addition to any other legal or equitable remedy the County may be entitled to for a breach of this Contract, if the County terminates this Contract, in whole or in part, due to Contractor's breach of any provision of this Contract. Scope of Services - Option 1 Conversion into Municode Database & Republication When we republish the Code, pages are recomposed to eliminate short pages, pages with blank backs and oddly numbered (point) pages. Following the re-composition, the entire Code is reprinted and supplement number designations start over with Supplement No. 1 . The process includes: • Conversion to Municode Database; • Stylistic conformity; • Removal of supplement numbers; • Updating of preliminary pages (title page, officials' page, and preface); • 10-point font, Single Column (unless otherwise instructed); • New page numbers; • Updating the Index; • Incorporation of Maps, Diagrams, Charts and Tables; • Editing & Proofreading; • Proofs; • Posting the newly reformatted Code online, and integrating it with our search engine; • PDF version sent via download; • Printing 1 new copy with a binder and tabs (if elected). Every ordinance sent to Municode will be acknowledged via e-mail. A complete list of legislation recorded in an update will be provided . Municode will hold legislation pending a schedule or begin the job immediately. Step Two: Editorial Review Municode's editorial staff reviews all ordinances that have been sent to us in order to determine: • Should the ordinance be included in the book; • Where the ordinance should be placed; • Does the ordinance conflict with material currently included in the Code of Ordinances; • What material will need to be removed from the existing Code of Ordinances; • What History Notes will need to be added to the text of the code; • What Tables will need to be updated within the code. Step Three: Mark-Up The editor uses a proprietary mark-up language called Gen-Code to create the Supplement. This mark-up enables us to create a number of online products including: • Code on the Internet; • OrdLink — a collection of ordinances that have not yet been codified. Each ordinance is hyperlinked to the section of the code that is going to be amended when the next supplement is completed; • OrdBank — a permanent repository of municipal ordinances that are filterable and hyperlinked to the History Notes; • CodeBank — a permanent collection of the County's past codes of ordinances as they existed at a given point in time; • CodeBank Compare — Provides users the ability to select a past version of the online Code and compare it to any other version of the Code each time the Code is updated. The differences will be shown via Highlights (added material) or Strikethrough (deleted material); • Mouse-Over Section Pop-ups — allows a user to hover over a given cross reference hyperlink and get a preview of the material that is referenced in a given cross reference; • Hyperlinked Cross References; • Editorial Notes - Appropriate editorial notes will be prepared and added to the new sections as deemed necessary by Municode. The County has the option to furnish ordinances in hard copy, or in an acceptable electronic version for use in the update; • Cross Reference Table and Table of Contents: Municode will prepare a Table listing the ordinances included in each Supplement and setting out the location thereof. The Table of Contents will also be kept current to reflect changes in the Code. Response to Request from Municipal Code Corporation Page 27 Step Four: Indexing • Once the editor has completed the editorial mark-up, the Supplement is sent to our indexing department where all newly added material is indexed and cross referenced as appropriate. Step Five: Proofreading • Municode's proofreading staff will read the Supplement to ensure editorial accuracy (Spelling, Capitalization, Code Hierarchy, and Layout). • Municode's proofreading staff will re-read each new ordinance in order to ensure that the decisions made by the editorial staff were correct. • Once this analysis is complete, the proofreader then reads each ordinance, line by line and compares it to the newly added text in order to ensure that all material is correct. • Instruction Sheet: With each printed supplement, Municode will furnish a page of instructions for removal of the obsolete pages and insertion of the new pages. • Checklist: Municode will furnish a checklist of up-to-date pages with each Supplement Step Six: Corrections • Should the editorial, legal and or proofreading team find discrepancies in a County's ordinances, they will coordinate with the County in order to ensure that the ordinances are correct and in keeping with the existent Code of Ordinances. Step Seven : Proofs, if elected • Municode's editorial team can provide the County with a Proof PDF copy of each supplement for their review, as well as any questions that they may have for the County's consideration. • Municode asks that the County return said proofs in 30 days or less. • Upon return of the proofs, the editorial team will make any necessary updates to each supplement. Step Eight: Printing and Shipping (currently not applicable to the County) • Municode's print team will print, cut, hole-punch, insert divider tabs and ship it to the County and subscribers. Step Nine: Internet • Within two days of the job shipping, Municode's information technology team will post the Code of Ordinances online and create any necessary electronic products to include: PDF Downloads and Folio Downloads. Conferences. A Municode Representative can travel to the County to discuss the Supplementation process anytime. This will ensure the County's ongoing needs are met and the County is receiving the best possible service. Response to Request from Municipal Code Corporation Page 28 Municode address the specific RFP questions below. 3. CONVERSION AND INITIAL DELIVERY. Weld County's Code is currently available in its entirety at: http://colocode.com/weldpdf.html. The Codifier shall review format options, such as font type (e.g. Arial, New Century School Book, Times New Roman) font size (9, 10, 11 , 12 point) page layout (single or double column), graphics appearance and placement, with Weld County. Sample page formats of Weld County's Home Rule Charter and Code will be provided for review and consideration and shall be converted to a format that is acceptable to the County. The Codifier shall include a production schedule for the conversion project. Municode has offered the County two options for the County's consideration . Either convert the existing Code and start with the next sequential supplement or republish the Code to ensure that the style is uniform and start supplementation fresh with supplement No. 1 . Municode currently has all necessary Code data on hand as this was provided to us by Colorado Code. This will allow Municode to start on the project immediately upon approval by the County. We will do our best to ensure that the Code is posted online by June 1St assuming that the contract is awarded in a timely manner. Production schedules are outlined on page 24-25 depending on what option is elected by the County. The sample supplement showing the "Pending" ordinance and "Officially codified" ordinance version are provided for your review on page 40. 4. ONGOING DELIVERY. Weld County will provide Codifier with Ordinances to be codified in Microsoft Word or Microsoft Excel format ONLY with a .pdf copy of the signed and recorded Final Reading as confirmation of execution. Transfer to successful bidder shall be by E-mail, with confirmation of receipt sent to the Clerk to the Board (Esther Gesick, egesick(weldgov.com, 1150 O Street, Greeley, Colorado 80631 , 970-336-7215) by return E-mail within twenty-four (24) hours. Municode understands the County will provide ordinances in either a Microsoft Word or Excel format and a signed PDF copy will also be provided. Municode will send an E-mail confirmation to the Clerk of the Board within 24 hours of receipt of ordinances. 5. RECEIPT. It is the responsibility of the successful bidder to assure all items have been received. Failure to respond to E-mailed Ordinances within twenty-four (24) hours will be treated as a breach of contract. Municode understands that if we fail to respond within 24 hours it will be treated as a breach of contract. 6. SCHEDULE. Following initial conversion, the firm awarded the contract for said codification service shall supplement the Code for all three readings, with each "Pending" version to be supplemented within a minimum of one (1 ) week. The first two readings shall be designated as "Pending" until the final recorded version is codified. Sections containing recently codified ordinances shall be highlighted with a "Revised" alert in the table of contents and the code. Municode can comply with the specifications requested for "Pending" legislation. Municode can provide electronic supplement updates within 1 week of receipt of the legislation, including "Pending" versions . Municode will notify the County if additional time will be required for large ordinances. The "Pending" version of each ordinance will be displayed online with RED text notating the "Pending" changes. Once the ordinance is officially adopted, the RED text will be removed online. The badge Municode utilizes online to represent recent updates is "Modified" in lieu of "Revised". This service is called CodeBank Compare and is offered to the County as outlined on page 41 . 7. CODIFICATION: A member of the Codifier's staff shall review Ordinances in conjunction with existing provisions of the Code. a. Pages containing provisions that are repealed, amended or superseded shall be revised to insert new ordinance text, as well as provide a link to a scanned copy of the signed and recorded Ordinance document. Municode will review all ordinances received for proper placement within the Code. Ordinances will be incorporated into the online Code upon completion of each electronic supplement. Ordinances can be linked to each history note online via our OrdBank+OrdLink services which is included the in MyMunicode online package as outlined on page 41 . The Codifier shall proofread all materials for accuracy, and analyze and edit ordinances so that provisions of the Code will be expressed in concise, modern and proper phraseology without conflicts, ambiguities and repetitious provisions. The Codifier will not reword any provision that affects the substantive intent of the Code, unless the County approves the revision . Municode will assign a legal editor, proofreader and indexer to the account. The editor will not reword any provisions unless the County approves the revision in writing. The legal proofreader will proofread each supplement for accuracy. The indexer will ensure that all material is indexed and cross-referenced as appropriate. Pages 27-28 outline the Municode supplementation process in more detail. c. Corrections. Should the Codifier detect conflicts, inconsistencies or duplications in the code as new ordinances are included, the Clerk to the Board shall be notified so that corrective action may be taken and the electronic Code revised. Municode will review the legislation submitted by the County. Should any inconsistencies, conflicts or duplications be detected, Municode will alert the Clerk of Board so that corrections can be submitted prior to making any changes to the Code. Municode can update the online Code anytime if any corrective action needs to be taken. d. The Codifier shall update the index, all tables, and the table of contents to reflect changes in the code. The Codifier will add graphics and tables when provided by the County in a usable format and insert them into electronic version of the Code. Municode will update the index, tables, graphics and table of contents to reflect changes as necessary with each electronic supplement. Changes will be incorporated as outlined in the legislation provided by the County. e. The Codifier shall provide page headers identifying the appropriate Chapter title, Article and leading Section number contained on any given page. Footnotes and cross references shall be prepared which tie together related sections of the Code. Proper reference will also be made in the form of footnotes to past and present Ordinances relevant to the change, as well as relevant provisions of the Colorado Revised Statutes (C.R.S.). Said Ordinance and C.R.S. references should be accessible through a hyperlink, popup or similar mechanism. Municode will provide page headers identifying the appropriate Chapter title, Article and leading section number contained on any given page. Footnotes and cross references will be prepared to tie related sections together. History notes will be added to each section to notate the ordinance that amended the section. Municode can link existing State Law References within the Code online, if elected by the County. Ordinances can be linked online via our OrdBank or OrdBank+OrdLink service. f. Text with formally adopted Definitions shall display said definition via a hyperlink or popup mechanism . Municode will provide mouseover preview (pop-up) only for internal cross-references in the Code. There is no additional charge for this feature. g. The Codifier shall provide easy and logical navigation of online Code content, and offer robust search capabilities for the online Code, including tools to search by keyword and phrase which rank the results and highlight the word within the text. No license shall be required for the browse and search options. Municode's website provides the following search features for no additional charge and does not require a license/subscription for use. Keywords and phrases are highlighted throughout the Code with each search . o Advanced Searching - You and your power users will be able to conduct searches using Normal Language, Boolean Logic, Stemming, Fuzzy Search and Synonym search . o Searchable ordinances — If you use our Ord Bank service, ordinances posted pre and post- codification are full-text searchable with hit highlighting. o Searching all content types — If you use our OrdBank or MuniDocs service, you can search any combination of the Code, Ordinances, and MuniDocs simultaneously. Search results will be color coded and labeled for easy identification . The service shall provide the ability to compare code sections with archival code sections side-by-side and with markup. Municode provides the ability to compare code sections with our CodeBank Compare feature. This powerful feature provides users the ability to select a past versions of the online Code and compare it to any other version of in the Municode database. The differences will be shown via Highlights (added material) or Strikethrough (deleted material). Designation of changes will be shown in the table of contents and within the text of the Code as a "Modified," "New," or "Removed" badge. Users can also select an option to view all of the changes from the most recent electronic supplement by selecting the "Changes" tab. See page 21 for more detail on CodeBank Compare. i. Online service shall provide the user with the option of viewing and printing the Code by title, chapter, or section, and in a variety of formats including MS Word, HTML, and PDF. Online service shall also provide bookmarking options, as well as selective printing options which allow for non-sequential printing and viewing of sections. Users can download the Code in WORD format from Municode's website anytime for no additional charge. A PDF of the Charter and Code will also be posted online for access. Staff also has the option to download the Code as HTML and/or PDF via our download archive service. Municode's website allows users to print sequential and non-sequential sections of the Code. Municode provides bookmarking options through our static URL linking feature online. Every code heading level contains a permalink button which exposes a static URL to the specific content. Every component of the site is linkable. j . The Codifier must offer support, training and additional professional, technical and support services by phone, webinar or onsite, as needed. Municode can provide technical support and training via the phone, webinar or onsite as needed. Users can create a support ticket directly from the online Code or through www.municode.com if any issues should arise. 8. ELECTRONIC VERSION. The Codifier shall provide a link to the online Code for inclusion on the County's website and provide reliable 24/7 hosting services and secure delivery of content for the online Code, via https, to avoid potential mixed content issues should the County opt to embed or otherwise leverage content natively within the County's web applications. Once the Code has been converted into our database, we will post the Code online. Municode currently provides a SLA of 99.9% uptime to our customers. Municode has duel server locations that are synced nightly. A full explanation our Municode's web accessibility is provided on page. 30. a. The hosted Internet site shall provide public access to the Code which may be viewed and downloaded in both .pdf and Microsoft Word versions and shall furnish an archival service or provide the Weld County Clerk to the Board with a CD copy of each Code Supplementation during the life of this contract. Users can download the Code in WORD format from the Municode website. Municode can archive each supplement online via our CodeBank service. CodeBank is a powerful research and archival tool that allows anyone to easily view a Code as it existed after a previous update or supplement. Previous versions are accessible from a drop down box that appears with the online Code. When a previous version is selected, users are alerted that they are looking at an older version of the Code. The historic version of the Code is fully searchable and printable, making the task of researching past versions of your Code more efficient. CodeBank versions are located under the "Archives" button on the top toolbar online. If desired, Municode can link a PDF of each supplement with the HTML version online. The internet version shall be compatible with smart phone and tablet technology (both Apple and Android devices) and provide the ability to "share" using various forms of social media, including, but not limited to: Email, Facebook, Twitter, Pinterest, etc. Municode's mobile site supports all modern smartphone and tablet browsers. This site is designed for any modern mobile browser on any mainstream mobile OS including iOS, Android, Blackberry and Windows Phones. Smartphone and tablet users are automatically redirected to our mobile site when they visit a given online publication in our library. Our public facing systems are co-located in a datacenter operated by Peak 10 in Atlanta, GA. This data center is SAS 70 Type II and PCI compliant, employing all modern data center best practices with regard to physical security. All individuals entering the data center must be active customers or authorized vendors with badge and PIN access to the front door. Biometric authentication is required to enter the data center facility, and each rack is locked with a combination lock to prevent unauthorized access. The facility is monitored by camera 24/7 to further provide physical security. Municode secures its systems using enterprise grade security products. We employ firewalls from Palo Alto networks to secure the perimeter and endpoint security from Symantec to provide anti-virus scanning and threat detection on all servers, desktops, laptops, virtual machines, and mobile devices. Symantec actively scans all file access on all endpoints on our network and immediately quarantines any suspected malware, immediately sending notification to our systems administration staff. Backups of data performed. Municode utilizes Veeam Backup & Recovery to take daily snapshots of all servers in our Atlanta and Tallahassee datacenters. Snapshots are performed from 8 pm EST to 5 am EST and are replicated between sites. Atlanta snapshots are copied to Tallahassee and vice versa. We routinely test our backups on a monthly basis. Antivirus protection. Municode utilizes Symantec Endpoint Protection to protect all desktops, laptops, virtual desktops, and servers from viruses and malware. Signatures are updated every 4 hours and pages are sent immediately to a team of admins if an infection is detected. Data redundancy. Municode uses Equallogic iSCSI SANs for all our storage needs. Fulfillment services are available to distribute individual printed copies of Codes and Supplements to departments or subscribers at no additional fee to the Client. Orders can be placed through our online ordering, via fax, mail or telephone. More detailed information about distribution services will be provided after the return of the proofs. Future Legal Review. At any point during the term of this Agreement, or extensions thereof, Municode can provide additional legal review to identify inconsistencies, obsolete provisions or compare the Code to current State Law. Following initial conversion, the firm awarded the contract for said codification service shall supplement the Code for all three readings, with each "Pending" version to be supplemented within a minimum of one (1 ) week. Sections containing recently codified ordinances shall be highlighted with a "Revised" alert in the table of contents and the code.
