RE: APPROVE PARTICIPATING AGREEMENT NOXIOUS WEED TREATMENT AND
AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, on May 13, 2015, the Board was presented with the Participating
Agreement among the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Weld County Department of Public Works,
Weed Division, and the United States Department of Agriculture, Forest Service; Arapaho
National Forest; Roosevelt National Forest; and the Pawnee National Grassland, at which time
it was deemed advisable to continue the matter to May 27, 2015, to allow staff adequate time to
modify the provisions to be consistent with standard County terms, and
WHEREAS, after review on May 27, 2015, the Board deems it advisable to approve said
modified agreement, commencing upon full execution of signatures, and ending December 31,
2019, with further terms and conditions being as stated in said agreement, a copy of which is
attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Participating Agreement among the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Weld County Department of Public Works, Weed Division, and the United States Department of
Agriculture, Forest Service; Arapaho National Forest; Roosevelt National Forest; and the
Pawnee National Grassland be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said agreement.

This request is for signature on the contract for a working agreement with the USFS Pawnee
National Grassland.
This agreement is a working understanding between the USFS and Weld County for the next 5
years or from May 2015 through December 31,2019.This agreement allows Weld County to
provide education, spot check for noxious weed infestations on the USFS lands,and to offer
assistance in the treatment of certain noxious weeds when grant funds can be obtained.
As a joint partnership under this working agreement, we will be able to help protect the
private lands bordering the USFS Pawnee National Grassland, and vice versa, so that the
noxious weeds do not spread across the borders.

Brief description of the problem/issue:
In January of 2015 Weld County applied for a grant from the Colorado Department of Agriculture to offer cost-share to
landowners for Dalmatian toadflax and to have funds to hire a contractor to treat some isolated acres of hoary cress and
perennial pepperweed that are on both USFS Pawnee National Grassland and private lands. This grant application was
funded at 100%.The grant provided up to$8,000 for the contractor to do this work.
Upon coordinating the details with USFS Pawnee National Grassland, I was informed that we would need to enter into a
non funded participating agreement to be able to carry out the work on the hoary cress and perennial pepperweed
infestations that are on the USFS Pawnee National Grassland.
This agreement will facilitate a cost-effective and a coordinated treatment of undesirable plants throughout the County
across jurisdictional boundaries with the objective of achieving healthy and productive natural and agricultural
ecosystems. This agreement will also document the cooperation between the parties to control the noxious weeds. The
agreement will be in effect until December 31,2019.
The County's funds involved are covered under the grant either in dollars reimbursed from the grant or as part of the in-
kind match for the grant.
Attorney Bob Choat has reviewed an initial layout of this contract and did not s any big issues with*formality of the
contract.

Please see the attached document for an unfunded Noxious Weed Treatment Participating Agreement
between Weld Co. and the Pawnee NG(15-PA-11021006-020).This agreement outlines the roles and
responsibilities of Weld Co. and the USFS when performing weed treatment activities on the Pawnee
NG.The USFS will collaborate with Weld Co.to provide maps and locations of infestation in addition to
monitoring of Weld co.activities on NFS land.Weld Co. will provide supervised crews to perform the
work and all necessary equipment.The period of performance for this agreement will be through
12/31/2019.

This PARTICIPATING AGREEMENT is hereby entered into by and between Weld County,
hereinafter referred to as"the County,"and the USDA,Forest Service,Arapaho and Roosevelt
National Forests and Pawnee National Grassland, hereinafter referred to as the"U.S. Forest
Service," under the authority: 1).Cooperative Funds and Deposits Act of December 12, 1975,
Pub.L. 94-148, 16 U.S.C. 565a1 —a3, as amended; 2) RTyden Amendment(Public Law 105-277,
Section 323 as amended by Public Law 109-54,Section 434, and permanently authorized by
Public Law 111-11, Section 3001); and 3) Secure Rural Schools and Community Self-
Determination Act of 2000,Public Law 106-393, 16 U.S.C. 500,as reauthorized and amended.
Title: Weld County and USDA-Forest Service Noxious Weed Treatment Cooperative
Agreement
1. PURPOSE: •
The purpose of this agreement is to document the cooperation between the parties to 1) recognize
that certain undesirable plants pose a threat to environmental and economic health or the County
by displacement of native plant species,and the degradation of livestock forage,wildlife habitat
and recreational values and two 2)control noxious weeds in accordance with the following
provisions and the hereby incorporated Operating and Financial Plan,attached as Exhibit A,
The agreement will facilitate cooperation between parties in coordinated treatment of
noxious/undesirable plants throughout the County and across jurisdictional boundaries with the
objective of achieving healthy and productive natural and agricultural ecosystems,as described
in Attachment B,the Project Operating Plan. The parties have a common interest in improving
and protecting vegetation conditions within Weld County. This agreement provides for the
interchange of services,equipment, and funds as specifically outlined below to meet the
mutually agreed upon project objectives.
II. STATEMENT OF MUTUAL BENEFIT AND INTERESTS:

The Forest Service and the county birth have the responsibility for controlling undesirable plants
on lands under theirjurisdiction. Since undesirable plants originate from both private and public
lands, and since infestations often occur on adjacent jurisdictions, it is in the interest of both
parties to this agreement to work together in a cost effective manner to locate and treat
infestations and prevent their spread.
In consideration of the above premises, the parties agree as follows:
111. Weld County SHALL:
A. LEGAL AUTHORI'I Y. the County shall have the legal authority to enter into this
agrcennenL and the institutional, managerial, and financial capability-to ensure proper
planing, management, and completion of the project, which includes funds sufficient
to pay the non-Federal share of project costs, when applicable.
B. Meet prior to April 30 annually with the US Forest Service for the purpose of
identifying and agreeing to specific projects that will he jointly performed audlor
funded during that year, ribose projects will be described on the Annual Operating
Financial Plan for that year and attached to this agreement_
C. Perii+nn the following activities for the entire period of this agreement, regardless of
specific projects to be cost shared in a particular year.
a. The County will assist with mapping of noxious/undesirable plant infestations and
inform the US Forest Service of new infestations located on National Forest System
(NFS) lands within the county.
b. Cooperate with the US Forest Service in the preparation of operating plans that
includes tinting, treatment restrictions, location and treatment prescriptions
c. Acquire approval from the Forest Service prior to implementing any
noxious/undesirable plant control measures on NFS lands
d. Follow and adhere to all specifications that are identified in the operating plan
submitted fur this agreement.
e. Apply all pesticides in accordance with state and federal laws.
f Provide the equipment,herbicides, personnel and services necessary to carry out
noxious/undesirable plant control measures as funding and scheduling allows.
g. Provide raw data, including pesticide records, with 14 days of any applications and
provide a copy of these records to the US Foresr,Service.
IV. THE U.S. FOREST SERVICE SHALL:

c. Review and approve any noxious/undesirable plant control measures on US Forest
Service lands proposed by Weld Co.
d. Follow and adhere to all specifications that arc identified in the operating plan
submitted for this agreement.
e. Monitor activities on NFS lands to ensure all pesticides in accordance with state and
federal laws.
f. Incorporate Weld Co. raw data into required reportable system for NRM.
g. Conduct monitoring and documentation to verify effectiveness of control program,
ensure compliance with requirements identified through the environmental review
and approval process.

given by the U.S.Forest Service or the County are sufficient icient only if in writing and
delivered in person, mailed, or transmitted electronically by e-mail or fax,as follows.

H, ELIGIBLE WORKERS. The County shall ensure that all employees complete.the
1.9 form to certify that they are eligible for lawful employment under the Immigration

regarding certification and retention of the completed forms. These requirements also
apply to any contract awarded under this agreement.
I. SYSTEM FOR AWARD MANAGEMENT REGISTRATION REQUIREMENT
(SAM). The County shall maintain current information in the System for Award
Management(SAM) until receipt of final payment- This requires review and update
• to the information at least annually after the initial registration, and more frequently i r
required by changes in information or agreement term(s). For purposes of this
agreement, System for Award Management(SAM)means the Federal repository into
which an entity must provide information required for the conduct of business as a
Cooperative. Additional information about registration procedures may he found at
the SAM Internet site at tvww.sam.aov.
J. AGREEMENT CLOSE-OUT. Within 90 days after expiration or notice of
termination The County shall close out the agreement.
Any unobligated balanee of cash advanced to the County must be immediately
refunded to the U,S. Forest Service, including any interest earned in accordance with
7 CFR3016.21/2CFR 215.22.
Within a maximum of 90 days following the dale or expiration or termination of this
agreement, all financial performance and related reports required by the terms of the
agreement must be submitted to the U.S. Forest Service by the County.

K. PROGRAM MONITORING AND PROQRAM PERFORMANCE RlWOR'c ,
The parties to this agreement shall monitor the peatarniancc of the agreement
activities to ensure that performance goals are being achieved.
Pertormance reports must contain infomuttion on the following:
- Raw data collected from noxious weed treatment activities
- Reason(s) for delay if established goals were not.met
The County shall submit annual perf rmmiee reports tit the t1. . forest Service
Program Manager. These report.s art due 90 days after the reporting period. 't'he
final performance report must he submitted either with the County's final payment
request,or separately, hut not later than 90 days from the expiration date of the
agreement.

L. RETENTION AND ACCESS REQUIREMENTS FOR RECORDS. The County .
shall retain all records pertinent to this agreement for a period of no less than 3 years
from the expiration or termination date. As used in this provision,reecords.ineludes
books,documents,accounting procedures and practice. and other data,regardless of
the type or fotinat. The County shall provide access and the right to examine all
records related to this agreement to the U.S. Forest Service.Inspector General,or
Comptroller General or their authorized representative.The rights of access in this
section must not be limited to the required retention pctiod but oldst last as king is
the records are kept.

N. TEXT MESSAGING WHITE.DRIVING. In accordance with Executive Order(FO)
13513, "Federal Leadership on Reducing Text Messaging While Driving,"any and
all text messaging by Federal employees is banned: a) while driving a Government
• owned vehicle (GOV) or driving a privately owned vehicle(POV) white on official
Government business; orb)using any electronic equipment supplied by the
Government when driving any vehicle at any time. All Cooperatives, their
Employees, Volunteers, and Contractors arc encouraged to adopt and enforce policies
that ban text messaging when driving company owned,leased or rented vehicles,
POVs or GOVs when driving while on official Government business or when.
performing any work for or on behalf of the Government.
O. PUBLIC NOTICES. It is The I LS. Forest Services policy to inform the public as
fully as possible ()fits programs and activities. The County is/are encouraged to give
public notice of the receipt of this agreement and, from time to time, to tuulounee
progress and accomplishments. Press releases or other public notices should reference
the Agency as follows:
"The Pawnee National Grassland of the U.S. Forest Service; U.S. Department of
Agriculture"
The County may call on The (1.S. Forest Service's Office of Communication for
advice regarding public notices. The County is/are requested to provide copies of
notices or announcements to the U.S. Forest Service Program Manager and to The
II.S.Forest Service's Office of Communications as far in advance of release as
possible.
P. CONTRACT REQUIREMENTS. Any contract under this agreement must be
awarded following the the County's established procurement procedures,•to ensure
free and open competition, and avoid any conflict of interest (or appearance of
conflict). The County shall maintain cost and price analysis documentation ibr
• potential U.S. Forest Service review. The County is/are encouraged to utilize small
businesses,minority-owned firms, and women's business enterprises.
Q. REMEDIES FOR COMPLIANCE RELATED ISSUES. If the County materially
tail(s) to comply with any term of the agreement, whether stated in a Federal statute
or regulation, an assurance, or the agreement, the U.S. Forest Service may take one or
more of the following actions:
I. Temporarily withhold cash payments pending correction of the deficiency by the
County or more severe enforcement action by the U.S. Forest Service;
• 2. Disallow(that is, deny both use of funds and matching credit for)all or part of
the cost of the activity or action not in compliance:

3. Wholly or partly suspend or terminate the current tt reetnent tOr the County's
program;
4. Withhold further awards for the program,or
5.'take other remedies that may be legally available, including debarment
procedures under 2 CFR part 417.
R. TERMINATION BY MUTUAL AGREEMENT. This agreement may be terminated.
in whole or part,as follows:
1.When the U.S.Forest Service and the County agree upon the termination
conditions, including the effective dale mid,in the case of partial termination, the
portion to be terminated.
2. By 30 days written notification by the County to the U.S. Forest Service setting
forth the reasons for termination,effective date.and in the case of partial
termination, the portion to he terminated. lithe U.S. Purest Service decides that
the remaining portion of the agreement will not accomplish the purposes for
which the agreement was made,the U.S. Forest Service may terminate the
agreement in its entirety.
Upon termination of an agreement,the County shall not incur any new obligattons for
the terminated portion of the agreetnettt after the effective date,and shall cancel as
many outstanding obligations as possible, The U.S. Forest Service shall allow full
credit to the County for the U.S. Forest Service share of obligations that cannot be
caneelled and were properly incurred by the County up to the effective date of the
termination. Excess funds must be refunded within 60 days after the effective date of •
termination.
S. AL-IERNATE DISP1JTU:RESOLUTION—PARTNERSILIP AGREEMENT. In the
event of any issue of controversy wider this agreement,the parties may pursue
Alternate Dispute Resolution procedures to voluntarily resolve, those issues. These
procedures may include,but are not limited to conciliation.facilitation, mediation. •
and fact findit .
T. DEBARMENT AND SUSPENSION. The County shall immediately inform the
Forest Scrx ice if they or any of their principals are presently excluded,debarred, or
suspended from entering into covered transactions with the Federal Ooverrment
according to the terms of 2 CFR Part 180. Additionally,should the County fir any
their principals receive a transmittal letter or other official Federal notice of
debarment or suspension,then they shall notify the U.S. Forest Service without undue

involuntary.

U. MODIFICATIONS. Modifications within the scope of this agreement must be made
by mutual consent of the parties, by the issuance ofa written modification signed and
dated by all properly authorized,signatory officials,prior to any changes being
performed. Requests for modification should be made,in writing,at least 30 days
prior to implementation of the requested change The U.S.Forest Service is not
obligated to fund any changes not properly approved in advance.
V. CONDO IN( I.:MI NT/EXPIRATION l)AlL_. This agreement is executed as of the
date of the last signature and is effective through December 31, 2019 at which time it
will expire.The expiration date is the final date for completion of all work activities
under this agreement.
W. AUTHORIZED REPRESENTATIVES. By signature below, each p,my certifies that
the individuals listed in this document as representatives of the individual parties are
authorized to act in their respective areas for matters related to this agreement. In
witness whereof;the parties hereto have executed this agreement as of the last date
