In establishing the boundaries of the territory proposed to be annexed, no land held in identical ownership, whether consisting of one tract or parcel of real estate or two or more contiguous tracts or parcels of real estate, has/have been divided into separate parts or parcels of real estate without the written consent of the land owner or land owners thereof, except and unless where such tracts or parcels are already separated by a dedicated street, road, or other public way. 4. In establishing the boundaries of the territory proposed to be annexed, no land held in identical ownership, whether consisting of one tract or parcel of real estate or two or more contiguous tracts or parcels of real estate comprising twenty (20) acres or more which, together with the buildings and improvements situated thereon have an assessed valuation in excess of $200.000 for ad valorem tax purposes for the year next preceding the filing of the written petition for annexation, has/have been included within the territory proposed to be annexed without the written consent of the land owner or land owners. 5. The property owned by each petitioner is described on each separate signature sheet and, when needed, described more fully in the exhibits attached hereto and incorporated herein by reference. 9. The signer(s) of this petition comprise(s) more than fifty percent (50%) of the land owners and owning more than fifty percent (50%) of the property, excluding public streets and alleys, and any land owned by the annexing municipality, and are, in fact, owners of one hundred percent ( 100%) of the property set forth in Exhibit A attached hereto and incorporated herein by reference. ANNEXATION NARRATIVE PDC ENERGY FACILITY REDEVELOPMENT / REMODEL 12680 WEST 20TH STREET (CR 58) GREELEY, CO 80634 March 4, 2015 PDC and the Proposed Acquisition PDC Energy, Inc. ("PDC") is an independent oil and natural gas exploration and production company with operations and an employee base centered in Colorado. PDC has entered into a real estate purchase contract with the current owner of the subject Property (as defined below), Bates Leasing Company, Ltd., for the acquisition of the Property. In connection with the potential acquisition, PDC intends to substantially improve the Property by remodeling and updating both the interior and exterior components of the existing Building (defined below), as well as making various site improvements on the Property. PDC's potential acquisition of the Property, and the associated remodel of the Building and surrounding site, is contemplated to occur in connection with a relocation of PDC's Northern Colorado business office currently located outside the city limits of Greeley, Colorado. The Property, the Building and the Historical Uses The Property, which is a 385,081 square foot (8.840 acre) site, (Lot A, recorded exception No. 0959-18-1-RE176, located in the northwest quarter of the northeast quarter of Section 18, T5N, R66W of the 6`" P.M .) is an enclave situated in Weld County at 12680 County Road 58 and surrounded by the City of Greeley (the "Property"). The Property includes a 61,472 square foot two-story office building with an interior garage and warehouse space (the "Building"). The office portion of the Building faces 20"' Street, and the Property includes a large asphalt parking surface as well as space utilized for outdoor storage. Additionally, the Property contains a granular surface storage yard which has historically been used for the storage of telephone equipment, large vehicles and building materials (the "Storage Yard"). The Storage Yard, which is located on the south side of the Property, is screened from view by a natural ridge and is fenced off by an 8 foot tall chain link fence on all sides. The Building, which is connected to City of Greeley (the "City") water service but is not currently connected to the City sewer system, utilizes a septic system, leach field and a drainage detention pond, all of which are contained within the boundaries of the Property. Site landscaping currently consists of a mixture of mature deciduous and evergreen trees along the north, west and portions of the south perimeter of the Property. The original development of the Property was completed by Mountain Bell (later Century Link), and multiple other owners and tenants have owned and occupied the Property since then. The Property is currently zoned a C-3 Zone District in Weld County. PDC's Contemplated Use of the Property PDC contemplates utilizing the Property and the Building for commercial offices and light industrial operations, which is consistent with the historic use of the Property and Building. At the time of the projected acquisition, 160 PDC staff members and contractors would be moved to the Property. Traffic in and out of the Property would primarily comprise passenger cars and pick-up truck vehicles. Presently, PDC does not anticipate significant heavy truck traffic [or intensive yard storage on this site]. Pass through rotating storage would consist of mostly of gas valves, fittings, and other small oil field equipment on standard pallets, as well as racks of 6 foot high piping, rolls of chain link and barbed wire fencing and associated steel and wood fence posts. On occasion PDC anticipates that the storage yard would store separators, fiberglass tanks, compressor engine skits, chemical injection pump skids, catwalk systems, and miscellaneous solar panel equipment. It is anticipated that semi-tractor trailers would deliver pipe to the Property once daily. PDC projects that the foregoing materials would typically be transported from the site by the use of covered or gooseneck trailers on an average of five times a day. Renovations to the Property and Building Assuming completion of the acquisition, PDC intends to re-purpose and revitalize the Property. The Property and the Building are currently showing signs of decline and lack of investment in upkeep, and PDC's proposed renovation of the Property would increase the aesthetic value and commercial utility of the Property. The exterior of the Building would be renovated; without limitation, the following improvements are contemplated : additional exterior windows, new paint, and a small public- friendly entry and other facade improvements, all of which will be designed to greatly improve the Building's appearance. PDC intends that the form, scale and design of the Building, and the other improvements to the Property generally, will significantly enhance the 20`x' Street corridor and appeal to the residential neighborhood bordering the Property to the north. Furthermore, improvements to landscaping, paved parking areas and site lighting are being considered, as well as enclosure of the exterior stairways on the east and west ends of the Building. No additional building structures are proposed at this time. Information Regarding Current and Future Ecological and Land Use Conditions PDC's proposed uses of the Property, which include office space, parking, and indoor and outdoor storage, pose no additional recognizable hazardous conditions as compared to the Property's historical uses. PDC has conducted a Phase I Environmental Site Assessment (the "Phase I Report") and the findings indicate that, from 1974 to approximately 2009, the south side of the Building was used for truck maintenance. The Building is serviced by an on-site septic and leach field system. Because the Building has been occupied over an extended period of time, the septic system represents a potential environmental hazard. In addition, the Phase I Report reflects that four underground storage tanks ("USTs") (1 gasoline tank, 2 diesel tanks, and one used oil tank) were removed in 1993 from the Property in an area to the south of the Building and that contaminated soils were excavated and removed from the Property. According to the Phase I Report, the reclamation received regulatory closure in 1993. The Phase 1 Report further reflects that a gasoline UST installed after the 1993 UST work was removed in 2010 and contamination was discovered at that point in time; according to the Phase I Report, groundwater quality was monitored until 2012 as a result of that contamination, when the regulators approved closure for the event. The UST contamination incidents represent historic recognized environmental conditions for the site. PDC anticipates that the heavy truck traffic, or tractor trailers, will be minimal at this site. Pass through rotating storage would consist of standard industry equipment. It is anticipated that semi- tractor trailers would deliver pipe to the Property once daily. Conformance to the City's Comprehensive Plan Community Design : PDC intends to re-purpose and revitalize the Property. PDC's proposed renovation of the Property, which has not been substantially renovated since it was built in 1974, would increase the aesthetic value of the Property by giving it a "face lift." This would substantially improve the appearance of the Property from 20th Street and US 34. The revitalized property will contribute to appealing community development through a well-defined design that is aesthetically pleasing, functional and will compliment adjacent residential neighborhoods while providing a positive visual image of the community. Economy: PDC's acquisition of the Property would allow for relocation of PDC's existing business to the City of Greeley, and would further enhance PDC's involvement as a member of the community. Additionally, PDC will not only relocate approximately 160 full-time positions to the City, but brings with it a vibrant job creation model based on creating highly desirable wage and benefit positions. Environment: PDC's plan to retool and repurpose an existing building shows a commitment to sustainable community development. Further, PDC plans to upgrade the Property while giving great consideration to the environment. A few examples include the safe removal of asbestos from the Building, proper delineation of existing storage and waste collection systems and remediation of those systems if required. Redevelopment: The existing Property and the Building were developed and constructed in 19 /4 and are showing signs of decline and lack of investment in upkeep. In lieu of demolition of the existing structure, PDC's proposed renovation would be to "re-image" the exterior of the Building. The form, scale and design will enhance the 20`{' Street corridor and appeal to the adjacent residential neighborhood to the north. Improvements to landscaping, sidewalks, paved parking areas and site lighting are also being considered. PDC's redevelopment of the Property will maximize taxpayer return on existing infrastructure and enhance the character of the existing neighborhood. Land Use: Upon acquisition, PDC's investment will improve economic vitality and the appearance of an existing structure through an attractive, compatible commercial redevelopment that is environmentally sound and designed to be functional for its intended use. The current use of the Property will not change significantly and the Building will continue to be used for both office and warehouse/storage purposes. Intent to Include the Property in the Northern Colorado Water Conservancy District and Subdistrict. The Property is already included in the Northern Colorado Water Conservancy District.
