Subject: Sole Source Approval of B1500133
I am requesting the Board of County Commissioners (BOCC) approval of a sole source
purchase of services and equipment from SetPoint Systems Corporation. SetPoint is the only
authorized source for Delta Controls sales and service in our state (please see Toby Taylor's
memorandum dated May 13, 2015, and the May 13, 2015, letter from Delta Controls). Approval
by the BOCC is required per Section 5-4-90 of the Weld County Code (pasted below).
SetPoint will be installing Delta Controls in the Weld County Law Administration Building for
$39,775, and the Weld County SW Building for $79,554.
I recommend the BOCC approve this sole source purchase.

sec.5.4-90.Sole Source Purchases
Purchases may be exempt from the quote and bid process if there is only one appropriate vendor. Some
equipment designation effectively eliminates competition,so support documentation will be required on the requisition
to explain why only a particular brand or service is acceptable. A sole source situation could arise because of
compatibility with existing equipment due to the fact that the product or service is patented or copyrighted. Such
purchases, when identified and justified by the requesting department and upon concurrence of the Purchasing
Director, shall be exempt from the quote and bid process. The Purchasing Department will maintain records of all
sole source justifications. Any sole source purchase over $25,000 will require approval from the Board of County
Commissioners.

Brief description of the problem/issue:
Per Weld County Code (pasted below) the Board of County Commissioners (BOCC) must approve any sole

Delta Controls. As part of the B&G capital plan, we have budgeted to upgrade aging HVAC Delta Control
system at two buildings (Law Administration and the Southwest Services Center Buildings) to the current
version of Delta Controls. This upgrade will bring these two building's Direct Digital Control (DDC) systems

Subject: Delta Controls Retrofit
As part of the B&G capital plan,we have budgeted to upgrade aging HVAC Delta Control system at two
buildings to the current version. These two buildings are the Law Administration Building and the
Southwest Services Center Building. This upgrade will bring these two building's Direct Digital Control
(DDC) systems from the version 2.0 to compatibility to the current version 3.40 that we have in
operation at our other facilities on Delta Controls.
This is a sole-source purchase due to the DDC system installed in the building being Delta Controls. The
only regional vendor for Delta Controls is SetPoint Systems.
Therefore, Buildings and Grounds is recommending approval of the Law Administration building for
$39,775 and the Southwest Services Center Building for$79,554

SCOPE OF WORK
Currently, the Weld County Law Administration building is operating with aged Delta
hardware and software, and would like to be on the latest Delta Controls technology.
Setpoint System's upgrade solution will provide higher network speeds for
communication, reliability, redundancy and viewing of DDC through the front end.
These buildings will continue reside on Weld County's expanding 3.40 network of the
current projects at Centennial, Courthouse, Plaza East and Plaza West.

GENERAL EXCEPTIONS AND CLARIFICATIONS
A. Our quotation is contingent upon receipt of a purchase order and/or subcontract
agreement fully acceptable to Setpoint Systems Corporation (Setpoint).
B. Setpoint assumes all equipment no listed in this scope of work to be in good working
condition. Any material or equipment found to be non-functioning will be reported
immediately to the owner.
C. This proposal is good for 60 days.
D. This proposal is tax exempt
E. This proposal includes all system programming, system initialization, start-up, check-
out, point to point check, on-site turnover, and as-built documentation.
