RE: APPROVE AMENDMENT NO. 1 TO SERVICES AGREEMENT FOR MASTER ZONE
CONTROLLER AND AUTHORIZE CHAIR TO SIGN - MOTOROLA SOLUTIONS, INC.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with Amendment No. 1 to the Services
Agreement for Master Zone Controller between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Public Safety and Communications, and Motorola Solutions, Inc., commencing December 30,
I 2015, and ending December 31, 2019, with further terms and conditions being as stated in said
amendment, and
WHEREAS, after review, the Board deems it advisable to approve said amendment, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Amendment No. 1 to the Services Agreement for Master Zone
il Controller between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Safety and
Communications, and Motorola Solutions, Inc., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 30th day of December, A.D., 2015.

Are reference to pass-around dated 12/22/2015. The Service agreements are the new
maintenance agreements with Motorola for 2016. The amendments to the service agreements
are at the County Attorney's request. The Communications System agreement is for the build
of the Mountain View Radio Tower in Niwot.

Brief description of the problem/issue:
3 —Service Agreements for PS-Communications
Consoles = 10,145.76—was 186,165
Infrastructure =7,775.16—was 251,721
Master Core= 50,366.28—was 77,542
3 —Service Agreement Amendments to the agreements—requested by County Attorney
1 — Communication System Agreement — this is the Motorola contract for the Mountain View Radio Tower
located in Niwot.
The three service agreements are the new maintenance since bringing in the radio shop in-house. These
agreements are for technical support& security patches and updates
The one system agreement is for the build of the Mountain View Tower located in Niwot that was approved
back in April. We did receive a Mineral & Impact grant for about 500K in August for this.
What options exist for the Board? (Include consequences,impacts, costs, etc. of options)
Approve
Disapprove - impacts will be the inability to receive security patches and technical support for public safety
assets and infrastructure.
Recommendation:
Approve all 4 agreements for implementation in January 2016

Amendment No.1 To
Services Agreement S00001024529
This Amendment No. 1 to the Services Agreement, dated December 29, 2014, ("Agreement") is made by
and between Weld County, CO, ("County or "Customer" or "Party"), and Motorola Solutions, Inc., a
corporation organized and existing under the laws of the State of Delaware("Motorola"or"Contractor" or
"Party")(collectively"Parties"). This Amendment No. 1 amends the Agreement identified above.
RECITALS
WHEREAS, the Parties entered into the Agreement dated December 29, 2014, under which the-eit+�County
agreed to purchase and Motorola agreed to sell maintenance services to the£ityCounty
WHEREAS,
the Parties, pursuant to Section 12.1 of the Agreement, wish to amend the Agreement to
include the following.
NOW, THEREFORE, the Parties agree that the Agreement shall be amended as follows:
1. Section 10—Default/Termination. Section 10.3 is hereby replaced with the following language:
10.3 The Parties agree that the Customer may terminate this Agreement at any time upon 30
days advance written notice to Motorola of Customer's intent to terminate. In the event of such
termination,the Customer shall be obligated to pay Motorola for services only through the
effective date of termination.
The Parties further agree that the annual fees for the Services are based upon the assumption
that this Agreement will be in effect for the full 5 year term;and if the Agreement is terminated
before the end of the term, then a termination will be assessed equal to 5%of the annual price
times the number of years the maintenance contract has been in effect('Termination Fee").The
Termination Fee will be payable upon early termination and is not a penalty, but rather is a
charge to compensate Motorola for Customers failure to satisfy the full term on which the
maintenance pricing was based.
The Parties hereby enter into this Amendment No. 1 as of the �a
day of December, 2015. Except as
amended herein, the terms, conditions and provisions of the Agreement shall remain in full force and
effect.
