RE: APPROVE APPOINTMENT OF REPRESENTATIVES ON PROXIES FOR VOTING
STOCK AT THE ANNUAL MEETINGS OF VARIOUS DITCH COMPANIES AND
AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board is presented on various occasions with proxies to appoint
representatives for annual stockholders meetings for certain ditch companies, and the Board has
done so on a case-by-case basis, designating either Robert J. Frick, County Attorney; Clayton
Kimmi, Department of Public Works; or Jay McDonald, Director of Department of Public Works, to
represent Weld County at those meetings in the absence of a Weld County Commissioner, and
WHEREAS, in the event a Commissioner is unable to attend said meetings, the Board
deems it advisable to approve a blanket appointment for all such proxies and the Chair's
signature on them when received.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that either Robert J. Frick, County Attorney; Clayton Kimmi, Department of
Public Works; or Jay McDonald, Department of Public Works Director, be, and hereby are,
appointed to represent Weld County at annual stockholders meetings for various ditch companies
when the Board receives proxies asking for such appointment and a Commissioner is unable to
attend.
BE IT FURTHER RESOLVED by the Board of County Commissioners of Weld County,
Colorado, that the Chair be, and hereby is, authorized to sign such proxies upon their receipt and
to include the information regarding the appointments made herein.

The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 7th day of January, A.D., 2015.
