EASEMENT DEED AND AGREEMENT

ciency of which is acknowledged, does hereby sell, convey and quitclaim unto Saddle Butte
Rockies Midstream,LLC,a Delaware limited liability company,whose legal address is 858 Main
Street, Suite 301, Durango, Colorado 81301 ("Grantee") and Grantee's successors and assigns, a
non-exclusive access road easement(the "Easement") thirty feet (30') in width, over and across
Grantor's real property in Section 24, Township 3 North, Range 65 West, 6s'Principal Meridian,
Weld County, Colorado, as more particularly described on Exhibit A, consisting of one page,
attached hereto and by this reference incorporated herein and made a part hereof.
Grantee, at Grantee's expense, shall have the right to operate, use, maintain and repair a
access road only within the Easement for Grantee's use, including access to and from Grantee's
real property in Weld County,Colorado,described as follows:
A parcel of land in the NW 1/4 of Section 24,Township 3 North,Range 66 West,6th Principal
Meridian described as: Lot A of Recorded Exemption RE-2045.
The Easement shall be an easement appurtenant to Grantee's Property, and shall inure to
the benefit of Grantee's successors and assigns,subject to the conditions set forth herein. In case
Grantee shall abandon the Easement herein granted,and cease to use or hold as useful the same for
a period of two (2) consecutive years or longer, all right, title and interest hereunder of Grantee
shall revert to the Grantor or Grantor's heirs, successors or assigns of Grantor's real property in
Section 24,Township 3 North,Range 65 West,6th Principal Meridian,Weld County,Colorado.
All costs associated with Grantee's use of the road Easement,including construction,repair,
maintenance and snow removal, shall be borne by Grantee.
Grantees'use of the Easement shall not be exclusive,and Grantor and other property owners
adjacent to the Easement and their employees, invitees, guests and successors and assigns shall
have the right to the use of the Easement,but without unreasonable interference with Grantee's use
thereof,and provided that Grantor and other property owners and their employees,invitees,guests,
successors and assigns shall be responsible for any damage to the Easement caused by their use.
Grantee shall not have the right to construct or place any pipelines within this Easement.
Grantee hereby agrees to indemnify, defend, and hold Grantor harmless from and against
any and all liens, claims, liabilities,losses, damages, costs and expenses, including but not limited
to civil and criminal fines, penalties and interest, environmental liability, clean-up costs, and
reasonable attorney,environmental consultant,engineering,and expert fees,(collectively"Claims")
arising out of or in connection with Grantee's use,maintenance and repair of the access road only
within the Easement, excluding, however, any Claims arising from the negligence or willful
misconduct of Grantor.
This Easement grant is without warranty of title and is subject to all prior liens,
