Dear Commissioners:
Encana Oil&Gas(USA)Inc. ("Encana") is an interest owner in that certain Oil and Gas Lease(the"Lease")dated August 17,
1987,by and between Weld County,Colorado,a political subdivision of the State of Colorado,acting by and through the Board
of County Commissioners of the County of Weld("Weld"),as Lessor,and Vessels Oil&Gas Company,as Lessee. Encana has
entered into a Purchase and Sale Agreement(the"PSA")with Crestone Peak Resources LP("Crestone")under which Encana has
agreed to assign all its right, title, and interest in the Assets,as defined in the PSA,to Crestone or its affiliates. Pursuant to the
terms of the Agreement,Encana respectfully requests Weld's consent to assign all of its right,title and interest in the Agreement
to Crestone Peak Resources Holdings LLC("Crestone Holdings"),a wholly owned subsidiary of Crestone Peak Resources LP,
with an address of c/o CPPIB Equity Investments,Inc.,One Queen Street East,Suite 2500,Toronto,ON,M5C 2W5,Canada.
Please indicate confirmation of your consent to assignment of the Lease to Crestone Holdings by signing in the space provided
below and,at your earliest possible convenience,returning an executed copy via email to me,followed by mailing the original of
the executed letter in the enclosed envelope.
If you no longer own an interest in the assets described in the Lease,please return this letter and indicate the name and address of
the current owner of the interest formerly owned by you.

2013,by and between Weld County,Colorado,a political subdivision of the State of Colorado,acting by and through the Board
of County Commissioners of the County of Weld("Weld"),as Lessor,and Encana Oil&Gas(USA)Inc.,as Lessee. Encana has
