HUNGRY CAMPAIGN AND AUTHORIZE CHAIR TO SIGN -SHARE OUR STRENGTH
COLORADO
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Memorandum of Understanding for the
Cooking Matters No Kid Hungry Campaign between the County of Weld, State of Colorado, by
and through the Board of County Commissioners, on behalf of the Department of Public Health
and Environment, and Share Our Strength Colorado, commencing October 1, 2015, and ending
September 30, 2016, with further terms and conditions being as stated in said memorandum of
understanding, and
WHEREAS, after review, the Board deems it advisable to approve said memorandum of
understanding, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Memorandum of Understanding for the Cooking Matters No Kid
Hungry Campaign between the County of Weld, State of Colorado, by and through the Board of
County Commissioners, on behalf of the Department of Public Health and Environment, and
Share Our Strength Colorado, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said memorandum of understanding.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 19th day of October, A.D., 2015, nunc pro tunc October 1, 2015.

SUBJECT: Share Our Strength/Cooking Matters
Memorandum of Understanding
Enclosed for the Board's review and approval is a Memorandum of Understanding between Share
Our Strength Colorado/Cooking Matters and the Weld County Department of Public Health and
Environment (WCDPHE).
In February 2014, WCDPHE received permission from the BOCC to hire and supervise a Cooking
Matters Coordinator for Weld County. The Cooking Matters Coordinator provides healthy
cooking and nutritious food shopping education to low income Weld County residents. The
coordinator conducts classes throughout Weld County.The statewide Cooking Matters Colorado
(CMC) program receives funding from a number of sources, including private foundations, the
State of Colorado and the federal government.
WCDPHE is requesting to renew the MOU with Share Our Strength/Cooking Matters to continue
this popular program.The funding period begins on October 1,2015 and concludes on September
30, 2016. Share Our Strength/Cooking Matters will provide up to$116,785.23 total for this MOU
period which will provide$73,472.53 for the salary, inclusive of benefits,for one full time Cooking
Matters Program Coordinator. Additionally, CMC will provide$43,312.70 for the salary, inclusive
of benefits, of a current part time Health Department staff member increasing this employee to
full time status. This temporary 0.5 FTE increase in employee hours will be fully funded by the
grant. During this last contract period, this part time employee had been assisting the Cooking
Matters Coordinator as needed without reimbursement from Cooking Matters. Share Our
Strength/Cooking Matters will continue to provide funding for all programmatic related expenses
(educational material, gift cards, demonstration food, etc). WCDPHE continues to be responsible
for supervising the position and providing the computer, phone, and mileage expenses.
Assistant Weld County Attorney, Frank Haug, has reviewed this MOU and determined that its
terms are acceptable. The agreement was approved for placement on the agenda via pass-
around dated October 9, 2015
I recommend approval of this Memorandum of Understanding with Share Our
Strength/Cooking Matters.

Memorandum of Understanding
This Memorandum of Understanding(MOU) is made on October 1, 2015 by and between Share Our Strength
and Weld County Public Health and Environment.
Share Our Strength's No Kid Hungry® (NKH)campaign connects kids in need to effective nutrition programs like
school breakfast and summer meals and teaches low-income families to cook healthy,affordable meals through
Cooking Matters.This work is accomplished through the No Kid Hungry network, made up of private citizens,
public officials, nonprofits,business leaders and others providing innovative hunger solutions in their
communities.
Weld County Public Health and Environment works in partnership with the communities they serve,to make
sure all Weld County residence have the opportunity to be healthy in mind, body and spirit.Weld County Public
Health and Environment provides population-based interventions to improve the health of the entire
community.Weld County Department of Public Health and Environment preserves, promotes and protects the
health and environment of the residents of Weld County.
This MOU is designed to reflect the understandings between Share Our Strength-Cooking Matters Colorado,a
program of Share Our Strength,a private non-profit organization offering cooking and nutrition courses to low-
income families, hereinafter SOS CMC and Weld County Public Health and Environment hereinafter WCPHE.
This MOU will be in effect from October 1,2015 until September 30, 2016,with opportunity for extension
beyond this date.It shall remain in effect unless terminated by either party with thirty(30)days written notice.
Grant Period and Disbursement of Funds
The funding period begins on October 1,2015 and concludes on September 30,2016.SOS CMC will provide up
to$116,785.23 total for this MOU period.
SOS CMC will provide$73,472.53 for the salary, inclusive of benefits,for a 1 full time equivalent CM Program
Coordinator. Additionally,SOS CMC will provide$43,312.70 for the salary, inclusive of benefits,for a 0.5 full
time equivalent CM Program Coordinator.
Upon receipt of invoice from WCPHE,SOS CMC will provide funds on a schedule as follows:
January 1,2016: $29,196.31
April 1, 2016: $29,196.31
July 1, 2016: $29,196.31
October 1, 2016: $29,196.30

Use of Funds
Funds are to be used for purposes related to salary and benefits for 1.5 full-time CM Program Coordinator(s)
from October 1,2015 until September 30, 2016.Specific project goals,objectives and activities covered under
this agreement are outlined in the Scope of Work.
Scope of Work
The Weld County Public Health and Environment will be responsible for supervising the CM Program
Coordinator with the participation and advisement of the Share Our Strength Senior Program Manager.The
Weld County Public Health and Environment Health Communications Supervisor will be responsible for directly
supervising the CM Program Coordinator.
CM Program Staff will be responsible for:
• Reaching a minimum of 300 participants through approximately, 25 courses,with 100%being
programming targeting Adults, Parents and Families by September 30th,2016,complying with CM
National Gold Standards,average class size of 12 and maintaining an 85%graduation rate.
• Implementing Cooking Matters at the Store tours reaching a minimum of 250 participants.Tours can be
used as a recruiting tool, provided as a Week 7 activity for Families classes,or as a 1 time education
event.
o Optional implementation of Cooking Matters®at the Store with the Farmers Market addendum,
a guided farmers' market tour that teaches low-income adults to identify and use local produce
and other healthy local foods and to demonstrate how to get the most nutrition and fresh
produce shelf-life for their food dollars
o If other Cooking Matters programming,such as Cooking Matters at the Store events or Cooking
Matters for Child Care Providers,are held in the service area of this position,Weld County Public
Health and Environment will be notified and asked to participate if appropriate.
• Recruiting,training and maintaining a large enough volunteer pool to fill each course and tour with
qualified volunteer chef and volunteer nutrition educator and working to train and mentor program
graduates into support volunteer positions.
o Supporting a statewide goal of having at least 60%of all courses with at least 1-2 volunteers
engaged as educators.
• Recruiting,verifying,training and retaining enough agency partners to offer approximately 25 total CM
courses to reach at least 300 total adults, parents and families living at or below 185%of the Federal
Poverty Line.
• Recruit,train and support Train the Trainer partners according to Cooking Matters gold standards,as
appropriate,with support and approval from Cooking Matters Senior Program Manager
• Participation in other nutrition, health or food-based events to promote Cooking Matters, No Kid Hungry
(NKH),Weld County Public Health and Environment and their respective messages
• Promote NKH tactics and activities,such as sharing info with class participants and agency partners
about summer meals sites,CACFP programs,etc.
• Connect with and participate in other relevant community partnerships/coalitions,such as LiveWell
community coordinators, programs and events that further support the policy,systems and
environment(PSE)work of Cooking Matters.
• Offer programming in Weld County.

• Work with SNAP-Ed program and Train-the-Trainer locations to prevent duplication of services,when
applicable.
• CM Coordinator will participate in required Cooking Matters local and national trainings.
• Participate in required Cooking Matters local and national reporting to be the responsibility of the
WCPHE CMC Coordinators.
• Participate in local NKH activities when appropriate(i.e., provide Cooking Matters demo at NKH event)
Implementation and Expenses
SOS CMC will provide ongoing training and technical assistance for the Health Communications Supervisor and
CM Program Coordinators for program support and program implementation.
SOS CMC will provide all course curriculum, participant healthy food tools,volunteer gifts,and bin of cooking
and nutrition tools;above and beyond the quarterly payments spelled out in this MOU.
SOS CMC will provide funding to support all associated course grocery expenses.This amount will not exceed
$15,000 in total during this MOU period that includes$50 per participant for 300 participants.This is above
and beyond the quarterly payments spelled out in this MOU. If additional courses are completed,SOS CMC
commits to provide an additional$50 for each 6-week course participant.Grocery costs will be paid by
coordinator's use of Share Our Strength grocery credit cards for Kroger and Safeway stores.
SOS CMC will provide funding to support all Cooking Matters at the Store grocery tour participant gift cards.
This amount will not exceed$2,500 annually this is above and beyond the quarterly payments.
Guidelines for grocery purchases are as follows:
• Every household in CMA,CMF,CMP courses will receive take home bags of groceries for classes 1-4.
• Every household/participant shall receive a$10 gift card after completion of Week 5 grocery store tour
and Cooking Matters at the Store Tours.
• The course grocery budget is calculated as$50 per person/per course for all associated grocery
expenses. For example,a course containing 12 participants will have a budget of$600 for the entire
course, including in class food, take home groceries, and the$10 gift card for week 5 lessons.A course
containing 8 participants or families shall have a budget of$400 (8 x$50).
SOS CMC to provide funding for in class and take home groceries,within the SOS CMC guidelines and budget.
Grocery costs will be paid by coordinator's use of Share Our Strength grocery credit cards for Kroger and
Safeway stores.The Annual Grocery Budget shall not exceed the amount of$15,000
Guidelines for grocery purchases are as follows:

SOS CMC will provide connections to other known community partners,especially those involved with NKH.
Weld County Public Health and Environment will supervise CM Program Staff and offer support for program
implementation.Support for all CM Program Staff will include office space,storage space,phone,computer,
internet,copy machine, mileage, printing,copies, postage and other tools needed to effectively administer the
program.Weld County Public Health and Environment is encouraged to share upcoming activities/events
related to health and hunger with SOS CMC for inclusion in the SOS CMC and NKH e-newsletters.
Monitoring and Reporting
SOS CMC will monitor program operations under this partnership.Such monitoring will include site visits by SOS
CMC staff to observe program administration. If the SOS CMC Program Staff determines that the program
implementation is not at the agreed upon levels,the SOS CMC Program Staff may request a written explanation
of programmatic progress or expenses at any time.
SOS CMC Senior Program Manager,will have regular phone contact with Weld County Public Health and
Environment and make occasional site visits to determine the effectiveness of the partnership.Weld County
Public Health and Environment should feel free at any time to contact SOS CMC Senior Program Manager with
questions or concerns.SOS CMC will have also regular contact with Weld County Public Health and Environment
Health Communications Supervisor and CM Program Coordinator to offer on-going training and program
support.
SOS CMC requests a report from the Weld County Public Health and Environment Cooking Matters
Coordinator(s)on basic course outputs at the completion of each Cooking Matters program/course(within one
week) as well as implementation of the established Cooking Matters participant evaluation system.
Other Terms and Conditions
The following terms and conditions also apply:
Cross Promotion:SOS CMC and Weld County Public Health and Environment agree to cross promote programs
and include the other party in media opportunities whenever appropriate using correct language and logo to
well represent each agency. Notification of promoting or media attention will be shared with each partner.
Termination:Share Our Strength reserves the right to terminate this agreement, if in its sole discretion, it
determines that the Satellite Partner has made any misrepresentations, has in any way misappropriated funds
or has done anything inconsistent with this agreement.
The declaration of bankruptcy or a decision to cease operations by Satellite Partner will automatically terminate
this agreement.
Either Party may terminate this agreement upon thirty(30)days written notification to the other Party. Satellite
Partner shall furnish to Share Our Strength all necessary reports completed or in progress through the date of
termination of this agreement.
Any funds provided to the Satellite Partner that are not expended or committed for the purposes of this
partnership,or within the partnership period as described above,will be returned to Share Our Strength.

Moreover,Satellite Partner will promptly return unexpended funds if Share Our Strength or Satellite Partner
elects to terminate said agreement as outlined above.
SOS CMC and Weld County Public Health and Environment agree to notify each other of problems or challenges
and changes to this agreement in writing as soon as they arise.
Indemnity:
(a)Share Our Strength shall defend, indemnify and hold harmless Satellite Partner and its respective directors,
officers, agents and employees,from and against any and all liabilities,claims and causes of action,suits,
proceedings,judgments,costs,damages,and expenses(including attorney's fees and expenses) by reason of
any claim,suit or judgment arising or alleged to arise from,or relating to any grossly negligent acts or willful
misconduct of Share Our Strength or Share Our Strength employees with respect to the agreement.
(b)Satellite Partner shall defend, indemnify and hold harmless Share Our Strength and its respective directors,
officers, agents and employees,from and against any and all liabilities,claims and causes of action,suits,
proceedings,judgments, costs,damages,and expenses(including attorney's fees and expenses) by reason of
any claim,suit or judgment arising or alleged to arise from,or relating to any grossly negligent acts or willful
misconduct of Satellite Partner or Satellite Partner employees with respect to the agreement.
Insurance:Share Our Strength and Satellite Partner shall each obtain and maintain, during the term of this
agreement,comprehensive general liability insurance in the amount of one million dollars($1,000,000.00) per
occurrence which covers liability for bodily injury, property damage or death arising out of the party's rights,
obligations,and activities in connection with the agreement.This insurance shall be for the benefit of Share Our
Strength and Satellite Partner and each party shall provide for at least ten(10)days prior written notice to the
other party of the cancellation or any substantial modification of the policy.Satellite Partner shall name Share
Our Strength as an additional insured under their general liability policy with respect to their use of Share Our
Strength programs, logos and materials.
IN WITNESS WHEREOF,the parties hereto have caused this agreement to be duly executed by their respective
authorized representatives as of the date signed.
