Everist , Inc . Rinn Valley Resource , Permit # M- 1997 - 93 Adequacy Response # 1 On behalf of our client L . G . Everist , Inc . , I will respond to your July 15 , 2015 adequacy review letter in the order and number format presented in that document . I have added each point to be addressed from your letter so when reviewing our response we do not have to keep referring back to your adequacy letter . Rule 6.2 General Requirements of Exhibits — 6.2(2)(e) states that the acceptable scale range for maps (not including the index map shall be between 1 "=50' and 1 "=660'. The scale on maps submitted as Exhibits C-1 , E-1 , and F-1 is indicated by the text to be 1 "=200' however, the scale bars on the maps do not correspond to this scale — please resubmit maps with corrected scale bar and/or text. Sorry for the confusion and thanks for pointing this out . It was a drafting mistake that was easily corrected . The graphic scales were off so I re- sized them to match the text on Map Exhibits C - 1 & F . On Exhibit E- 1 both the text and graphic scales were wrong and I corrected those to match the drawing scale . Enclosed are copies of the corrected maps . EXHIBIT E - Reclamation Plan (Rule 6.4.5): The reclamation plan as submitted refers to a slope change from 3:1 to 2:1 at the water table elevation for the lined reservoirs. Per Rule 3. 1 .5(7) reservoir slopes cannot be steeper than 3:1 from five feet above to 10 feet below the water line. Please revise as appropriate. Thank you for pointing this out , this was my mistake . I have revised page 7 , so it now reads that the slopes will be graded 3 : 1 from the surface to the bottom of the reservoirs . A copy of that page is attached for the file . EXHIBIT G - Water Information (Rule 6.4.7): Does the permittee have any plans to replace MW's 2 and 4 which have been destroyed since they were installed? MW-2 in particular, located at the northern border ENVIRONMENT, INC. PAGE Z RINN VALLEY RESOURCE M- 1997-093 JULY 30, 2015 ADEQUACY RESPONSE # 1 of the site between one of the lined reservoirs and a nearbyhousing development would provide data useful to identify any potential groundwater issues. There are no plans to replace either well . MW# 4 in the south- east corner is adjacent to a lined reservoir to the south and agricultural property to the east . MW # 2 was located south of three ( 3 ) unlined gravel pit lakes that show no indications of the ground water table lowering except for normal seasonal changes . The homes in the subdivision to the east were ele - vated 5 feet above the surrounding ground to take them out of the flood plain and have no ground water wells that would be impacted . All the homes are on municipal water and sewer lines . EXHIBIT L - Reclamation Costs (Rule 6.4.12): Utilizing the information provided in the AMOI submittal DRMS has generated a CIRCES-based reclamation estimate of $548,000. Supporting documentation has been included with this letter for your review. I 'have reviewed the CIRCES estimate and talked to L . G . Everist and we accept the increase as you have calculated it . EXHIBIT S - Permanent Man-Made Structures (Rule 6.4.19): The permittee will need to demonstrate that all property owners within 200 feet have been properly noticed, and that damage waiver agreements for all structures within 200 feet have been pursued as outlined below. All current property and structure owners were notified as part of the public comment mailings for this amendment by Certified , Return Receipt letters . Copies of the return receipt cards for the adjoining landowners are attached . Of the 61 mailed , 42 were returned and 17 were refused , so copies of the returned envelopes are attached . Two owner notice cards were not returned by the Post Office so I have provided a printout from uses . core showing they were delivered . This amendment does not change the mining plan , it does not increase the area to be mined , it only changed the final reclamation from a series of unlined gravel pit lakes to lined reservoirs . With that in mind , structure agreements were sent to all adjoining structure owners for structures that existed in 1997 . Copies of the agreements that were returned were filed with the Division on 1 / 10 / 1998 and 6 / 18 / 1998 , for structures within 200 feet of the mining area . During the adequacy review at that time the applicant agreed to file a Geotechni - cal Analysis prior to mining within 200 feet of any structure where an agreement was not received . Structures marked on the map exhibits with a star ( * ) were added after 1998 when the permit was issued and many were built within 200 feet of the affected lands line . In particu- lar , the houses and other structures within the subdivision to the north are not within 200 feet of the area left to be mined . They are in an area where mining and reclamation is ENVIRONMENT, INC. PAGE 3 RINK VALLEY RESOURCE M- 1997-093 JULY 30, 2015 ADEQUACY RESPONSE # 1 complete , so no mining will take place within 200 feet of these structures . Please note that roadways and above-ground or underground utilities (if present) within 200 feet of the proposed affected area are considered permanent man-made structures. In accordance with Rule 6.4. 19, when mining operations will adversely affect the stability of any significant, valuable and permanent manmade structure located within 200 feet of the affected area, the applicant may either: Structure agreements are in the Divisions ' s files for the utilities and roadway that existed in and around the mine in 1997 . We have also attached a Surface Use Agreement between L . G . Everist and Kerr-McGee dated 2008 that covers the oil and gas facilities constructed in and around the mine . Only the water and sewer lines along the west side of County Road 7 are not covered and they were added after 1998 and are at the closest 84 feet away from the mining area . a.) Provide a notarized agreement between the applicant and the person(s) having an interest in the structure, that the applicant is to provide compensation for any damage to the structure; or b.) Where such an agreement cannot be reached, the applicant shall provide an appropriate engineering evaluation that demonstrates that such structure shall not be damaged by activities occurring at the mining operation. Please provide evidence (certified letter to structure owners) that a notarized agreement between the structure owners and the applicant was pursued. If an agreement is unable to be reached a geotechnical assessment may be provided to demonstrate that the structures shall not be damaged. New agreements are not needed for the structures built after 1998 , since they were built after the permit was issued . This amendment does not change the likelihood that the new struc - tures will be affected by mining , and in fact , none of the post - 1998 structures have been adversely affected by the mining that has already occurred within the permitted lands . And since the mining and sloping have already been completed within 200 feet of the closest house in the subdivision , these houses are now more than 200 feet from the area remaining to be mined . So there are no post - 1998 houses listed in Exhibit S whose stability could be adversely affected by the remaining mining operations . Attached is a copy of the geotechnical assessment prepared by Deere and Ault in October 2005 when mining was taking place near the Rural Ditch . It shows that using a 30 foot setback there is a safety factor of 1 . 47 for the mine highwall ( page 2 ) . Since this 30 feet is closer than any of the structures adjacent to the current mine face ( closest is the electric line at 37 feet ) , a slope failure would not affect them . This Geotechnical Analysis then serves to complete the commitment made in 1998 to supply an analysis prior to mining with 200 feet of any structure where a structure agreement was not obtained . Additional Information You will also need to provide the Division with proof of notice publication. Publication in the Longmont Times -Call , the legal notice paper for Weld County , started on June 1 , 2015 and ended on June 22 , 2015 . The public comment period ended on July 12 , 2015 . A copy of the Proof of Publication is attached . Any letters from other commenting agencies/entities received by the Division to date have been included with this correspondence for you to review. A copy of their July 2007 design report is provided in Exhibit G - V6t er starting on page 11 . The design of the liner is to meet or exceed the minimum standards set by the DRMS for reclaimed developed water storage reservoirs , which is 3 horizontal to 1 vertical ( 3h : lv ) slopes from the surface to the bottom of the reservoirs . As part of the design , Deere & Ault also prepared a slope stability analysis to confirm that the slope configuration and materials used for sloping would meet or exceed both the DRMS requirements and the minimum leakage design standards set forth in the Colorado State Engi neer Chi deli nes for Li ni ng Gi t eri a for Gavel Pits, August 1999. Deere & Ault also did the quality analysis and control during the liner construc - t ion in Phase 3 and will continue doing quality analysis and control for L . G . Everist , Inc . during future liner construction and reclamation work . At this time mining is complete in Phase 1 and the liner has been partially installed on the west and south sides and along a portion of the eastern and northern sides of Phase 2 . These areas are shown on the Nhp Exhibit C- 1 Wining Plan Nhp . CHANGES TO REVEGETATION PLAN One more minor change to the reclamation plan is the use of t rees in the final vegetation plan . The original plan included t rees and shrubs in clusters around the site . With the change from unlined lakes to lined reservoirs , L . G . Everist , Inc . must delete the trees and shrubs noted in the original plan in order t o ensure the continued quality of the clay lined reservoirs . Over time , tree and shrub roots can cause damage to the clay liners and could affect the seal we are trying to accomplish and jeopardize the integrity of the reservoirs . The reclamation topsoiling plan and grasses seed mix ap - proved in the original plan will remain the same . The seed mix contains a good variety of grasses that will result in sustain- able vegetation in the areas around the reservoirs . The original plan noted that the revegetation was for pasture grasses for cattle and horses . There will not be grazing of cattle and horses around the lined reservoirs . RETAINING ACCESS ROADS In the original Reclamation Plan the only roads to be left were access roads along the Rural Ditch and those leading to oil and gas facilities . This Amendment provides for leaving an 7 (Revised 7/21/15) SURFACE USE AGREEMENT This Surface Use Agreement ("Agreement") is dated and made effective this 6th day of June, 2008, between Kerr-McGee Oil & Gas Onshore LP, a Delaware Limited Partnership ("KMG") with an address of 1999 Broadway, Suite 3700, Denv€r, CO 80202, and L.G. Everist, Inc. ( "LGE"), an Iowa Corporation with an address of 7321 E. 88th Avenue, Suite 200, Henderson, CO 80640. Where s: A. LGE is the current owner of that certain tract of land located in the SW/4 and the W/2SE/4 Section 10, Township 2 North, Range 68 West, 6eh P.M., Weld County, Colorado, more particularly described on Exhibit "A" attached hereto (hereinafter referred to as the "Property") LGE uses the property as a sand and gravel mine pursuant to a Use By Special Review Permit, No. USR-8749 issued by Weld County, Colorado (the "USR Permit"); B. Surface ownership of the Property may be subject to the rights of the oil and gas mineral leasehold estate, a portion of which is currently now owned by KMG; C. LGE holds a Section 112(i) Reclamation Permit No. [M-97-093], issued by the State of Colorado Division of Reclamation Mining and Safety ("DRMS") for the purpose of sand and gravel mining and reclamation. The mined out Property is to be reclaimed according to DRMS Permit No. [M-97-0931 as it may be amended from time to time D. KMG holds oil and gas leases in the Property (the `Leases"). KMG currently operates two wells on the Property, (the "Existing Wells") generally located in the SW/4 of the Property described above, and has certain rights to develop its oil and gas leasehold estate by drilling additional wells (the "Future Wells" and together with the Existing Wells, the "Wells") on the Property; and E. This Agreement sets forth the parties' agreement concerning their mutual accommodation of each others' rights and obligations regarding the development of the Property by LGE and KMG's operation and development of its Leases, such rights and obligations to be binding upon the parties' successors and assigns. Now Therefore: In consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: o AREAS RESERVED FO<'; THE EXISTING WELLS AND FUTIU x' E WELLS; WELL LOCATIONS. the location of any of KMG' s facilities on the basis of setback requirements in the rules and regulations of the COGCC, as they may be amended from time to time, so long as KMG's facilities are consistent with the terms of this Agreement and the location of Existing Wells and Future Wells agreed to here are not modified in any way. Future COGCC rulemakings shall not expand the size of the Oil and Gas Operations Areas, nor shall they impose additional constraints on LGE's use of its property that would be inconsistent with the terms and intent of this Agreement. In the event of a conflict between the COGCC rules and this Agreement, the terms of this Agreement shall control. [GE further and similarly waives its right to object to any other state or local setback requirements or other requirements or regulations that are or become inconsistent with this Agreement or that would prohibit or interfere with the rights of KMG, its successors and assigns, to explore for and produce the oil and gas in accordance with this Agreement. KMG or its successors and assigns may cite the waiver in this paragraph in order to obtain a location exception or variance under COGCC rules or from any other state or local governmental body having jurisdiction. LGE agrees not to object to KMG' s use of the surface in the Oil and Gas Operations Areas so long as such use is consistent with this Agreement and is otherwise conducted according to applicable law. LGE will provide KMG or its successors and assigns with whatever written support they may reasonably require to obtain permits from the COGCC or any local jurisdiction. 3. GATHERING LINES AND FLOWLINES, Subject to the limitations hereinafter described, KMG has a continuing right and entitlement to own, operate, maintain, repair and replace all existing and future flowlines, gathering lines and other pipelines that may be necessary or convenient to its operations on the Property ("Pipelines"). The construction and burying of additional Pipelines shall be at the sole cost and expense of KMG or its gas purchaser. Although this Agreement is intended to confine the placement of the Pipelines to certain specified locations within the Property, nothing herein shall be construed as a limitation on KMG' s ultimate right to make all necessary well connections to any Existing or Future Well so long as such connections are within the Petroleum Pipeline Easement and/or Oil and Gas Operations Area consistent with this Agreement. Specific locations have been designated on Exhibit D for the location of the Pipelines ("Petroleum Pipeline Easements").The Petroleum Pipeline Easement shall be fifty feet (50' ) in width during construction, installation or relocation operations and otherwise reduced to thirty feet (30') in width for post-construction usage. The Petroleum Pipeline Easement shall be a nonexclusive easement. KMG will obtain the agreement and consent of Kerr-McGee Gathering, LLC to the Petroleum Pipeline Easement and at LGE's request shall cause Kerr-McGee Gathering, LLC to release or terminate any prior recorded document which may encumber the Property for easements or easement rights not expressed herein. It is understood and agreed that the Petroleum Pipeline Easements shall be the only easements for gathering lines and flowlines servicing KMG's operations on the Property and that there are no other pipeline easements on the Property that KMG will seek to use or protect. LUE's development plans anticipate that roadways will cross over Existing and Future Pipelines. LGE agrees to abide by the General Guidelines for Design and Construction Activities On or Near Kerr- McGee Gathering LLC and Kerr - McGee Rocky Mountain Corporation Pipelines and Related Facilities revised 4-11-2006, which are attached hereto as Exhibit E. In the event of any conflict between the ter = s of Exhibit F and the terms of this Agreement, the terms of this Agreement shall control. In particular, LGE shall maintain a minimum of 48 inches over all Pipelines during any of LGE' operations on the Property. KMG may install and maintain markers on its Petroleum Pipeline Easement which marker's size and color shall be subject to the reasonable approval of LGE. KMG shall mark its flowlines at all locations reasonably requested by LGE. LGE will not allow any future extraction to occur, commencing at the surface of the original ground, closer than 25 feet from any Pipeline of Kit/1G unless a soils stability report prepared by an engineer licensed in the state of Colorado indicates that a lesser set back will be adequate to protect said pipeline and provided that upon completion of such extraction LGE shall back fill and level the area within 25 feet from any Pipeline. LGE shall provide KMG with a copy of such report in sufficient time to allow KMG to review and approve it prior to any excavation by LGE. KMG shall not withhold its approval unreasonably. Notwithstanding anything herein to the contrary, in no event shall LGE allow any future extraction to occur, commencing at the surface of the original ground, closer than 15 feet from any Pipeline without KMG's prior written approval, which approval shall not be unreasonably withheld, conditioned or delayed. When crossing KMG Pipelines with heavy equipment, including without limitation earth moving equipment, LGE will maintain a minimum of four feet and a maximum of seven feet of dirt coverage, in addition to the existing cover over the pipeline. When crossing KMG pipelines with trucks and lighter equipment, LGE will maintain a minimum of two feet and a maximum of seven feet of dirt coverage, to the existing cover over the pipeline. If LGE is required to add dirt coverage or other materials over any pipeline in the future which would exceed the seven foot maximum coverage allowance, KMG will relocate the affected Pipeline to within the allowed depths at LOB' s cost and expense. The depth of cover over the KMG Pipelines shall not be reduced or drainage over KMG's pipeline altered without KMG's prior written approval which approval shall not be unreasonably withheld. Any utility crossing must be a minimum of 1 8" inches vertical separation from KMG Pipelines. Parallel utilities must maintain a minimum ten-foot horizontal separation unless KMG consents to a lesser distance of separation, which consent shall not be unreasonably withheld. Legitimate safety or operational concerns are reasonable grounds for withholding of consent. LGE shall require that all utility companies contact KMG and obtain KMG's consent prior to laying parallel pipelines within ten feet of KMG pipelines. Construction of any permanent structure within KMG's Petroleum Pipeline Easement is not permitted without KMG's prior written approval, which approval shall not be unreasonably withheld. 4e A,CCESS. a. LGE shall provide KMG with continuous access to all of the Oil and Gas Operations Areas and the Petroleum Pipeline Easements. The access roads to be used by KMG will either be those roads that are currently in place or those roads that are anticipated to be constructed by LGE at its sole cost and expense as part of LGE's development of the Property. LGE shall maintain and keep any access jointly used by LGE and KMG in a condition and state of repair that serves the needs of LGE. In the event such joint access roads needs to be improved in order to serve the needs of KMG, the parties agree to coordinate any such improvements as may be required by KMG in order to conduct its operations, provided that any such improvements shall be at KMG' s sole cost and expense. In the event KMG damages the joint access roads or road structures by other than noinmal wear and tear usage, KMG shall, at its cost and expense, repair or replace said roads or road structures. Neither KMG, nor LGE shall unreasonably interfere with the use by the other party of access roads. 5. BATTERIES AND EQUIPMENT. KMG shall have the right to locate, build, repair and maintain tanks, separators, dehydrators, compressors and other equipment ("Production Facilities") reasonably appropriate for the operation and production of the Wells in the Oil and Gas Operations Areas at the locations depicted on Exhibits B and C. With respect to KMG' s Production Facilities other than flowlines or pipelines: a. KMG shall install and maintain, at its sole cost and expense, all fences around the Existing Well and any Future Wells in compliance with the Rules and Regulations of the COGCC; b. KMG shall install and maintain, at its sole cost and expense, all gates and locks reasonably necessary for the security of any Existing Wells or Future Wells or Production Facilities in the Oil and Gas Operations Areas. Such gates and locks shall be the standard gates and locks used by KMG; and c. KMG shall paint any Production Facilities for any Wells, including wellhead guards, with paint that is approved by the COGCC. LGE shall not inhibit KMG' s access to the Oil and Gas Operations Areas or inhibit KMG's operations within the Oil and Gas Operations Areas or in the vicinity of the Production Equipment by landscaping or other improvements, unless otherwise agreed upon between LGE and KMG. LGE shall place temporary concrete or earth berm barriers around all Production Facilities as directed by KMG before any future mining operations commence within 150 feet of wellheads or Production Facilities. In no event shall LGE mine within 80 feet of any Production Facilities or stockpile mined materials within a radius of 50 feet of any Production Facilties. 6 NOTICE OF FUTURE OPERATIONS. KMG shall provide at least thirty (30) days prior written notice to LGE of any operations in connection with the drilling, redrilling, completion, recompletion, fracturing, deepening or other operation on a Well requiring the mobilization of heavy equipment. The foregoing notice requirements shall not operate to prevent KMG from responding to an emergency at any Well or Facilities. Regardless of the foregoing notice requirements, KMG shall always have immediate access to any of its facilities for routine operational purposes. After receipt of the above notice, but not less than five (5) working days prior to KMG's mobilization on the applicable Oil and Gas Operations Areas, either KMG or LGE may request an on-site meeting. The purpose of the meeting shall be to inform LGE of the expected activity and to coordinate site access, hazards, barricades, restoration or any other issues that affect the use and safety of LGE's existing mining activities and future development of the Property. 7, COMPLIANCE WITH SAFETY REGULATIONS. KMG understands that LGE surface mining operations on the Property are subject to certain Mine Safety and Health Administration ("MSHA") regulations. KMG agrees that while conducting operations on Property, it will comply with applicable MSHA requirements. KMG also agrees to inform its contractors and subcontractors about such requirements. 80 D_': : LLING Alit COMPLETION OPERATIONS. KMG shall endeavor to diligently pursue any drilling operations, and to avoid rig relocations or startup during the course of drilling, to minimize the total drilling time period for any Well. LGE waives any objections to continuous (i.e., 24-hour) drilling operations. 9. INTENTIONALLY DELETE le 10. GOVERNMENTAL P *CE,EDINGS - KMG. LGE shall not oppose KMG in any agency or governmental proceedings, including without limitation any proceedings before the COGCC, Weld County, or other governing body related to KCMG' s operations on the Property, provided that KMG' s position in such proceedings is consistent with this Agreement. 11. PROCEEDINGS - LGE LGE may modify the permits affecting the Property and submit other development applications to applicable governmental authorities relating to the Property. KMG shall not oppose or object to such modifications or applications provided that LGE's position in such proceedings and its proposed development applications are consistent with this Agreement. LGE acknowledges that KMG may conduct oil and gas activities within the applicable Oil and Gas Operations Areas as provided herein and shall not oppose KMG before any agency or governmental proceeding if such oil and gas activities are proposed and carried out in accordance with the terms of this Agreement. 12. LIMITATION OF LIA;►:.ILITY, RELEASE AND INDEMNITY. a. No party shall be liable for, or be required to pay for, special, punitive, exemplary, incidental, consequential or indirect damages to any other party for activities undertaken within the scope of this agreement; b. Except as to claims arising out of pollution or environmental damage (which claims are governed by Section 13 below) or out of other provisions of this Agreement (which claims shall be governed by the terms of this Agreement), each party shall be and remain responsible for its own liability for all losses, claims, damages, demands, suits, causes of action, fines, penalties, expenses and liabilities, including without limitation attorneys' fees and other costs associated therewith (all of the aforesaid herein referred to collectively as "Claims"), arising out of or connected with each such party's ownership or operations on the Property, no matter when asserted, subject to applicable statutes of limitations. Each such party shall release, defend, indemnify and hold the other parties, their officers, directors, employees, successors and assigns, harmless against all such Claims. This provision does not, and shall not be construed to, create any rights in persons or entities not a party to this Agreement, nor does it create any separate rights in parties to this Agreement other than the right to be indemnified for Claims as provided herein; c. Upon the assignment or conveyance of a party's entire interest in the Property, that party shall be released from its indemnification in Section12.b. above, for all actions or occurrences happening after such assignment or conveyance. 13. ENVIRONMENTAL INDEMNITY. The provisions of Section 12 above, except for Section 12.a, shall not apply to any environmental matters, which shall be governed exclusively by the following, subject to the limitations of Section 12.a. above: a. "Environmental Claims" shall mean all Claims asserted by governmental bodies or other third parties for pollution or environmental damage of any kind, arising from operations on or ownership of the Property or ownership of the oil and gas leasehold interest, whichever is applicable, and all cleanup and remediation costs, fines and penalties associated therewith, including but not limited to any Claims arising from Environmental Laws or relating to asbestos or to naturally occurring radioactive material, Environmental Claims shall not include the costs of any remediation undertaken voluntarily by any party, unless such remediation is performed under the imminent threat of a Claim by a governmental body or other third party; b. "Environmental Laws" shall mean any laws, regulations, rules, ordinances, or order of any governmental authority(ies), which relate to or otherwise impose liability, obligation, or standards with respect to pollution or the protection of the environment, including but not limited to, the Comprehensive Environmental Response, Compensation and Liability Act of 1980, as amended (42 U.S.C. § 9601 et seq.), the Resource Conservation and Recovery Act of 1976 (42 U.S.C. § § 6901 et seq.), the Clean Water Act (33 U.S.C. §§ 466 et seq.), the Safe Drinking Water Act ( 14 U.S.C. §§ 1401 - 1450), the Hazardous Material Transportation Act (49 U.S.C. §§ 1801 et seq.), the Clean Air Act, and the Toxic Substances Control Act ( 15 U.S.C. §§ 2601 -2629); and c, Environmental Indemnification. KMG shall protect, indemnify, and hold harmless LGE, and subsequent purchasers from LGE, from any Environmental Claims relating to the Property or oil and gas leasehold thereunder that arise out of KMG's ownership and operation of the Oil and Gas Operations Areas and its ownership and operation of its Petroleum Pipeline Easements or rights-of-way on the Property. LGE shall fully protect, defend, indemnify and hold harmless KMG from any and all Environmental Claims relating to the Property that arise out of LGE`s development of the Property. 14. EXCLUSION FROM INDEMNITIES, The indemnities of the parties herein shall not cover or include any amounts which the indemnified party is actually reimbursed by any third party. The indemnities in this Agreement shall not relieve any party from any obligations to third parties. 150 NOTICE OF CLAIM FOR INDEMNIFICATION., If a Claim is asserted against a party for which the other party would be liable under the provisions of Section 12 or 13 above, it is a condition precedent to the indemnifying party's obligations hereunder that the indemnified party give the indemnifying party written notice of such Claim setting forth all particulars of. the Claim, as known by the indemnified party, including a copy of the Claim (if it is a written Claim). The indemnified party shall make a good faith effort to notify the indemnifying party within five days of receipt of a Claim and shall affect such notice in all events within such time as will allow the indemnifying party to defend against such Claim. 16. REPRESENTATIONS. S. Each party represents that it has the full right and authority to enter into this Agreement. KMG does not represent that it has rights to settle matters for all of the mineral owners or any other lessees in the Property and this Agreement shall only apply to and bind the KMG leasehold interest in the Property and any associated easement interest in the Property . KMG shall not take any action to terminate or surrender its leasehold in the Property for the purpose of obviating this Agreement or otherwise avoiding the obligations hereunder. 17. SUCCESSORS. The terms, covenants, and conditions hereof shall be binding upon and shall inure to the benefit of the parties and their respective heirs, devises, executors, administrators, successors and assigns; provided, as to KMG, successors and assigns shall be deemed to be limited to lessees under the oil and gas leases which KMG owns or may own in the future. i t rA This Agreement shall become effective when it is fully executed and shall remain in full force and effect until the earlier to occur of the following: KMG's leasehold estate expires or is involuntarily terminated, and KMG, its successors or assigns, has plugged and abandoned all wells and complied with the requirements of all applicable oil and gas leases pertaining to removal of equipment, reclamation, cleanup and all other applicable provisions of the leases and existing laws and regulations. When this Agreement ceases to be in full force and effect, the Parties shall execute any and all releases necessary to evidence the fact that this Agreement shall no longer apply to the Property 190 NOTICES. This Agreement, any amendment hereto shall be recorded by KMG, which shall provide LGE with a copy showing the recording information as soon as practicable thereafter. 2L ACKNOWLEDGEMENT OF COMPLIANCE WITH STATUTORY NOTICE, CONSULTATION AN ACCOMMODATION REQUIREMENTS; SURFACE DAMAGES. LGE expressly acknowledges that this Agreement satisfies KMG's obligation under applicable statutes and OGCC regulations to consult in good faith with LGE concerning the proposed oil and gas operations. LGE further acknowledges that this Agreement shall be deemed to be specifically applicable to, and fully satisfy, the statutory, regulatory, and common law obligation of KMG to accommodate LGE's use of the surface of the Property, existing or future. LGE hereby waives all surface damage payments pursuant to any COGCC or local regulation, state staute, common law or prior agreement, for each and every well that is drilled within the Oil and Gas Operations Areas and for any access road, flowline, or pipelines constructed on the Property. Nothing contained herein shall be deemed a waiver of any obligations arising out of this Agreement. KMG may provide a copy of this Agreement to the COGCC as evidence of this waiver. 22. A It. 11T RATION. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be resolved by arbitration conducted in Denver, Colorado and shall be administered by the Judicial Arbiter Group, Inc. under the rules established by the arbiter. Judgment on any award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof 23. APPLICABLE LAW. i a This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without reference to its conflict of laws provisions. 24 ENTIRE AGREEMENT. This Agreement sets forth the entire understanding among the parties hereto regarding the matters addressed herein, and supersedes any previous communications, representations or agreement, whether oral or written. This Agreement shall not be amended, except by written document signed by all parties. 25 EXECUTR N AND INDING EFFECT This Agreement may be executed in any number of counterparts each of which shall be deemed an original instrument but all of which together shall constitute one and the same instrument, and shall be binding upon and inure to the benefit of the parties, and each of their respective heirs, executors, administrators, successors and assigns and is executed by the parties as of the Effective Date set forth above. These are not intended to, nor do they waive or modify any rights KMG may have under existing easements or ROW agreements. For information regarding KMG's rights and requirements as they pertain to the existing easements, please reference existing easements and amendments documents. This list of requirements is applicable for KMG facilities on easements and in road rights of ways only. Encroachments on fee property should be referred to the Land & ROW Department. Any reference to KMG in the below requirements is meant to include and apply to any Kerr McGee entity. 11-sign • KMG shall be provided sufficient prior notice of planned activities involving excavation, blasting, or any type of construction on KMG's ROW or near its facilities. This is to determine and resolve any location, grade or encroachment problems and allow for the protection of KMG's facilities and the general public. This prior notification is to be made before the actual work is to take place. • The encroaching entity shall provide KMG with a set of drawings for review and a set of final construction drawings showing all aspects of the proposed facilities in the vicinity of KMG's ROW. The encroaching entity shall also provide a set of "as-built drawings' and submit to KMG, showing the facilities in the vicinity of KMG's ROW upon completion of the work o Only facilities shown on drawings reviewed by KMG will be approved for installation on KMG's ROW. AR drawing revisions that affect facilities proposed to be placed on KMG's ROW must be approved by KMG in writing. • KMG shall approve the design of all permanent road crossings. m Any repair to surface facilities following future pipeline maintenance or repair work by KMG on it's "prior rights" ROW will be at the expense of the developer or landowner. In addition, any repair to surface facilities following future pipeline maintenance or repair work by KMG on replacement ROW granted to relocate KMG facilities will also be done at the expense of the developer or landowner unless expressly addressed in surface use agreements and approved in wing by KMG. O The depth of cover over the KMG pipelines shall not be increased or reduced nor suffice modified for drainage without KMG's written approval. e Construction of any permanent structure within KMG pipeline easement is not permitted without written approval by KMG. O Planting of shrubs and trees is not permitted on KMG pipeline easement without written approval by KMG. • Irrigation equipment i.e. backfiow prevent devices, meters, valves, valve boxes, etc. shall not be located on KMG easement without written approval by KMG. 9 Foreign utility installations, IE, distribution gas, oil and gas gathering, water, electric, telephone, cable and sewer lines, etc., may cross perpendicular to KMG's pipeline within the ROW, provided that a minimum of eighteen inches (18°) of vertical clearance is maintained between KMG pipeline(s) and the foreign utility. Any installation by a foreign utility with less than 18" of vertical separation is not allowed without written approval by KMG. in no case will vertical separation be less than 126 whether written or not. Constant line elevations must be maintained across KMG's entire ROW width, gravity drain lines are the only exception and must be approved in writing. Foreign line crossings below the KMG pipeline must be evaluated by KMG to ensure that a significant length of the KMG line is not exposed and unsupported during construction. Foreign line crossings above the KMG pipeline with less than 1& of clearance must be evaluated by KMG to ensure that additional support is not necessary to prevent settling on top of the KMG natural gas pipeline. A KMG representative must be on site during any crossing activities to verify clearance depths and to assure the integrity and support of the KMG facility. All installations of foreign crossings done by boring and or jacking require the KMG facility to be exposed to verify clearances. o Foreign utilities shall not run parallel to KMG pipelines within the KMG easement without written permission by KMG. Any deviation from the 10.0' horizontal requirement must be approved in writing by KMG and an "as built survey" provided to KMG after installation. • The foreign utility should be advised that KMG maintains cathodic protection on its pipelines and facilities. The foreign utility must coordinate their cathodic protection system with KMG's. At the request of KMG, foreign utilities shall install (or allow to be installed) cathodic protection test leads at all crossings for the purposes of monitoring cathodic protection interference. The KMG CP technician and the foreign utility CP technician shall perform post construction CP interferers testing. Interference issues shall be resolved by mutual agreement between foreign utility and KMG. All costs associated with the correction of cathodic protection interference issues on KMG pipelines as a result of the foreign utility crossing shall be borne by the foreign utility for a period of one year from date the foreign utility is put in service. m The developer shall understand that KMG whether specifically ly required per federal law, or by company standard, will mark the routing of it's underground facilities with aboveground pipeline markers and test leads and maintain those markers and test leads. Markers will be installed at every point the pipeline route changes direction and adequate markers will be installed on straight sections of pipeline to insure, in the sole opinion of KMG, the safety of the public, contractor, KMG personnel and KMG facilities. • On all foreign utility crossings and / or encroachments, metallic foreign liar shall :a,.;-. coated with a suitable pipe coating for a distance of at least 10 feet on either side of the crossing. • AC Electrical lines must be installed in conduit and properly insulated. • On all foreign pipelines, DOT approved pipeline markers shall be installed so as to indicate the route of the foreign pipeline across the KMG ROW. 4 No power poles, light standards, etc. shall be installed in the KMG easement without written approval by KMG. m KMG installs above ground appurtenances at various locations that are used in the operation of its facilities. Kerr McGee will install protective enclosures at the above ground appurtenances to protect them from outside damage. The design and placement of these above ground appurtenances and protective enclosures is done at KMG's sole discretion, and may exceed any regulatory requirements. Construction O if KMG will be relocating KMG facilities for any entity, grading in the new KMG ROW shall be +1- to inches before KMG will mobilize to complete the relocation. Final cover after the completion of the project will not be less than 48" nor more than 72®. All cover that exceeds 72" or less than 48" will be approved in writing by KMG. Cover during all construction activities will NEVER be less than 36" unless approved in writing and a KMG representative is on site during the time cover is reduced. 0 The entity requesting relocation shall survey top of pipe after installation but before backfill to determine proper final elevation of KMG facilities. The entity requesting relocation is solely responsible for the final depth of cover over the relocated KMG facility_ Any deviation from cover requirements as outlined above will be corrected at the sole expense of the entity requesting relocation. • Contractors shall be advised of KMG's requirements and be contractually obligated to comply. O The continued integrity of KMG's pipelines and the safety of all individuals in the area of proposed work near KMG's facilities are of the utmost am i rtanc e_ Therefore, contractor must meet with KMG representatives prior to construction to provide and receive notification listings for appropriate area operations and emergency personnel. A KMG representative shall do all line locating. • Notification shall be given to KMG at least 72 hours before start of construction. A schedule of activities for the duration of the project must be made available at that time to facilitate the scheduling of KMG's work site representative. Any Contractor schedule changes shall be provided to KMG immediately. • Heavy equipment will not be allowed to operate directly over KMG pipelines or in KMG ROW unless written approval is obtained from KMG. Heavy equipment shall only be allowed to cross KMG pipelines at locations designated by KMG, Haut roads will be constructed at all crossings. The haul roads will be constructed using lightweight equipment. The existing depth of cover over the pipeline must be verified. Cover will be added such that a total of 8' of fill exists over the pipeline and extends a minimum of 10' on each side of the pipeline. Depth of cover will then taper as required for equipment access. Steel plates may be used for load dissipation only if approved in writing by KMG. s Contractor shall comply with all precautionary measures required by KMG,at its sole discretion to protect its pipelines. When inclement weather exists, provisions must be made to compensate for soil displacement due to subsidence of tire& ® Excavating or grading which might result in erosion or which could render the KMG ROW inaccessible shall not be permitted unless the contractor agrees to restore the area to its original condition and provide protection to KMG's facility. At no time will cover be reduced to less than 36" without written pproval by KMG and a KMG representative on sit: . O A KMG representative shall be on-site to monitor any construction activities within twenty-five (25) feet of a KMG pipeline or aboveground appurtenance. The contractor shall not work within this distance without a KMG representative being on site. Contractor shall use extreme caution and take any appropriate me:lures to protect KMG facilities. Q Ripping is only allowed when the position of the pipe is known and not within ten (10) feet of KMG facility. KMG personnel must be present. ® Temporary support of any exposed KMG pipeline by Contractor may be necessary if required by KMG's on-site representative. KMG shall have a signed and executed Blasting Indemnification Agreement before authorized permission to blast can be given. No blasting shall be allowed within 200 feet of KMG's facilities unless blasting notification is given to KMG a minimum of one week before blasting. The organization responsible for blasting must complete Blasting Plan Data. KMG shall review and analyze the blasting methods. A written blasting plan shall be provided by the organization responsible for blasting and agreed to in writing by KMG. Mountain Division 7321 East 88th Avenue, Suite 210 Henderson, Colorado 80640 Re: Camenisch Pit/Rural Ditch Setback Slope Stability Analysis; DAC Job No. 0201.001.99 Dear Mr. Sittner: At your request we performed a slope stability analysis to investigate various mining-highwall setback distances from the Rural Ditch at the Camenish Pit aggregate mine. This letter presents our findings of that analysis. The goal of this analysis was to determine the appropriate spacing between the gravel mine highwall and the western top of bank of the Rural Ditch. Below we present a brief background and the results of our findings. BACKGROUND The site is located near Del Camino in Weld County, Colorado. The Rural Ditch flows adjacent to the site on the eastern boundary. The chief concern is that a stability failure of the mine highwall could impact the irrigation ditch. ANALYSIS Our stability analysis involved generating a computer model of limit equilibrium analysis using the Slope/W computer program. Table 1 highlights the parameters of the soils used in the model. These parameters are in conformance with the requirements of the Division of Minerals and Geology where site specific laboratory testing is absent. The highwall was modeled as being approximately 20 feet high with a slope of 1/2: 1 (horizontal to vertical) typical for gravel mines in this area. The soil profile analyzed is typical of the site and consisted of five feet of overburden clays overlying 15 feet of sand and gravel on top of claystone bedrock. In addition, a long-term stability analysis was conducted modeling the final reclaimed slope which will include a 3: 1 (horizontal to vertical) compacted clay reservoir liner constructed interior to the mine highwall. Rapid reservoir drawdown loading was applied. This is the most conservative loading condition that is usually analyzed for reservoir embankments. CONCLUSIONS Table 2 below summarizes the results of our analysis. Typical required factors of safety for temporary mine slopes and reservoir embankments are provided for comparison. Output graphics for each of the analyses are attached. A highwall setback of 30 feet from the western top-of-bank of the Rural Ditch should be suitable for both the temporary mine slope and the final lined reservoir slope.
