O 9 03 ( 1 ) /1 /6"-/ 7� 3o y7 WELT) COUNTY 76/9/ STATE DEPARTMENT OF HIGHWAYS DIVISION OF HIGHWAYS - STATE OF COLORADO AGREEMENT WITH WELD COUNTY FOR OFF-SYSTEMS ROAD PLAN PROJECT THIS AGREEMENT, Entered into this /1/ day of 4o,j/ 19 74 , by and between the STATE DEPARTMENT OF HIGHWAYS, DIVISION OF HIGHWAYS - STATE OF COLORADO, hereinafter referred to as the "Division, " and the COUNTY OF WELD , COLORADO, here- inafter referred to as the "County, " WITNESSETH: That WHEREAS, this Agreement is executed by the Division under authority of Title 43-1-106 and 43-2-144 , CRS 1973 , as amended and by the County, working through and under authority vested in its duly elected County Commissioners; and WHEREAS, pursuant to Title 23 of the Public Law 93-643, United States Code commonly called "Federal-Aid Highway Amendments of 1974 , " certain Federal Funds have been allocated for the improvement of certain public highways which are not on any Federal-Aid or State Highway System, such program being hereinafter referred to as the Off-Systems Road Plan Program (OS) ; and WHEREAS, the costs of the selected OS projects will be borne by the Federal Highway Administration (FHWA) and the County at the rate of 74% and 26% respectively, at no cost to the Division; and WHEREAS , OS projects are selected by the County and the eligible Municipalities within the County and approved by the Special High- way Committee of Colorado Counties Incorporated and the Colorado Municipal League, with the concurrence of the Division and the FHWA; and WHEREAS , the improvements at the following listed construction sites , hereinafter called the "Project, " have been selected by the County and eligible Municipalites, have been determined to be in the public interest and are • n Q 760537 to be constructed with funds allocated for the 75-76 fiscal year under this Agreement. SEE SUPPLEMENTAL SHEET 2A Totals The Project is further described in Exhibit "A" attached hereto and made a part hereof. NOW, THEREFORE, in consideration of the mutual covenants set forth hereinafter and the faithful performance thereof, the Division and the County do hereby agree as follows : ARTICLE I AGREEMENTS ON THE PART OF THE COUNTY SECTION 1. The County agrees to submit Plans and Specifications for the Project to the Division 's District Engineer , supplying sufficient details for individual construction sites to be pro- grammed. Plans, Specifications and Estimates shall conform to the Division's Design Manual and Standard Specifications. The County shall also state whether they intend to accomplish the work by Force Account, using County forces, or intend to request the Division's assistance in getting the Project completed. In the event the work is to be accomplished by Force Account, the County shall insure that all work is accomplished in accordance with the pertinent Division Specifications as well as Federal-Aid Highway Program Manual , Volume 6 , Chapter 4 , Section 1, Subsection 14 "Contract and Force Account . " SECTION 2 . The County further agrees to maintain all books, documents, papers , accounting records and other evidence pertaining to costs incurred and to make such materials available at all reasonable times during the contract period and for 3 years from the date of final payment for inspection. Copies of such records shall be furnished by the County if requested. SECTION 3 . Should the County decide to accomplish the work by Force Account, the County hereby agrees to be responsible for monitoring the work and for the correctness of billings submitted to the Division for payment. SECTION 4 . The County may enter into a contract with a con- sultant to do all or any portion of the proposed design work; provided, however, that when OS Funds are to participate in the cost of work done by a consultant, the agreement or contract with the consultant may not be executed or awarded until the selection of the consultant and the terms of the agreement or contract shall have been approved by the Division and the FHWA. Such agreement or contract shall include a provision that the work and records of the consultant are subject to inspection at all reasonable times by authorized representatives of the County, the Division and the FHWA, and that the agreement or contract may be terminated by the County upon a finding that the consultant is failing to live up to the terms of the agreement or contract. All major changes in the agreement or contract must have prior approval of the Division. As soon as agreement or contract with consultant has been awarded, 3 certified copies of said agreement or contract shall be submitted to the Division. SECTION 5 . The County agrees to provide written certification to the Division that the project will be constructed on existing right-of-way or that if right-of-way is acquired for a specific site, that acquisition was made in accordance with FHWA and Division regulations, by purchase, gift or eminent domain. [3] SECTION 6 . The County shall insure that in connection with the performance of the County 's work under this Agreement, whether by or at its direction, there will not be any discrimination against any employee, or applicant for employment, because of race, religion, color, sex, or national origin. This provision will be in compliance with the pertinent sections of the Federal Nondiscrimination Requirements for work financed under Federal-Aid funds, a copy of which is attached hereto as Exhibit "B" . SECTION 7. The County by entering this Agreement acknow- ledges that it has the option to accept or reject the proposal of the low bidder at the Award Conference, and that if the bid is rejected, costs incurred by the Division in Project development will not be eligible for participation by the FHWA and must be • reimbursed by the County. ARTICLE II AGREEMENTS ON THE PART OF THE DIVISION SECTION 1. The Division will administer the specified Federal P Funds as appropriated and budgeted for accomplishing the improve- ment work on Off-Systems Road Plan Projects. SECTION 2. The Division will advertise for bids, award the Contract and administer the Project during construction unless the County chooses to accomplish the construction work by Force Account as provided in Article I . SECTION 3. The Division will, at the County's request provide such assistance and support services as may be agreed upon. Such assistance may be very limited or could encompass the entire de- . velopment of the Project as proposed by the County. The cost of such assistance and supportive services provided by the Division shall be paid from the project fund. SECTION 4 . The Division ' s District Engineer, District 4 P.O . Box 850, 1420 2ND ST. , GREELEY Colorado 80631 will be res- ponsible for coordinating the work under this agreement on the part of the Division. [4] ARTICLE III FISCAL PROVISIONS SECTION 1. The total allocation for Project OS 9903 (1) , under this Agreement, including both Federal and County funds is $ 303. 100 , In the event total construction costs exceed the allocation, all costs in excess of $ 303,100sha11 be borne by the County. In the event construction costs underrun the allocation, actual costs shall be borne on a pro-rata basis , at the same percentage as originally prescribed for the FHWA and the County. The maximum amount payable under this Agreement shall not exceed $327,054 '. ,the total estimated cost without a Supple- mental Agreement, SECTION 2. It is understood and agreed by the parties hereto that the amount of money stated in the tabulation in the Recitals is based on the best estimate available at the time of execution of this Agreement , and that such sum is subject to revision dependent upon acceptable bid and award subject to concurrence by the County at the Award Conference, By indicating its concurrence in such award at the Award Conference, the County agrees to pro- vide any additional funds necessary to complete the construction of this Project. The amount of such additional funds will be determined at the time of final billing, SECTION 3. The total Federal apportionment to the County as shown in the recitals under this Agreement , may be adjusted by mutual consent of the parties hereto to provide an offset of those construction locations which overrun the estimated cost against those which underrun the estimated amount; provided, however, that such total Federal apportionment after adjustments, shall not exceed the $ 224 ,2911 Federal apportionment to the County, as shown in the Recitals . SECTION 4. During the course of the work, the Division will bill the County monthly for its share of the incurred costs. Upon completion of the construction work to be performed under this Agreement and acceptance thereof by the Division, FHWA, and (5) the County, the Division will submit a final recapitulation of Project costs to the County and a final billing for its share of participating costs plus all non-participating costs of this Project. Upon receipt of each bill from the Division, the County will promptly remit to the Division the amount as billed. SECTION 5. In the event the County shall fail to make payment to the Division as above agreed upon, the County hereby authorizes • and directs the State Treasurer to make distribution to the Division in the amount of its obligation hereunder from the County' s share or allocation of the State Highway User' s Tax Fund, as prescribed in Title 43, Article 4, Section 207 , CRS 1973, as amended. ARTICLE IV ASSURANCES The County of WELD does hereby certify and assure the Division that it has consulted, or made every effort to consult, with all of the eligible Municipalities within the County concerning the possible uses of OS Funds and that the project(s) listed above represent the priorities of the County and eligible Municipalities after mutual consideration and con- currence. ARTICLE V GENERAL PROVISIONS This Agreement is contingent upon all funds being made avail- able from Federal and County sources . Should these sources fail to provide the necessary funds this contract may be terminated by either party. Any party terminating its interest and obligations herein shall not be relieved of any financial obligations which existed prior to the effective date of such termination. Interim funds, until the Division is reimbursed, shall be payable from State Highway Supplementay Fund (2001) . Financial obligations of the State of Colorado, payable after the current fiscal year, are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available . (6) This Agreement shall inure to the benefit of and be binding upon the parties, their successors and assigns . This Agreement shall not be deemed valid until it shall have been approved by the Controller of the State of Colorado, or such assistant as he may designate. EXHIBIT B NONDISCRIMINATION PROVISIONS During the performance of this contract , WELD COUNTY for itself , its assignees and successors in interest (herein- after referred to as the "Contractor") , agrees as follows: A. Compliance with Regulations. The Contractor will comply with the Regulations of the Department of Transportation relative to non- discrimination in Federally-assisted programs of the Department of Transportation (Title 49, Code of Federal Regulations, Part 21 , hereinafter referred to as the "Regulations") , which are herein incorporated by reference and made a part of this contract. B. Nondiscrimination. The Contractor, with regard to the work performed by him after award and prior to completion of the contract work, will not discriminate on the ground of race, color, or national origin in the se- lection and retention of Subcontractors , in- cluding procurements of materials and leases of equipment. EXHIBIT B E. Sanctions for Noncompliance. In the event of the Contractor ' s noncompliance with the non- discrimination provisions of this contract, the Division shall impose such contract . sanctions as it or the FHWA may determine to be appropriate, including, but not limited to: (1) Withholding of payments to the Con- tractor under the contract until the Contractor complies , and/or; (2) Cancellation, termination or sus- pension of the contract, in whole or in part. F. Governor's Executive Order. The Contractor will take all affirmative actions necessary and appropriate to implement, not only the letter but also the spirit of , the policy of equality of opportunity as enunciated in the Constitution and the laws of the State of Colorado and as construed by the courts to prevent discrimina- tion because of race, creed, color, sex, national origin or ancestry. G. Incorporation of Provisions.
