ASSIGNMENT OF OIL AND GAS
LEASES
KNOW ALL MEN BY THESE PRESENTS:
That for and in consideration of the sum of Ten Dollars ($10.00) and other good
and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
R. K. Pinson & Associates (CO) LLC, a Colorado Limited Liability Corporation,
621 17th Street, Suite 1555, Denver, CO, 80293, hereinafter referred to as "Assignor",
does hereby transfer, assign, and convey unto Crescent Point Energy U.S. Corp., 555
17th St., Suite 1800, Denver, CO, 80202, hereinafter referred to as "Assignee", ALL OF
ITS INTEREST IN AND TO THE OIL AND GAS LEASES SHOWN ON THE EXHIBIT
"A" ATTACHED HERETO AND MADE A PART HEREOF, together with the rights
incident thereto and the personal property thereon, appurtenant thereto, or used or
obtained in connection therewith.
TO HAVE AND TO HOLD THE SAME FOREVER, unto ASSIGNEE, its
successors, heirs and assigns, subject to the terms and provisions of said leases and to
the following covenants and agreements:
1. This assignment is expressly made subject to and Assignee hereby assumes
the covenants, terms and conditions, express or implied, to which said leases may be
subject.
2. Assignee hereby accepts the interests conveyed hereunder without warranty
of title, either express or implied, and all of the terms conditions, covenants, obligations,
reservations, exceptions and agreements hereof shall constitute covenants running with
the land and same shall inure to the benefit of and be binding upon the parties hereto,
their heirs, successors and assigns. Assignor warrants that there are no unreleased
judgments, liens, mortgages or other encumbrances burdening its interest, whether of
record or not.
IN WITNESS WHEREOF, this instrument is executed on this 20th day of May,
2015, but effective for all purposes, the date of each individual lease.

R. K. Pinson & Associates (CO) LLC has agreed to sell and assign one-hundred percent (100%) of its right, title and
interest in and to those four(4) certain Oil and Gas Leases between Board of County Commissioners of the County of
Weld and R. K. Pinson &Associates (CO) LLC, described in the attached Exhibit A("Leases")to Crescent Point Energy
U.S.Corp whose address is 555 17th Street,Suite 1800,Denver,Colorado 80202.
Pursuant to the Oil and Gas Leases,your consent is required in order to permit R. K. Pinson &Associates (CO) LLC to
convey its interest. R. K. Pinson&Associates(CO) LLC respectfully requests your consent to sell and assign its interest
in the Oil and Gas Leases attached. Our check in the amount of$400.00($100.00 per lease) is enclosed in payment of
the consent fees.
Please evidence your consent by executing in the space provided below.Please return the original fully executed letter
to my attention in the enclosed pre-paid envelope. Should you have any questions, please do not hesitate to contact
