HomeMy WebLinkAbout20161791.tiffRESOLUTION RE: APPROVE AGREEMENT FOR RELOCATION OF GAS FACILITIES FOR COUNTY ROAD 49 CORRIDOR EXPANSION PROJECT AND AUTHORIZE CHAIR TO SIGN - ATMOS ENERGY CORPORATION WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Relocation of Gas Facilities for County Road 49 Corridor Expansion Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Atmos Energy Corporation, commencing upon the full execution of signatures and ending with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Relocation of Gas Facilities for County Road 49 Corridor Expansion Project between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Atmos Energy Corporation be and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair Pro-Tem be, and hereby is, authorized to sign said agreement. E . , Public Works SUBJECT : Atmos Gas Umbrella Relocation Agreement Please place the attached agreement on the BOCC Agenda . On Monday, June 6 , 2016 , the BOCC approved a pass around for the above mentioned agreement. The agreement covers the relocation of Atmos pipelines which are located in two areas along the CR 49 corridor. Area 1 is located from Hwy 34 to CR 52 . In Area 1 , Atmos will relocate into permanent easements acquired by Weld County on the George Maxey and M &J Dairy properties with one exception . In order to prevent an encroachment on George Maxey's house , Atmos has agreed to remain in ROW in front of the house and will be in their own easements north and south of the house . Area 2 is from CR 30 to CR 34 . Atmos will be in the ROW in Area 2 . The County will reimburse Atmos for the relocation costs associated with Area 1 and Atmos will be responsible for the relocation costs associated in Area 2 . Relocation costs will be approximately $ 350 , 000 for Area 1 . The reimbursement for Area 1 will be based on actual costs and will be taken from the Utility Relocation Force Account. I will plan on attending the BOCC hearing to answer any questions that the Board may have regarding this agreement. Cozad Barbara Kirkmeyer _ ` � Steve Moreno � � M?FOIL11$\WorkSesxion psssaruund2�� ! fi Juc AGREEMENT FOR RELOCATION OF GAS FACILITIES BETWEEN ATMOS ENERGY CORPORATION AND WELD COUNTY FOR THE WELD COUNTY ROAD 49 CORRIDOR EXPANSION PROJECT / 7g THIS AGREEMENT, made and entered into this /cam day of June , 2016, by and between Atmos Energy Corporation, a Texas and Virginia corporation with Colorado offices at 1555 Blake St #400, Denver, CO 80202, (hereinafter called "ATMOS ENERGY") and THE COUNTY OF WELD, a political subdivision of the State of Colorado, by and through the Board of County Commissioners of the County of Weld, at P.O. Box 758, 1150 O Street, Greeley, CO 80632 (hereinafter called "County"). WITNESSETH: WHEREAS, to promote the safety of the citizens of Weld County and other members of the travelling public, County has undertaken the construction of a public improvement project, known as the Weld County Road 49 Corridor Expansion Project, (hereinafter the "Project"), and WHEREAS, ATMOS ENERGY has met with Weld County Staff regarding the project impacts, and WHEREAS, in order to construct the Project, County has acquired property rights from private and public property owners to utilize as road right-of-way, and WHEREAS, ATMOS ENERGY owns facilities which are currently located in privately owned property. WHEREAS, certain properties encumbered by ATMOS ENERGY easements and facilities have been acquired by County for use as County right-of-way to complete the Project, and WHEREAS, ATMOS ENERGY is willing to relocate said facilities to other locations within privately owned property or within County right-of-way to facilitate the construction of the Project, and WHEREAS, County is willing to reimburse ATMOS ENERGY for actual expenses it will incur as a result of the relocations, as described in Exhibit A (attached). NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter contained, the parties hereby agree as follows: I. ATMOS ENERGY RIGHTS and RESPONSIBILITIES 1. ATMOS ENERGY Facilities Relocation: The WCR 49 Corridor Expansion Project requires the relocation of ATMOS ENERGY facilities located within existing easements. The cost estimate to relocate these facilities is approximately $350,000.00. Exhibit A depicts locations of affected facilities of ATMOS ENERGY. The facilities shall be relocated within privately owned property or within County right-of-way. ATMOS ENERGY shall coordinate all work necessary to accomplish the facilities relocation in 1 molt' -/79/ accordance with ATMOS ENERGY specifications, accepted engineering practices, and in compliance with all applicable Weld County, State of Colorado and Federal laws, rules and regulations . 2 . ATMOS ENERGY Easement Form : When feasible, ATMOS ENERGY and the County agree to use the easement form identified in Exhibit B as the standard utility easement form for County Right of Way Agreements . 3 . ATMOS ENERGY Facilities Relocation Not to Conflict with Imnrovements: ATMOS ENERGY agrees to relocate facilities into easements acquired by the County and shall not conflict with the proposed roadway improvements or other utilities . Should any relocated ATMOS ENERGY facility conflict with the proposed roadway improvement, ATMOS ENERGY agrees to move it at its own cost. Should ATMOS ENERGY ' s design and or construction require additional easements beyond those provided by the County, County/IHC shall review easements to ensure they do not conflict with proposed roadway improvements or other utilities . 4. Timin� of ATMOS ENERGY Facilities Relocation : ATMOS ENERGY shall complete the facilities relocation prior to the Contractor' s sc°heduled dates to be in the vicinity of ATMOS ENERGY' s facility relocations, as shown in Exhibit C . 5 . ATMOS ENERGY Resaonsible for Traffic Control : Throughout the relocation process, ATMOS ENERGY agrees it shall be responsible for coordination of traffic control as established by the latest edition of the Federal Highway Administration ' s "Manual on Uniform Traffic Control Devices" (MUTCD) . ATMOS ENERGY agrees to provide the County with updated traffic control plans as needed. 6 . ATMOS ENERGY Shall Obtain Right-of-Wav Permits : ATMOS ENERGY shall obtain all necessary permits, including permits specific to the Project, from Weld County required for its facilities retocation work. Weld County agrees to waive the Right-of-Way Permit Fees for facilities relocation work on the WCR 49 Corridor associated with the Project for the duration of the Project. 7 . Reliance on ATMOS ENERGY Expertise : County and ATMOS ENERGY recognize that County is relying solely on ATMOS EIVERGY to perform the relocation of the facilities in a manner which will ensure the future integrity of the facilities and the road improvements to be constructed by the County. Therefore, as part of its assurances under this Agreement, ATMOS ENERGY aPfirms that it has a sufficient liability insurance program to satisfy any claim of negligence, intentional wrongful acts or other acts or omissions which may arise as a result of any failure of the road caused by an improper relocation of the facilities. 8 . ATMOS ENERGY Warrantv: ATMOS ENERGY warrants that all work performed under this Agreement will be performed in a manner consistent with the professional standards governing such work and the provisions of this Agreement and shall conform to the performance standards and requirements in the locations set forth herein and in Exhibit A . 9 . ATMOS ENERGY 's Responsibilitv to Indemnify : ATMOS ENERGY shall defend and indemnify County, its officers and agents , from and against loss or liability arising from ATMOS ENERGY ' s acts , errors or omissions in seeking to perform its obligations under 2 this Agreement. ATMOS ENERGY shall provide necessary workers ' compensation insurance at ATMOS ENERGY' s own cost and expense. 10. ATMOS ENERGY to Stake Right-of-Wav: Prior to relocation of ATMOS ENERGY facilities, ATMOS ENERGY shall establish and stake the easements within that poRion of the Project work area for which facilities are relocating . County and IHC shall verify the relocation to confirm that said relocation is sufficiently clear of Project construction work. 11 . As-Built Information : Upon completion of the work and if applicable, ATMOS ENERGY shall submit to County as-built drawings and originals of any test results, reports, etc . , generated during completion of this work . Acceptance by County of reports and incidental material furnished under this Agreement shall not in any way relieve ATMOS ENERGY of responsibility for the quality and accuracy of the work. Acceptance by the County of, or payment for, any of the work performed under this Agreement shall not be construed as a waiver of any of the County' s rights under this Agreement or under the law generally. ATMOS ENERGY shall provide as-built locations of all their facilities located within the Project Right of Way. The as-built location information shall be provided in the most recent version of ESRI ArcView ' s Geographic Information Systems (GIS) . __ _ _ II. COUNTY RIGHTS and RESPONSIBILITIES l . Estimates of Relocation Expenses : In accordance with the ATMOS ENERGY letter dated March 23, 2015 , the WCR 49 Corridor Expansion Project requires the relocation of portions of ATMOS ENERGY facilities located within existing easements . The cost estimate to relocate these facilities is approximately $350,000 .00. Weld County agrees to pay to relocate approximately 2 .0 miles of ATMOS ENERGY facilities . In addition, Weld County agrees to acquire and pay for new easements for these 2 . 0 miles. Since Weld County has entered into a contract with Interstate Highway Construction (IHC) , ATMOS ENERGY shall provide an itemized invoice and all associated backup documentation to IHC for work associated with this Agreement. County agrees to reimburse ATMOS ENERGY through IHC for the expenses incurred in fulfillment of ATMOS ENERGY ' s obligations under this Agreement as set forth in the Exhibit A. Reimbursement shall only appty for facilities that were located in private easements and not in the Weld County Right of Way . 2 . Increases/Decreases in Estimated Exuenses : ATMOS ENERGY has estimated the total cost of said relocation , which includes work outlined in the Exhibit A . ATMOS ENERGY shall invoice IHC for the actual costs only. The invoice provided to IHC shall include all backup documentation to prove there has been no markup or betterment of ATMOS ENERGY facilities . For budget planning, ATMOS ENERGY will provide the County cost estimates prior to construction for facility relocations in accordance with Exhibit A . 3 . Countv's Right to Terminate: The County may terminate this Agreement at any time prior to ATMOS ENERGY' s commencement of relocation construction . In such an � event, the County shall reimburse ATMOS ENERGY for all reasonable expenses associated with the relocation incurred by ATMOS ENERGY prior to the date of termination for engineering and for materials and equipment purchased or ordered and paid for by ATMOS ENERGY and which cannot be returned for a refund . 3 III. MISCELLANEOUS 1 . Board of Countv Commissioners of Weld Countv Anproval : This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee . 2 . Agreement Bindin�: This writing, together with the exhibits, constitutes the entire Agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties their officers, employees, agents, and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties . 3 . No Third Partv Beneficiary : It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental _ _. _ beneficiary onIy. _ _ 4 . Time of the Essence : Time is of the essence in each and all of the provisions of this Agreement. 5 . Fund Availabilitv: This Agreement assumes that the relocation of the facilities will be completed on or before the end of the County' s fiscal year. Financial obligations of the Board of County Commissioners of Weld County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available . By execution of this Agreement, County does not warrant that funds will be available to ' fund this Agreement beyond the current fiscal year. 6. Severabilitv : If any term or condition of this Agreement shall be held to be ' invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such ' provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 7 . Attornevs Fees/Lesal Costs: In the event of a dispute between County and ATMOS ENERGY concerning this Agreement, the parties agree that each shall be responsible for the payment of its own attorney' s fees and/or legal costs. 8 . Subro�ation Waiver: All insurance policies required to be maintained under the terms of this Agreement or which are in any way related to this Agreement which are secured and maintained by ATMOS ENERGY shall include clauses stating that each carrier shall waive all rights of recovery, under subrogation or otherwise, against Weld County, its officers, employees, agents , or volunteers . 9 . GovernmentalImmunitv : No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights , benefits, 4 protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as applicable now or hereafter amended. TO HAVE AND TO HOLD the above described rights and easements , together with any other rights necessary to operate and maintain the Pipeline and/or Facilities over and across the above described property unto the said Grantee, its successors and assigns. With the exception of the easement area comprising the Facilities Property, if applicable , Grantor shall have the right to fully use and enjoy the surface of the easement area except for the purposes herein granted provided that such use and enjoyment shall not, in the sole judgment of Grantee , hinder, conflict or interfere with the exercise of the Grantee 's rights hereunder. No permanent building , house, well , reservoir, structure or obstruction shall be constructed upon , under or across the easements or rights-of-way herein granted without the Grantee's written consent. Further, Grantor shall not fence the easement area or change ihe grade of the easement area or excavate within the easement area without the written permission of Grantee. Grantor further agrees not to change the grade, remove dirt from the surface of the easement or impound water over the easement without prior approval of Grantee. Grantee shall have the right to install. at its_expense,_ permanent gates in_ any _existing fence to_ permit _ingress and egress along the _ _ easement or right-of-way herein granted . Grantee agrees to pay for damages to growing crops and other property of Grantor, or any tenant or lessee of Grantor, as their respective interests may appear, arising out of the construction , operation , repair, inspection , maintenance or replacement of the Pipeline and/or Facilities maintained hereunder unless caused by the negligence of Grantor or of Grantor's agents, employees , representatives or assigns. Grantee agrees to hold Grantor harmless from all damages, injuries or claims by third parties resulting from the construction , operation or maintenance of any pipeline(s) , facilities andlor appurtenances thereto constructed by Grantee under this easement. The Grantee shall bury the Pipeline, if applicable , to a depth not less than that required by applicable law or regulation . All construction , maintenance and repairs which shall be made to the Pipeline and/or Facilities shall be done at times suitable to Grantee and , if possible , at such times as will least interfere with the agricultural use of the Property. Grantee shall have the full right, at its sole option , to clear, and keep clear, the right-of-way and easement herein granted , and all timber, trees , undergrowth and other obstructions which might interfere with the construction , operation, inspection , repairing or maintenance of the Pipeline and/or Facilities, or endanger same. Grantee shall have the right to select ihe exact location of said Pipeline(s) and any future Pipeline(s) within said easement, and to do whatever may be requisite for the use and enjoyment of the rights herein granted. Grantee agrees to restore the Property and/or Facilities Property to as close to the original condition as is reasonable . Grantor represents that Grantor is the owner in fee simple of the land above described, free and clear of any unstated liens, encumbrances or imperfections , and warrants the title to the Property and/or Facilities Property, subject to outstanding mortgages, if any, now on record in said County/Parish . Grantor shall retain all oil , gas and other mineral rights in , on and under the right of way and easement granted herein . This right-of-way and easement shall run with the Property and/or Facilities Property and inure to the benefit of, and be binding upon , the successors in interest of Grantor, in and to the Property and/or Facilities Property.
