To Whom It May Concern:
Aztec Exploration, LLC (Aztec) will execute an Assignment of Oil & Gas Leases whereby they have
agreed to sell and assign one hundred percent (100%) of its right, title, and interest in and to the Oil &
Gas Lease recorded at Reception No. 4185741 to Incline Niobrara Partners, LP, whose address is 5019
N. Central Expressway, Ste. B, Dallas, TX 75205.
Pursuant to the Oil and Gas Lease, your consent is required in order to permit Aztec to convey its
interest. Aztec respectfully requests your consent to sell and assign its interest in the Oil and Gas Lease
covering the following lands:
Township 5 North, Range 64 West, 6th P.M.
Section 21: Lots 12, 13, and 14, Block 5, Town of Kersey
Section 21: North 8 feet of Lot 15, Block 5, Town of Kersey
Section 21: South 24.4 feet of Lot 17, Block 5, Town of Kersey
Section 21: Lots 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17, 18, 19, 20, 21, 22, 23, 24, 25, 30, 31, 32, 33, 34,
35, 38, 39, 40, 41, 42, 43, 44, 45, 46, 47, and 48, Block 6, Town of Kersey
Section 21: Lots 24 and 25, Block 8, Town of Kersey
Section 20: A tract of land in the E/2E/2NE/4, Town of Kersey, as described in Book 553, Reception No.
148527, dated March 16, 1966 and more particularly described as follows: Beginning at a point 231 feet
North of the center of the Main Line Tract of the Union Pacific Railroad, as it now exists; running thence
North 125 feet on a line Thirty (30) feet West of the East line of the Northeast Quarter(NE/4) of Section
Twenty (20), Township Five (5) North, Range Sixty-four(64) West of the 6th P.M., said line being the West
boundary of the present County Road; thence due West 125 feet; thence due South 125 feet; thence due
East 125 feet to the point of beginning. Excepting therefrom a tract of land as described in Treasure's
Deed recorded in the office of the County Clerk and Recorder in Book 1166 at Page 105.

executed letter to my attention in the enclosed pre-paid envelope. Should you have any questions, please
