on the first day of June, 1940v execute and deliver to The
Chase National Bank of, the City of New York a certain mortgage
deedwherein and whereby the Railroad Company conveyed to
The Chase National Bank of the City of New York as Trustee
for the uses and, purposes therein mentioned, among other
things, the land described in Exhibit A; and
WHEREAS, The Chase.National Bank of the City of
New York was, on the 31st day 'of'March, 1955, merged into
the Bank of the Manhattan Company under the name of The Chase
Manhattan Bank, and thereby The Chase Manhattan Bank became
f successor to The Chase.National 'Bank of the City of. New York
as Trustee of such mortgage, and on September 23, 1965, The
Chase Manhattan Bank was converted into The Chase Manhattan
Bank (National Association) and its name changed thereto
without affecting the -continuity of its businessor corporate

THIS INDENTURE, made this 28th day of December, 1972,
by and between Marian Ruth Tipton as Administratrix of the Estate
of Robert Royce Tipton, Deceased, as Grantor, and Noffainger
Manufacturing Co., Inc., Grantee,
WITNESSETH THAT:
WHEREAS, the above named Robert Royce Tipton, also known
as Robert R. Tipton, departed this life on the 27th day of April,
1972, and thereafter on the 24th day of August, 1972, Marian Ruth
Tipton, by appropriate order of Court, was appointed Adminiatra-
trix of the Estate of said deceased by the District Court of Jef-
ferson County, Colorado, Probate No. 12543; and
WHEREAS, Amended Letters of Administration were issued
by Bald Court to the Grantor as Administratrix on December 18,
1972, by which said Grantor was given all of the powers accorded
to fiduciaries by the Colorado Fiduciaries' Powers Act (C.R.S.
1963, Ch. 57, Art. 8, as amended);
NOW, THEREFORE, the Grantor as Administratrix, without
further order of Court and acting under the specific powers set
forth in said Colorado Fiduciaries' Powers Act 57-8-4(2)(h)(ii),

Butte Rockies Storage and Terminals, LLC, a Delaware limited liability company, whose
mailing address is 858 Main, Suite 301, Durango, CO 81301 ("Grantee").
WITNESS, that Grantor, for and in consideration of the sum of Ten and 00/100 Dollars ($10.00)
and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, hereby grants, bargains, sells, conveys and confirms unto Grantee and its
successors and assigns, that certain real property located in Weld County, Colorado, legally
described on Exhibit A attached hereto and incorporated herein by this reference (the
"Property").

TOGETHER with all and singular the hereditaments and appurtenances thereunto belonging, or
in anywise appertaining, the reversions, remainders, rents, issues and profits thereof; and all the
estate, right, title, interest, claim and demand whatsoever of Grantor, either in law or equity, of,
in and to the above bargained Property, with the hereditaments and appurtenances; and
SUBJECT TO, AND RESERVING TO GRANTOR, ownership of (i) all capital stock or
shares owned by Grantor in the New Cache La Poudre Irrigating Company (including nineteen
(19) shares of capital stock in the New Cache La Poudre Irrigating Company represented by
share certificate number 4874) and the Cache La Poudre Reservoir Company (including twenty-
four (24) shares of capital stock in the Cache La Poudre Reservoir Company represented by
share certificate number 4108) and the water derived therefrom; (ii) irrigation wells and permit
numbers 24801 -F --R and 24802-F R; and (iii) all tributary, non -tributary, not non -tributary
interests, groundwater rights, ditches and ditch rights, and any other ditch and water company
stock, whether decreed or un-decreed, appurtenant to and historically used in connection with the
Property (collectively, the "Water Rights"); provided that Grantee shall have the rights, subject
to obtaining the necessary regulatory approvals and/or Water Court approval, for one or more
new conditional water rights for groundwater and related permits for wells to be located on the
Property, and to utilize any such approved water rights, all consistent with the terms of the Dry -
Up Covenant and Easement Agreement, dated the same date hereof, and recorded immediately
after this Deed.
TO HAVE AND TO HOLD the said Property above bargained and described, with the
appurtenances, unto Grantee and its successors and assigns forever. Grantor, for itself and its

successors, does covenant and agree that Grantor shall and will warrant and forever defend the
above described Property in the quiet and peaceable possession of Grantee and its successors and
assigns, against the lawful claims of all and every person or persons claiming the whole or any

B attached hereto and incorporated herein by this reference.
