I left out a portion of how we acquired additional interest in this lease. Along with the first chain, the second
chain shows the history from original lease holder to Double Eagle. The split occurred when Wellington

more fully assign to Assignee or its successors or assigns all of the respective rights and interests
herein and hereby granted or intended to be granted.
2. This assignment is expressly made subject to the terms and conditions of said
leases, as well as all royalties, overriding royalties and other similar payments with which said
leases have heretofore been burdened. Assignees, each to the extent of the interests herein
assigned, shall be obligated to bear their prorate share of such lease terms, conditions and
obligations.

KNOWN ALL MEN BY THESE PRESENTS:
For and in consideration of the sum of Ten and No/100 Dollars ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, Acorns Energy, LLC, a
Texas limited liability company, whose address is 3801 E. Florida Ave., Suite 508, Denver, CO 80210,
hereinafter referred to as Assignor, does hereby grant, assign, transfer, convey and deliver unto Double
Eagle Energy Rockies, LLC, a Delaware limited liability company, whose address is 1401 Ballinger St
4203, Fort Worth, TX 76102, hereinafter referred to as Assignee, an undivided eighty-five percent (85%)
of 8/8ths interest in and to the leasehold estate and working interest in and to the leases, acquired from Troy
B. Fergen and Marilyn Fergen by Assignment of Working Interest recorded on B /'//2D14 , 2014 at
Reception No. +0347O5, and described in Exhibit "A" attached hereto (the "Leases").
For the same consideration, the Assignor covenants with the Assignee, its heirs, surr"ssors and assigns,
that the Assignor is the lawful owner of the non -operating working interest as described in said Document
above.
The non -operating working interest being conveyed herein to Assignee shall be reduced proportionately on
a lease -by -lease basis (a) if the any of the Leases covers less than the entire undivided interest in the oil, gas
and associated hydrocarbons, or other minerals in each portion of the leased premises comprising the
subject lands, and/or (b) if all or any part of the subject lands, or the mineral interest of Lessor in the
subject lands, is pooled or communitized with other lands not covered by the Leases.
The interest in the Leases assigned hereunder relating to the NW/4N W14 of Section 28, Township 4 North,
Range 67 West shall be free and clear of any implications of any spacing order covering the W2NW/4 of
Section 28, Township 4 North, Range 67 West, 6' P.M. Assignee shall be responsible only for its share of
costs as to the NW/4NW/4 of said Section 28, receiving a net revenue interest in production from the
NW/4NW/4 of said Section 28. Assignee shall have no right to force pool the interest conveyed hereunder
with any interest in any lease covering the SW/4NW/4 of Section 28 or with said SW/4NW/4 of Section 28
itself.
This Assignment is subject to all the terms, conditions and covenants of the Leases, which terms,
conditions and covenants Assignee shall assume end perform to the extent of the interest herein assigned.
This Assignment and all of its exceptions, terms and conditions are binding upon and shall inure to the
benefit of Assignor, Assignee and each of their heirs, executors, administrators, personal representatives,
successors and assigns, and anyone claiming title to the Leases by, through or under them.

On this, the 25th day of June, 2014 comes, Richard L. Kies, M.D., whose mailing address is 259 Deer
Creek Lane Cape Girardeau, MO 63701 (herein referred to as "Assignor"), for and in consideration of the sum of
Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, who does hereby bargain, sell, transfer, assign, convey and deliver unto INCLINE RESOURCES,
LLC, a Texas Limited Liability Company, whose mailing address is 5019 North Central Expressway, Ste B, Dallas,
TX 75205 (herein referred to as "Assignee"), one hundred percent (100%) of Assignors right, title and interest in
and to the oil and gas leases described herein on Exhibit 'A' which cover the lands more particularly described on
Exhibit 'B' both of which are attached hereto.
This Assignment is made and accepted upon the following terms and conditions:
I. Assignor will execute and deliver all such other and additional instruments, notices, releases, and
other documents and will do all such other acts as may be necessary to more fully assign to Assignee or its
successors or assigns all of the respective rights and interests herein and hereby granted or intended to be granted.
2. As part of the consideration for the execution and delivery of this instrument by Assignor,
Assignee agrees to all of the terms and provisions hereof and joins in the execution of this instrument to evidence
this agreement.
TO HAVE AND TO HOLD the Leases, together with all and singular the rights and appurtenances thereto
in anywise belonging, unto Assignee, Assignee's successors and assigns, subject to the matters set forth herein; and
Assignor does hereby bind itself, and its successors and assigns, to WARRANT AND FOREVER DEFEND all and
singular the said Leases unto the said Assignee, its successors and assigns, against every person whomsoever
lawfully claiming or to claim the same or any pan thereof.

documents and will do all such other acts as may be necessary to more fully assign to Assignee or is suaressms or assigns all of
the respective rights and interests herein and hereby granted or intended to be granted.
2. As part of the consideration for the execution and delivery of this instnnnent by Assignor, Assignee agrees to
all of the terms and provisions hereof and joins in the execution of this instrument to evidence this agreement
3. It is further agreed that if any funds, which are currently held in suspension by an operator due to the leek
of awareness of where to send Grantor's portion of revenue deriving from any well included in the lands herein, should be
recovered by the Grantee, then the Grantee shall be required to reimburse the payee in the net amount that is tendered to
Grantee from the operator. If there am funds recovered in this manner, but which are recovered only after Grantee tenders the
proportionate share of any back due drilling expense not paid by Grantor, then said funds shall be deemed to be solely owned
by Grantee. The funds mentioned in this provision should be accounted for separately on a well by well basis.

belonging, unto Assignee, Assignee's successors and assigns, subject to the matters set forth herein; and Assignor does hereby

ASSIGNMENT OF INTEREST IN OIL AND GAS LEASES
Wellington Limited Partnership, a limited partnership formed
under the laws of the state of Texas, whose address is P.C. Box
2768, Amarillo, TX 79105, does hereby assign,.convey, and transfer
to the parties indicated in Exhibit "B", attached hereto and made
a part hereof (Assignees"), in the proportions indicated in Exhibit
"B" with respect to each party, as an undivided interest, subject
to the exceptions, restrictions, terms, and conditions set forth
herein, all of its right, title, and interest in and to the leases
set forth in Exhibit "A", attached hereto and made a part hereof
(the "Leases"), insofar as the Leases cover the lands described in
Exhibit "A" (the "Lands").
To have and to hold unto said Assignees, their successors and
assigns, forever, subject to the following terms and conditions.
1. The interests assigned hereunder are subject to the terms
of the Leases, and shall bear their proportionate share of
landowners' royalties under the Leases and their proportionate
share of existing overriding royalty interests.
2. This assignment is made without warranty of any kind,
either express or implied.
3. The interest in the Leases assigned hereunder relating to
the NW/4NW/4 of Section 28, Township 4 North, Range 67 West shall
be free and clear of any implications of any spacing order covering
the W/2NW/4 of Section 28, Township 4 North, Range 67 West, 6th
P.M. Assignees shall be responsible only for their 90.0% share of
costs as to the NW/4NW/4 of said Section 28, receiving a 67.5% net
revenue interest in production from the NW/4NW/4 of said Section
28. Assignees shall have no right to force pool the interest
conveyed hereunder with any interest in any lease covering the
SW/4NW/4 of Section 28 or with said SW/4NW/4 of Section 28 itself.
4. Excepted and reserved from this assignment are all
interests in casing, tubing, wellhead equipment, flowlines,
treating and separating equipment, tank battery, and all other
personal property and equipment used in connection with any wells
located on the Lands.
5. The interests assigned hereunder shall be subject to, and
governed by, the terms of that certain operating agreement covering
the Leases and the Lands dated May 14, 1985 between Shepler &
Thomas, Inc. as Operator and Wellington Limited Partnership as Non -
Operator as amended by agreement entitled Amendment to Operating
Agreement dated August 1, 1990 (the "Operating Agreement").
6. Pursuant to the terms of the Operating Agreement, all
proceeds from the sale of oil and gas from wells located on the

Lands and attributable to the interests assigned hereunder shall
be paid to the Operator of the wells under the Operating Agreement
and the Operator shall remit such Assignee's share of revenues
after deducting operating expenses, ad valorem taxes, and any other
charges authorized by the Operating Agreement.
7. The effective date of the transfer of the interests
conveyed hereunder shall be August 1, 1990.

ASSIGNMENT OF INTERESTS IN OIL AND GAS LEASES
MIRAMAR LAND CO., INC., a Texas corporation, whose address is
P. 0. Box 2768, Amraillo TX 79105, ("Assignor"), in consideration
of $10.00 and other good and valuable consideration but subject to
the exceptions, reservations, terms and conditions set forth herein,
does hereby assign, convey and transfer to Wellington Limited Partner-
ship, a limited partnership formed under the laws of the State of
Texas, c/o Wellington Limited Partnership Assessment, P. 0. Box 2768,
Amarillo TX 79105, ("Assignee"), all of its right, title and interest
in and to the oil and gas leases set forth in Exhibit "A.", attached
hereto and made a part hereof, (the "Leases").
To have and to hold the interest transferred and assigned unto
Assignee, its successors and assigns, forever, subject to the following
terms and provisions.
1. From the interest conveyed hereunder, Assignor does hereby
expressly except and reserve unto itself, its successors and assigns,
as an overriding royalty, an undivided 5.000000% of 8/8ths of all oil,
gas, casinghead gas and associated hydrocarbons produced, saved and
marketed from, or attributable to, the lands described in Exhibit "A",
pursuant to the Leases. The overriding royalty interest reserved
hereunder shall be free and clear of all cost and expense of develop-
ment and operation except ad valorem tax, windfall profit tax and other
applicable taxes. Said overriding royalty interest shall not, in any
event, be paid or accrued upon any oil, gas, casinghead gas and other
hydrocarbon substances used for operating, development or production
purposes upon the lands to which said overriding royalty interest relates,
or unavoidably lost; and no overriding royalty shall be paid upon gas
used for represuring or recycling operations or pressure maintenance
operations benefitting said lands.
2. The overriding royalty reserved hereunder shall be proportion-
ately reduced to the extent that the interest in the Leasesassigned
hereunder as it relates to the lands described in Exhibit "A", is less
than the entire interest in the Leases and to the extent that the interest
covered by the Leasesin the oil. and gas mineral estate in the lands to
which the overriding royalty pertains is less than the entire oil and
gas mineral estate in said lands.
3. The'overriding royalty reserved hereunder shall be free
of any declaration of pooling or any spacing order covering the E/2SE/4
of Section 10, Township 4 North, Range 67 West, 6th P.M. and shall not
be entitled to participate in any production from the NE/4NE/4 of said
Section 1O, but shall be entitled to receive a 4.5% net revenue interest
in production from the sE/4SE/4 of said Section 10.
4. The interest assigned hereunder is subject to the terms of
the Leases, to existing overriding royalty interests, and to appli—
cable prior assignments of the Leases,:and shall bear its proportionate
share of landowners' royalties and said existing overriding royalty
interests.

5. The interest assigned hereunder shall be free of any declara-
tion of pooling or spacing order covering the E/2SE/4 of Section 10,
Township 4 North, Range 67 West, 6th P.M. Assignee shall be responsi-
ble only for its 90.0% share of costs as to the SE/4SE/4 of said
Section 10, receiving a 67.500% net revenue interest in production
from the SE/4SE/4 of said Section 10. Assignee by acceptance of this
assignment waives any right to force pool the interest conveyed hereunder
with any interest in any lease covering the NE/4NE/4 of Section 10, or
with said NE/4NE/4 of Section 10 itself.
6. This assignment is made without warranty of any kind, either
express or implied ,but Assignor does warrant that the Lease is valid
and in effect and that it owns the interest being conveyed hereunder.
7. The effective date of the transfer of the interests conveyed
hereunder shall be the date of first production from the lands
described in Exhibit "A".
8. Excepted from this assignment are all interests in personal
property and equipment used in connection with the Oster 10-1 well
located in the SE/4SE/4 of Section 10, Township 4 North, Range 67
West, 6th P.M., including but not limited to, all casing, wellhead
equipment, flowlines, treating and separating equipment and tank
batteries.
IN WITNESS WHEREOF, this Assignment is executed this 22nd
day of June, 1987.

conditions set forth herein all of its right, title and interest in
and to the leases set forth in Exhibit "A", attached hereto and
made a part hereof, (the "Leases") insofar as the Leases cover
the lands described in Exhibit "A".
To have and to hold unto said Assignees their successors and
assigns forever, subject to the following terms and conditions:
1. The interest assigned hereunder is subject to the terms
of the Leases and to all overriding royalty interests created prior
to the date of this Assignment. This Assignment is made subject to
that certain Assignment from Amoco Production Company to Shepler &
Thomas, Inc., dated June 1, 1987, and recorded in Book 1160,
Reception No. 2104141, Weld County, Colorado records ("the Amoco
Assignment"). Assignor reserves the right, power and authority to
make the reassignment provided for in Section 11 of the Amoco
Assignment under the circumstances provided for in said Section 11,
free and clear of all burdens created by, through, or under Assignor,.
including the assignment of interest covered hereunder.
2. The interest assigned hereunder shall be free and clear
of any implications of any spacing order or declaration of pooling
covering the E/2SE/4 of Section 10, Township 4 North, Range 67 West,

6th P.M. Assignees shall be responsible only for their proportionate
share of 100% of costs as to the SE/4SE/4 of said Section 10,

in production from the SE/4SE/4 of said Section 10. Assignees by
acceptance of this assignment waive any right to force pool the
interest conveyed hereunder with any interest in any lease covering
the NE/4SE/4 of Section 10 or with said NE/4SE/4 of Section 10 itself.
3. The effective date of the transfer of the interests con-
veyed hereunder shall be the date of first production from the lands
described in Exhibit "A".
