RE: Request for Consent to Assign Oil and Gas Lease
Madams/Sirs:
A review of our records indicates that pursuant to the Oil and Gas Lease (the "Lease") described on Exhibit
A enclosed herewith, it is required that your consent be obtained in order to assign the Lease to a third
party.
This letter is to advise you that Double Eagle Energy Rockies LLC is in the process of divesting all of its
interest in the Leases. In connection with this divestiture, we are requesting your consent to assignments of
Acoma Energy, LLC's and Incline Resources, LLC's interest in the Leases to Double Eagle Energy Rockies
LLC ("Double Eagle") and additionally, your consent to subsequent assignments by Double Eagle to CL
Energy Rockies, L.L.C. ("CL Energy"). We would appreciate your consent to the assignments of the Leases
at your earliest convenience.
