RE: APPROVE THIRD AMENDMENT TO BUILDING OPTION AND LEASE AGREEMENT
AND MEMORANDUM THERETO AND AUTHORIZE CHAIR TO SIGN - VERIZON
WIRELESS, LLC
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with a Third Amendment to Building Option
and Lease Agreement and Memorandum Thereto between the County of Weld, State of Colorado,
by and through the Board of County Commissioners of Weld County, on behalf of the Department
of Buildings and Grounds, and Verizon Wireless, LLC, commencing July 1, 2016, and with further
terms and conditions being as stated in said amendment and memorandum, and
WHEREAS, after review, the Board deems it advisable to approve said amendment and
memorandum, a copy of which are attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Third Amendment to Building Option and Lease Agreement and
Memorandum Thereto between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Department of Buildings and Grounds,
and Verizon Wireless, LLC, be and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said amendment and memorandum.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 6th day of June, A.D., 2016.

Subject: Verizon Wireless Lease
The Verizon Wireless LLC are current tenants in our building located at 822 7t° Street. This amendment
to their current lease allows them to perform a minor modification of replacing/updating their remote
radio heads (antennas), an overvoltage protector (surge suppression) and some communication support
equipment. Verizon Wireless has agreed to increase the lease rate by $25.50 per month for total or
$2,348.19 per month. Buildings & Grounds is recommending approval of the lease.

BUILDING OPTION AND LEASE AGREEMENT
THIS THIRD AMENDMENT TO BUILDING OPTION AND LEASE AGREEMENT
("Third Amendment") is made and entered into as of the 2, T"--1- day of TA.
20 .If' , between the County of Weld, a body corporate and politic of the State of Colorado
(successor -in -interest to Greeley Plaza, L.L.C.) ("Lessor"), and Verizon Wireless (VAW) LLC
d/b/a Verizon Wireless, with its principal offices at One Verizon Way, Mail Stop 4AW100,
Basking Ridge, New Jersey 07920 ("Lessee'). Lessor and Lessee are referred to individually as
a "Party" and collectively as the "Parties."
RECITALS
a) Greeley Plaza, L.L.C. (predecessor -in -interest to Lessor) and Lessee are parties to
that certain Building Option and Lease Agreement dated November 3, 1995, as amended by that
certain Amendment to Building Option and Lease Agreement dated March 8, 2002 and Second
Amendment to Building Option and Lease Agreement dated December 7, 2009 (collectively, the
"Agreement"), whereby Lessee leases a portion of that certain real property located at822 7th
Street, Greeley, in Weld County, Colorado 80631, as more particularly described in Exhibit "A"
attached hereto and incorporated by reference herein (the "Property") for Lessee's use as a
communications facility (the "Premises").
b) Lessor and Lessee now desire to amend the Agreement to (i) add additional space
to the interior space and rooftop space (collectively, "Additional Space") to modify, add or
replace radio heads ("RRHs"), overvoltage protectors ("OVPs"), antennas and communications
equipment (collectively, "Additional Equipment"); (ii) increase the rent; and (iii) grant Lessee a
non-exclusive utility and fiber easement over, under and across a portion of the Property and on
and through the building as shown on Exhibit "C" attached hereto, incorporated by reference
herein, which shall be incorporated by reference into the Agreement as Exhibit "C".
AGREEMENT
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which are acknowledged, the Parties agree as follows:
1. Lessor hereby grants Lessee additional interior space and rooftop space
(collectively, "Additional Space") to the Premises to modify, add or replace RRHs, OVPs,
antennas and communications equipment (collectively, "Additional Equipment") as depicted on
Exhibit "C" attached hereto. Lessee shall thereafter have the right to replace, repair, add or
otherwise modify its RRHs, OVPs, antennas, communications equipment, conduits or other
improvements or any portion thereof and the frequencies over which the communications
equipment operates.

2. Lessor hereby grants to Lessee, its successors and assigns, a non-
exclusive easement over, under and across the Property shown on Exhibit "C" attached hereto
and incorporated by reference herein (the "Easement Area") for purposes of ingress and egress
and constructing. maintaining, operating, repairing and replacing utility lines, cables and
conduits to and from the Premises, and on and through the building, which shall include but are
not limited to electric and fiber. Each party shall utilize its estate in a manner which will
minimize interference with the other party's use of its estate, including but not limited to not
constructing or permitting to be constructed, any building or other permanent structure within the
Easement Area. Upon completion of construction, Lessee shall restore the Easement Area to
substantially its pre-existing condition.
3. The Easement Area and Additional Space shall be considered a part of the
Premises.
4. The rental payments under the Agreement shall increase by $25.50 per
month ("Rent Increase") commencing on July 1, 2016. Lessor acknowledges and agrees that the
initial Rent Increase payment will not be actually sent by Lessee until sixty (60) days after
July 1, 2016.
5. Except as specifically modified by this Third Amendment, all of the terms
and conditions of the Agreement shall remain in full force and effect. Neither Party is in default
of the Agreement as of the date of this Third Amendment. In the event of a conflict between any
term or provision of the Agreement and this Third Amendment, the terms and provisions of this
Third Amendment shall control. All captions are for reference purposes only and shall not be
used in the construction or interpretation of this Third Amendment. All capitalized terms used
but not defined in this Third Amendment have the meanings set forth in the Agreement.

Easement Area. Upon completion of construction, Lessee shall restore the Easement Area to
substantially its pre-existing condition.
3. The Easement Area and Additional Space shall be considered a part of the
Premises.
4. The rental payments under the Agreement shall increase by $25.50 per
month ("Rent Increase") commencing on July 1, 2016. Lessor acknowledges and agrees that the
initial Rent Increase payment will not be actually sent by Lessee until sixty (60) days after
July 1, 2016.
5. Except as specifically modified by this Third Amendment, all of the terms
and conditions of the Agreement shall remain in full force and effect. Neither Party is in default
of the Agreement as of the date of this Third Amendment. In the event of a conflict between any
term or provision of the Agreement and this Third Amendment, the terms and provisions of this
Third Amendment shall control. All captions are for reference purposes only and shall not be
used in the construction or interpretation of this Third Amendment. All capitalized terms used
but not defined in this Third Amendment have the meanings set forth in the Agreement.
