KNOW ALL MEN BY THESE PRESENTS, that CONAGRA POULTRY COMPANY, a Delaware
corporation, ("Grantor"), whose address is One ConAgra Drive, Omaha, Nebraska 68102, in consideration of
the sum Ten Dollars ($10.00) and other good and valuable consideration, received from CONAGRA FOODS
REFRIGERATED FOODS CO., INC., a Delaware corporation ("Grantee"), whose address is One ConAgra
Drive, CC -237, Omaha, Nebraska 68102, does hereby grant, bargain, sell, convey and confirm unto Grantee
that certain real estate located in Weld County, Colorado, more particularly described in Exhibit A attached
hereto and incorporated by reference herein. Grantor is the successor by merger and name change to The South
Bowen Company, a Colorado corporation, and also to Framor Company Inc., a Colorado corporation, per
records attached hereto as Exhibit B and incorporated herein by reference.
TO HAVE AND TO HOLD the above described prcmises together with all tenements, hereditaments
and appurtenances thereto belonging unto Grantee and to Grantee's heirs and assigns forever.
AND Grantor for itself and its successors does hereby covenant with Grantee and with Grantee's heirs
and assigns that Grantor it lawfully seized of said premises; that they are free from all encumbrances, subject to
all easements, covenants, restrictions and encumbrances of record and all matters which would be revealed by
an accurate survey; that Grantor has good right and lawful authority to convey the same; and that Grantor
warrants and will defend the title to said premises against the lawful claims of all persons claiming by, through,
or under Grantor, and against no other claims or demands.
Grantor also hereby quitclaims and assigns to Grantee all of Grantor's right, title and interest in and to
all water, water rights, water wells, ditches, reservoirs, and related rights, interests and fixtures located on,
appurtenant to or used in connection with such real estate described in Exhibit "A" including but not limited to
the water rights, water wells, shares of mutual ditch company stock, water lease and contract rights, if any,
described on Exhibit "C" attached hereto.

SPECIAL WARRANTY DEED
THIS DEED, dated as of December 14, 2012, between BUTTERBALL, LLC, a North
Carolina limited liability company, whose address is One Butterball Lane, Gamer, North
Carolina 27529 ("Grantor"), and WO WCR 28, LLC, a Colorado limited liability company,
whose address is 510 E. 51`t Avenue, Suite 205, Denver, Colorado 80216 ("Grantee").
WITNESS, that Grantor, for the consideration of the sum of Ten and No/100 Dollars
($10.00) and other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, has grunted, bargained, sold and conveyed, and by these presents does
grant, bargain, sell, convey and confirm unto Grantees, forever, all the real property, together

domestic and/or stock wells and current and/or final well permits. Grantor does not insure nor
give any warranties concerning the extent or present or future condition of the above described
water rights associated with the Property.
TOGETHER WITII all and singular the hereditaments and appurtenances thereunto
belonging, or in any ways appertaining, and the reversion and reversions, remainder and
remainders, rents, issues and profits thereof, and all the estate, right, title, interest, claim and
demand whatsoever, of the Grantor, either in law or equity, of, in and to the above bargained
premises, with the hereditaments and appurtenances;
TO HAVE AND TO HOLD the said premises above bargained and described, with the
appurtenances, unto the Grantee, its successors and assigns forever. Grantor, for itself, its
successors and assigns, does covenant and agree that it shall and will WARRANT AND
FOREVER DEFEND the above bargained premises in the quiet and peaceable possession of the
Grantee, its successors and assigns, against all and every person or persons claiming the whole or
any part thereof, by, through or under the Grantor, except for and subject to the "Permitted
Exceptions," which shall mean (i) real property taxes for 2012 and subsequent years, a lien, not
yet due and payable; (ii) any matter of record or not of record that in any way affects title to the
applicable parcel of Property which resulted from the acts or omissions of Grantee; and (iii) the
reservations, exceptions, easements, rights of way, restrictive covenants, conditions and other

good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,

Reserving to the grantor all right, title and interest in and to all nontributary and
not nontributary groundwater and groundwater rights as currently defined in
C.R.S. Section 37-90-103(10.5). Such reservation includes permitted, adjudicated
and non -adjudicated water and water rights in the Denver Basin Laramie -Fox
Hills Aquifer associated with or underlying the subject property. Grantor agrees
to convey to grantee by quitclaim deed the right for Grantee to permit, construct
and drill a well to withdraw a total of 300 acre-feet of water in perpetuity in 3.0
acre-feet annual withdrawals pursuant to C.R.S. Section 37-90-137(4) from the
nontributary Laramie -Fox Hill Aquifer reserved water rights of Grantee in
accordance with Denver Basin rules, by which no more than 98% of the
nontributary groundwater withdrawn annually may be consumed, and in no event
shall the withdrawal exceed 3.0 acre-feet per year.
Grantor further reserves for a period of ten years from the date hereof an option to
purchase for the sum of Three Thousand Five Hundred Dollars ($3,500.00) an
easement not exceeding forty feet in width over and across the land conveyed
hereby for the purpose of installing utility lines.
TOGETHER with all and singular the heredilaments and appurtenances thereto
belonging, or in anywise appertaining, and the reversion and reversions, remainder and

remainders, rents, issues and profits thereof; and all the estate, right, title, interest, claim and
demand whatsoever of the grantor, either in law or equity, of, in and to the above bargained
premises, with the hereditaments and appurtenances;
TO HAVE AND TO HOLD the said premises above bargained and described with the
appurtenances, unto the grantee, its heirs and assigns forever. The grantor, for itself, its heirs and
personal representatives or successors, does covenant and agree that it shall and will WARRANT
AND FOREVER DEFEND the above -bargained premises in the quiet and peaceable possession
of the grantee, its heirs and assigns, against all and every person or persons claiming the whole
or any part thereof, by, through or under the grantor subject to all easements and rights -of -way of
whatever character of record or now existing on said premises, including, but not limited to,
those for ditches, canals, pipelines, reservoirs, railroads, roads, telephone lines, utilities, power
lines, or any other purpose; to all mineral, oil, gas and coal reservations, leases, and assignments
of record; and subject to 2014 taxes payable in 2015.
